Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off Balance Sheet Arrangement of a Registrant

On July 26, 2019, The E.W. Scripps Company's wholly-owned subsidiary, Scripps Escrow, Inc. ("Scripps Escrow"), issued $500 million of senior unsecured notes, which bear interest at a rate of 5.875% per annum and mature on July 15, 2027 ("the 2027 Senior Notes"). Scripps Escrow, which was created solely to issue the 2027 Senior Notes, deposited the gross proceeds of the offering into a segregated escrow account until, among other certain escrow release conditions, the pending acquisition of the eight television stations from Nexstar Media Group, Inc. ("Nexstar") is completed. The proceeds from these 2027 Senior Notes will be used to finance a portion of the stations being acquired from Nexstar. A copy of the Indenture is filed as Exhibit 10.1.
