September 7, 2004, (the &#147;Buyer&#148;), an entity in which the Registrant has a fifty
percent (50%) interest, acquired an apartment complex consisting of forty-two
(42) residential units, consisting of two (2) one bedroom and forty-two (42)
two bedroom apartments in four (4) buildings, and the approximately four (4)
acre parcel it is located on at 1 April Lane in Lexington, Massachusetts known
as Minuteman Village Apartments (the &#147;Property&#148;).&#160; The Property was acquired from Margaret Danielson, Susan Dupont,
Barbara Solakian and Marcia Smith d/b/a Minuteman Associates, a Massachusetts
general partnership.&#160; The seller has no
relationship to the Registrant or any of its affiliates.</font></p>

<p style="margin:0in 0in .0001pt;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">&nbsp;</font></p>

<p style="margin:0in 0in .0001pt;text-indent:.5in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">The
total purchase price for the Property was Ten Million One Hundred Fifty
Thousand Dollars ($10,150,000), and was determined in arm&#146;s length
negotiations.&#160; Each of the Registrant
and Harold Brown, the treasurer of the General Partner of the Registrant,<b><font style="font-weight:bold;">  </font></b>made
capital contributions of Five Million Seventy Five Thousand Dollars
($5,075,000) to the Buyer, and the Buyer used those capital contributions to
fund the purchase price for the Property.&#160;
The Registrant financed its capital contribution from operating cash and
cash reserves. The Buyer and the Registrant are currently soliciting floating
rate financing from a bank or financial institution to replace a portion of the
capital contributions made by the Registrant and Harold Brown in connection
with the acquisition.</font></p>

August 2, 2004, the Registrant&#146;s Advisory Committee conducted a meeting during
which it approved the Registrant&#146;s investment in the Buyer, as required under
the Registrant&#146;s Second Amended and Restated Contract of Limited
Partnership.&#160; Such approval is required
for any investments by the Registrant in participation with either or both of
the Registrant&#146;s original general partners, Harold Brown and Ronald Brown.</font></p>

Dollars ($200,000) for a total deposit of Two Hundred Fifty Thousand Dollars
($250,000) (collectively, the &#147;Deposit&#148;) to secure Buyer&#146;s obligations under
this Agreement.&#160; The Deposit, the Additional
Deposits as hereinafter defined, if any, and all interest earned thereon shall
be referred to herein as the &#147;Escrowed Amount&#148;.&#160; Interest on the Escrowed Amount shall accrue for the benefit of
Buyer unless the Closing does not occur in which case interest shall follow the

maintain and disburse the Escrowed Amount pursuant to the terms and conditions

execution of this Agreement to the Closing Date, it shall maintain such

listed in the Broker&#146;s offering memorandum) or place any encumbrance on the
Property, if such contract or encumbrance would survive Closing without the
prior written consent of Buyer.</h6>

are designated by Buyer as contracts or agreements which should not be
terminated or which require consent or penalty shall be assigned, which
assignment shall be without recourse to Seller, to Buyer at Closing (the

statutory limit with respect to workers compensation and provide Seller with
evidence of such insurance coverage, if requested, prior to any entry onto the
Property.&#160; This provision is intended to
survive Closing and termination.</h2>

remove or cure by payment of funds from Closing.&#160; The Closing shall be extended for a period of up to thirty (30)
days to permit Seller to cure any Title Objections which it elects to attempt

insurance policy, and the Seller shall assign to Buyer all rights to such net

by providing notice to Seller to such effect on or before the date which is ten
(10) days from Seller&#146;s notice to Buyer of such Eminent Domain Taking or on the
Closing Date, whichever occurs first, in which event the Title Company shall
return the Escrowed Amount pursuant to the terms of the Deposit Escrow
Agreement, this Agreement shall terminate, and neither Seller nor Buyer shall
have any recourse against the other.&#160; If
Buyer does not timely notify Seller of its election to terminate this
Agreement, Buyer shall purchase the Property and pay the Purchase Price, and
Seller shall pay over or assign to Buyer on delivery of the deed all awards
