Item 1.01 Entry into a Material Definitive Agreement.
On June 5, 2009, the stockholders of RXi Pharmaceuticals Corporation (the “Company”) approved the
amendment (the “Incentive Plan Amendment”) to the RXi Pharmaceuticals Corporation 2007 Incentive
Plan, (the “2007 Incentive Plan”), which increases the number of shares of the Company’s common
stock available under the 2007 Incentive Plan. The Company’s Board of Directors had previously
approved the Incentive Plan Amendment, subject to the approval of the stockholders. A copy of the
2007 Incentive Plan, as amended on July 18, 2008 and June 5, 2009, is attached to this Form 8-K as Exhibit 99.1 and is incorporated
herein by reference
