Amendment Description

This Amendment No. 1 (this "Amendment No. 1") to our Annual Report on Form 10-K for the fiscal year-ended December 31, 2011, originally filed with the Securities and Exchange Commission (the "SEC") on October 31, 2012 (the "Original 10-K"), of DGSE Companies, Inc. (the "Company") is being filed with the SEC to provide additional information to Items 7 and 8 (in relation to Item 8, additions have only been made to Footnotes 1 and 17 of the Financial Statements). No changes have been made to the Original 10-K other than these changes to Items 7 and 8, and the Cover Page.

 

Unless otherwise expressly stated, this Amendment No. 1 does not reflect events occurring after the filing of the Original 10-K, nor does it modify or update in any way the disclosures contained in the Original 10-K, which speak as of the date of its original filing. Accordingly, this Amendment No. 1 should be read in conjunction with the Original 10-K and our other SEC filings subsequent to the filing of the Original 10-K.
