Stockholder Rights Plan On June 8, 2010, the Board of Directors of the Company approved a stockholders rights plan and declared a dividend distribution of one Right of each outstanding share of Common Stock of the Company. The Plan entitled Common Stock holders and the Company to specific rights, at various points, upon one person or group acquiring beneficial ownership of the Company's outstanding Common Stock. The rights expired on June 21, 2011; the Board could adopt a similar plan in the future should it deem it to be in the best interest of the company.

17. Stockholder Rights Plan
