(the &ldquo;Board&rdquo;) of FreightCar America, Inc. (the &ldquo;Company&rdquo;), acting on the recommendation of the Compensation
Committee (the &ldquo;Committee&rdquo;) of the Board, approved the following changes to executive compensation plans for certain
executive officers, including James R. Meyer the Company&rsquo;s Chief Executive Officer, Christopher J. Eppel, the Company&rsquo;s
Vice President, Finance, Chief Financial Officer and Treasurer and Georgia L. Vlamis, the Company&rsquo;s Vice President, General
Counsel, Corporate Secretary and Human Resources (each, an &ldquo;Executive&rdquo;):</P>

connection with, or within 24 months following, the consummation of a Successful Transaction, the Executive is terminated by the
Company without Cause or resigns from the Company due to Good Reason (each as defined in the Successful Transaction Severance Plan)
(the &ldquo;Enhanced Severance&rdquo;).</TD></TR></TABLE>

payable, when combined with all amounts and benefits provided to an Executive and under all other plans and programs of the Company
( &ldquo;Covered Payments&rdquo;), is determined to constitute a Parachute Payment, as such term is defined in Section 280G of
the Internal Revenue Code of 1986, as amended (the &ldquo;Code&rdquo;), the Company shall pay to the Executive either (i) the full
amount of such Covered Payments or (ii) such lesser amount as would result in no portion of the Covered Payments being subject
to the excise tax under Code Section 4999 (&ldquo;Excise Tax&rdquo;), whichever of the foregoing amounts, taking into account the
applicable federal, state and local employment taxes, income taxes and the Excise Tax, results in the Executive&rsquo;s receipt,
on an after-tax basis, of the greater amount of the Covered Payments, notwithstanding that all or some portion of the Covered Payments
may be subject to the Excise Tax.&nbsp; No gross-up payments will be made.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-indent: 0.5in">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-indent: 0.5in">In addition, the Board, acting on the recommendation
of the Committee, approved the accelerated payment in 2019 of each Executive&rsquo;s 2019 award under the annual incentive plan
for the Company&rsquo;s fiscal year ending December 31, 2019, which ordinarily would be determined in January 2020 and paid in
March 2020.</P>
