share of common stock received upon exercise will be equal to the sum of (1) the Non-U.S. holder&#8217;s tax basis in the Class A and Class B Warrant and (2) the exercise price of the Class A and Class B Warrant. A Non-U.S. holder&#8217;s holding
period in the stock received upon exercise will commence on the day or the day after such Non-U.S. holder exercises the Class A and Class B Warrant. However, no discussion is provided herein regarding the U.S. federal income tax treatment on the
