ProSiebenSat.1 Media AG has acquired a 48.4 percent stake in Euvia Media AG & Co. KG from H.O.T. Networks AG who were sole shareholders of Euvia and will continue to run the company. In addition to ProSiebenSat.1 Media AG, Euvia Media AG & Co. KG’s shareholders consist of H.O.T. Networks AG, which owns 48.6 percent and Christiane zu Salm, chairwoman of Euvia, who holds three percent. Through the acquisition of a stake in Euvia and the entry into the auspicious transaction television market the ProSiebenSat.1 Group is expanding its business portfolio. Since the beginning of the year, the holding company Euvia has been the sole shareholder of the TV channel tm3, which will become a special interest channel for live entertainment with interactive viewer participation in the course of 2001. Additionally, Euvia plans to launch a special interest channel for travel and tourism. Launch of the new service is scheduled for the first half of 2002. Both services will be financed mainly through transaction revenues. Euvia Media AG & Co. KG’s break-even is expected in 2004, including participation revenues from both special interest channels. As of 2005 the pre-tax profit margin will be at a solid double digit percentage. ProSiebenSat.1 Media AG will pay Euro 67 million in cash for its 48.4 percent stake in Euvia. In addition, Euvia will receive a long-term loan of Euro 112 million from ProSiebenSat.1 Media AG. The anticipated start-up loss will be covered by H.O.T. Networks AG.
