Therapeutics, Inc. (the &#147;Registrant&#148;) issued a press release, which is
furnished hereto as Exhibit 99.1 and incorporated by reference as if fully set
forth herein, announcing that, among other things, it has hired, effective
October 4, 2004, Elizabeth Chen as Senior Vice President of Marketing and
Business Development.&#160; In accordance with
the terms of her employment arrangement with the Company, which is evidenced by
an offer letter agreement, Ms. Chen has entered into an at-will employment
relationship with Anika providing for annual base salary of $225,000.&#160; Ms. Chen was also awarded a grant of 100,000
stock options for Anika Common Stock vesting in equal installments over four
years.&#160; Ms. Chen is also entitled to
bonus and benefits.&#160; If Ms. Chen&#146;s
employment is terminated without cause, the offer letter agreement entitles Ms.
Chen to severance in the amount of six months base salary and six months
medical benefits.&#160; Ms. Chen is also party
to change in control, bonus and severance agreement pursuant to which she is
entitled to receive certain lump sum payments and other financial benefits in
the event of a change in control (as defined in the change in control, bonus
and severance agreement). In the event of a change in control, and if after
such change of control her employment is terminated without cause (as defined
in the change in control, bonus and severance agreement), she would likely
receive an amount, including all periodic payments, in excess of $100,000.</font></p>

during that period. In addition, in such circumstances the Company will also
pay the premiums for continuation of medical and dental benefits under COBRA
for you and your family for six months after termination of your employment (or

payment of the active employee share of premium payments for such coverage.</p>

selection of arbitrators (or alternatively, in any other forum or in any other
form agreed upon by the parties). In the event that any person or entity other
than you or Anika may be a party with regard to any such controversy or claim,
such controversy or claim shall be submitted to arbitration subject to such
other person or entity&#146;s agreement. Judgment upon the award rendered by the
arbitrator may be entered in any court having jurisdiction thereof. This
provision shall be specifically enforceable. Notwithstanding the foregoing,
this provision shall not preclude either party from pursuing a court action for
the sole purpose of obtaining a temporary restraining order or a preliminary
injunction in circumstances in which such relief is appropriate; provided that
any other relief shall be pursued through an arbitration proceeding pursuant to

<p style="font-size:10.0pt;margin:0in 0in .0001pt;text-indent:.5in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">1.</font><font size="1" style="font-size:3.0pt;">&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160; </font><u>Purpose</u>.&#160; The Company considers it essential to the
best interests of its stockholders to foster the continuous employment of key
management personnel.&#160; The Board of
Directors of the Company (the &#147;Board&#148;) recognizes, however, that, as is the
case with many publicly held corporations, the possibility of a Change in
Control (as defined in Section&nbsp;2 hereof) exists and that such possibility,
and the uncertainty and questions which it may raise among management, may
result in the departure or distraction of management personnel to the detriment
of the Company and its stockholders.&#160;
Therefore, the Board has determined that appropriate steps should be
taken to reinforce and encourage the continued attention and dedication of
members of the Company&#146;s management, including the Executive, to their assigned
duties without distraction in the face of potentially disturbing circumstances
arising from the possibility of a Change in Control.&#160; Nothing in this Agreement shall be construed as creating an
express or implied contract of employment and, except as otherwise agreed in
writing between the Executive and the Company, the Executive shall not have any
right to be retained in the employ of the Company.</p>

<p style="margin:0in 0in .0001pt;text-indent:.5in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">&nbsp;</font></p>

&#147;person,&#148; as such term is used in Sections 13(d) and 14(d) of the Securities
Exchange Act of 1934 (the &#147;Act&#148;) (other than the Company, any of its
subsidiaries, any trustee, fiduciary or other person or entity holding
securities under any employee benefit plan or trust of the Company or any of
its subsidiaries), together with all &#147;affiliates&#148; and &#147;associates&#148; (as such
terms are defined in Rule 12b-2 under the Act) of such person, shall become the
&#147;beneficial owner&#148; (as such term is defined in Rule 13d-3 under the Act),
directly or indirectly, of securities of the Company representing 51% or more
of the combined voting power of the Company&#146;s then outstanding securities
having the right to vote in an election of the Company&#146;s Board of Directors
(&#147;Voting Securities&#148;); or</p>

<p style="margin:0in 0in .0001pt .5in;text-indent:.5in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">&nbsp;</font></p>

willful act of dishonesty by the Executive with respect to any matter involving

deliberate or willful failure by the Executive (other than by reason of the

Company to the Executive of written notice specifying the scope and nature of
such failure and its intention to terminate the Executive for Cause.</p>

shall be paid in one lump sum payment no later than thirty-one (31) days
following the Date of Termination (as such term is defined in
Section&nbsp;9(b)); and</p>

<p style="margin:0in 0in .0001pt .5in;text-indent:.5in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">&nbsp;</font></p>

Limitations</u>.&#160; It is the intention of
the Executive and of the Company that no payments by the Company to or for the
benefit of the Executive under this Agreement or any other agreement or plan,
if any, pursuant to which the Executive is entitled to receive payments or
benefits shall be nondeductible to the Company by reason of the operation of
Section&nbsp;280G of the Code relating to parachute payments or any like
statutory or regulatory provision.&#160;
Accordingly, and notwithstanding any other provision of this Agreement
or any such agreement or plan, if by reason of the operation of said
Section&nbsp;280G or any like statutory or regulatory provision, any such
payments exceed the amount which can be deducted by the Company, such payments
shall be reduced to the maximum amount which can be deducted by the
Company.&#160; To the extent that payments
exceeding such maximum deductible amount have been made to or for the benefit
of the Executive, such excess payments shall be refunded to the Company with
interest thereon at the applicable Federal rate determined under
Section&nbsp;1274(d) of the Code, compounded annually, or at such other rate as
may be required in order that no such payments shall be nondeductible to the
Company by reason of the operation of said Section&nbsp;280G or any like
statutory or regulatory provision.&#160; To
the extent that there is more than one method of reducing the payments to bring
them within the limitations of said Section&nbsp;280G or any like statutory or
regulatory provision, the Executive shall determine which method shall be
followed, provided that if the Executive fails to make such determination
within forty-five (45) days after the Company has given notice of the need for
such reduction, the Company may determine the method of such reduction in its
sole discretion.</p>

<p style="margin:0in 0in .0001pt;text-indent:.5in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">&nbsp;</font></p>

the resignation or termination of the Executive for any reason, in each case,
prior to a Change in Control; or (c) the resignation of the Executive after a
Change in Control for any reason other than for Good Reason.</p>

Optionee may exercise this Stock Option only in the following manner:&#160; from time to time on or prior to the
Expiration Date of this Stock Option, the Optionee may give written notice to
the Administrator of his or her election to purchase some or all of the Option
Shares purchasable at the time of such notice.&#160;
This notice shall specify the number of Option Shares to be purchased.</font></h2>

<h2 style="font-weight:normal;margin:0in 0in .0001pt;text-indent:1.0in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">&nbsp;</font></h2>

<p style="margin:0in 0in .0001pt;text-indent:.5in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">Payment of the purchase price for the Option Shares
may be made by one or more of the following methods:&#160; (i)&nbsp;in cash, by certified or bank check or other instrument
acceptable to the Administrator; (ii)&nbsp;through the delivery (or attestation
to the ownership) of shares of Stock that have been purchased by the Optionee
on the open market or that have been beneficially owned by the Optionee for at
least six months and are not then subject to any restrictions under any Company
plan; (iii)&nbsp;subject to compliance with applicable law, by the Optionee
delivering to the Company a properly executed exercise notice together with
irrevocable instructions to a broker to promptly deliver to the Company cash or
a check payable and acceptable to the Company to pay the option purchase price,
provided that in the event the Optionee chooses to pay the option purchase
price as so provided, the Optionee and the broker shall comply with such
procedures and enter into such agreements of indemnity and other agreements as
the Administrator shall prescribe as a condition of such payment procedure; or
(iv)&nbsp;a combination of (i), (ii) and (iii) above.&#160; Payment instruments will be received subject to collection.</font></p>

<p style="margin:0in 0in .0001pt;text-indent:.5in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">&nbsp;</font></p>

<p style="margin:0in 0in .0001pt;text-indent:.5in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">The delivery of certificates representing the Option
Shares will be contingent upon the Company&#146;s receipt from the Optionee of full
payment for the Option Shares, as set forth above and any agreement, statement
or other evidence that the Company may require to satisfy itself that the
issuance of Stock to be purchased pursuant to the exercise of Stock Options
under the Plan and any subsequent resale of the shares of Stock will be in
compliance with applicable laws and regulations.&#160; In the event the Optionee chooses to pay the purchase price by
previously-owned shares of Stock through the attestation method, the number of
shares of Stock transferred to the Optionee upon the exercise of the Stock
Option shall be net of the shares attested to.</font></p>

<p style="margin:0in 0in .0001pt;text-indent:.5in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">&nbsp;</font></p>

<h2 style="font-weight:normal;margin:0in 0in .0001pt;text-indent:1.0in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">(b)&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160; Certificates
for the shares of Stock purchased upon exercise of this Stock Option shall be
issued and delivered to the Optionee upon compliance to the satisfaction of the
Administrator with all requirements under applicable laws or regulations in
connection with such issuance and with the requirements hereof and of the
Plan.&#160; The determination of the
Administrator as to such compliance shall be final and binding on the
Optionee.&#160; The Optionee shall not be
deemed to be the holder of, or to have any of the rights of a holder with
respect to, any shares of Stock subject to this Stock Option unless and until
this Stock Option shall have been exercised pursuant to the terms hereof, the
Company shall have issued and delivered the shares to the Optionee, and the
Optionee&#146;s name shall have been entered as the stockholder of record on the
books of the Company.&#160; Thereupon, the
Optionee shall have full voting, dividend and other ownership rights with
respect to such shares of Stock.</font></h2>

<h2 style="font-weight:normal;margin:0in 0in .0001pt;text-indent:1.0in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">&nbsp;</font></h2>

earlier.&#160; The death of the Optionee
during the 12-month period provided in this Section&nbsp;3(b) shall extend such

material misconduct or willful and deliberate non-performance (other than by
reason of disability) by the Optionee of the Optionee&#146;s duties to the Company.</font></h2>

termination, for a period of three months from the date of termination or until
the Expiration Date, if earlier.&#160; Any
Stock Option that is not exercisable at such time shall terminate immediately
and be of no further force or effect.</font></h2>

price for the Option Shares may be made by one or more of the following
methods:&#160; (i)&nbsp;in cash, by certified
or bank check or other instrument acceptable to the Administrator; (ii)&nbsp;through
the delivery (or attestation to the ownership) of shares of Stock that have
been purchased by the Optionee on the open market or that have been
beneficially owned by the Optionee for at least six months and are not then
subject to any restrictions under any Company plan; (iii)&nbsp;subject to
compliance with applicable law, by the Optionee delivering to the Company a
properly executed exercise notice together with irrevocable instructions to a
broker to promptly deliver to the Company cash or a check payable and
acceptable to the Company to pay the option purchase price, provided that in
the event the Optionee chooses to pay the option purchase price as so provided,
the Optionee and the broker shall comply with such procedures and enter into
such agreements of indemnity and other agreements as the Administrator shall
prescribe as a condition of such payment procedure; or (iv)&nbsp;a combination
of (i), (ii) and (iii) above.&#160; Payment
instruments will be received subject to collection.</font></p>

<p style="margin:0in 0in .0001pt;text-indent:.5in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">&nbsp;</font></p>

Optionee upon the exercise of the Stock Option shall be net of the Shares

of Elizabeth C. Chen as senior vice president of marketing and business
