PSI Sells Minority Holdings and Reduces Costs in Information Management

The issuer is solely responsible for the content of this announcement. —————————————————————————— PSI Sells Minority Holdings and Reduces Costs in Information Management – Sale of holdings in Schindler Technik and Varial – New positioning in Information Management Segment – New orders in 4th quarter increase to over 36 million euros PSI AG, Berlin, has sold its 37.2 percent holdings in Schindler Technik AG, Berlin to a group of existing shareholders and investors. In addition, the sale of 9 % of the Hamburg Varial Software AG to the majority shareholder Infor Global Solutions was arranged. The sales prices arranged are slightly above the book value of the holdings. In the first quarter, PSI will put about one million euro from the sales into cash-in-hand, which will increase the strategic investment account. With the sale, PSI attains the planned synergy-producing group and management structure based on wholly-owned subsidiaries. With Varial, a binding partnership up to 2010 and beyond was agreed upon. In Information Management the annual costs will be reduced by about 2 million euros annually beginning on 1 January 2006 so as to permanently close the profit gap there. To accomplish this, a one-off sum of 200,000 euros was invested which will be booked in the current quarter. Furthermore, PSI is negotiating with strategic investors for two individual Information Management activities. The goodwill of PSI Information Management GmbH will be strengthened in the long term as a result of these measures. According to a preliminary extrapolation, the PSI Group will attain new orders of more than 36 million euros in the fourth quarter of 2005. With this increase over the same quarter of the previous year (Q4 2004: 34 million euros) and the first three quarters of the current year (32 million euros, 25 million euros, 22 million euros), the increase of new orders which commenced in October continues. Network Management is the primary contributor to the increase in new orders. With the new Energy Act going into effect in July 2005, the segment returns to its normal, strong performance. PSI AG develops and integrates individual solutions, on the basis of its own software, for the management of large networks (electricity, gas, oil, telecommunications, transport), cross-company production management (steel, chemicals, machinery, automotive, logistics) and information management for government and service providers.
