23 April 2010 Company announcement no. 06-10 Annual General Meeting of Søndagsavisen a-s, Friday 23 April 2010 - Summary The Annual General Meeting was held in accordance with the circulated agenda. The Management's Review was presented and the Annual Report for 2009 was adopted. In 2009, consolidated revenue amounted to DKK 1,028.5 million, down 11% on 2008. The consolidated operating income, excluding special items, amounted to DKK 19.5 million in 2009, up DKK 73.9 million on 2008. Profit after tax was DKK 9.1 million. In the Management's Review, Mads Dahl Andersen, CEO, stated that a very positive earnings improvement had been achieved in 2009 and that we came out of a difficult year with a profit of nearly DKK 20 million. The challenging market conditions did, however, to a considerable extent influence our activities in 2009. Throughout the entire year, we have therefore intensified our focus on aligning our activities to the financial crisis by implementing significant cost reductions and at the same time by making an effort to optimise our organisation and our products. The aim is to create a foundation which, once the markets have normalised again, is attuned to the new market conditions and which will enable us to create satisfactory results. The General Meeting adopted the Annual Report for 2009 and discharged the Board of Directors and the Management from their obligations. The Board of Directors' recommendation that no dividends be paid was adopted. The Board of Directors' proposal that it be authorised to acquire on behalf of the Company own shares for a total nominal value of up to 15% of the share capital was adopted. Acquisitions of own shares must be made at the price applicable at the time of the acquisition. However, the price may be derogated from with up to 5% upwards or downwards. The authorisation is applicable for five years. The Board of Directors' proposal that the Company's name and object be changed as part of a reorganisation of the group structure as at 1 January 2010 was adopted. The Company will therefore change its name from Søndagsavisen a-s to North Media A/S and its object will be to carry on holding activities without independent operating activities. The operating activities, including the distribution activities "Forbruger-Kontakt", the newspaper "Søndagsavisen" and the Company's properties, will be placed in independent subsidiaries under the holding company. The Board of Directors' proposal to split-off "Forbruger-Kontakt" to Distribution Danmark a-s, CVR no. 26899737, on the terms and conditions set out in the published demerger documents adopted on 19 March 2010 was adopted. Distribution Danmark a-s takes over the name "Forbruger-Kontakt" as its new company name. As part of the split-off a total cash consideration of DKK 50,137,500 will be paid to the shareholders corresponding to DKK 2.5 for each share in Søndagsavisen a-s. The amount will be paid on 29 April 2010 and will, for tax purposes, be treated as dividends received in the assessment year 2010. "By implementing this restructuring process, we will achieve a modern, efficient group and company structure. At the same time, the restructuring will facilitate independent financing and provide a more flexible ownership structure of the individual operating companies. This will enable us to optimise the development of the individual activities" said Mr Richard Bunck, Chairman of the Board of Directors, to the general meeting. The Board of Directors' proposal that the Company's Articles of Association be revised a consequence of the new Companies Act (ACT no. 470 of 12 June 2009) which took effect on 1 March 2010 was adopted. At the same time, the Board of Directors' proposal for an amendment for the sake of good order of the articles of association without substantive changes was adopted. The Board of Directors' proposal to authorise the Chairman of the Meeting to make any such amendments to the resolutions passed as may be required or requested by the Danish Commerce and Companies Agency or any other public authority as a condition for registration or approval of the resolutions passed was adopted. Mr Richard Bunck, Mr Peter Rasztar, Mr Steen Gede and Mr Ulrik Holsted-Sandgreen were re-elected to the Board of Directors. Immediately after the Annual General Meeting, the Board of Directors elected Mr Richard Bunck Chairman and Mr Peter Rasztar Vice Chairman.
