<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0">On January 18, 2016, AmpliPhi Biosciences Corporation (the &ldquo;Company&rdquo;)
appointed Steve R. Martin as its Chief Financial Officer, principal financial officer and principal accounting officer, effective
January 18, 2016, replacing David E. Bosher in those capacities. Mr. Bosher remains employed with the Company as a consultant.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0">Mr. Martin, age 54, served as Senior Vice President and Chief
Financial Officer of Applied Proteomics, Inc., a molecular diagnostics company, from December 2014 to August 2015. From June 2011
to December 2014, Mr. Martin served as Senior Vice President and Chief Financial Officer of Apricus Biosciences, Inc., a publicly
traded pharmaceutical company, and served as the Interim Chief Executive Officer of Apricus from November 2012 through March 2013.&nbsp;From
2008 to January 2011, Mr. Martin served as Senior Vice President and Chief Financial Officer of BakBone Software, a publicly traded
software company. During his final 10 months with BakBone until the company&rsquo;s acquisition in January 2011, Mr. Martin also
served as BakBone&rsquo;s Interim Chief Executive Officer. From 2005 to 2007, Mr. Martin served as Chief Financial Officer of Stratagene
Corporation, a publicly traded clinical diagnostics company. Mr. Martin&rsquo;s previous experience also includes serving as Controller
with Gen-Probe Incorporated, a publicly traded molecular diagnostics company, as well as 10 years with Deloitte &amp; Touche LLP,
a public accounting firm. Mr. Martin holds a Bachelors of Science degree from San Diego State University and is a certified public
accountant.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0">In connection with Mr. Martin&rsquo;s appointment, the Company
entered into an offer letter agreement with Mr. Martin, dated January 18, 2016. Pursuant to the offer letter, the Company agreed
to provide Mr. Martin with the following compensation: (i) annual base salary of $320,000; (ii) eligibility to receive annual performance-based
bonuses, with an initial target bonus of 35% of his base salary; and (iii) the grant of a stock option to purchase 99,919 shares
of the Company&rsquo;s common stock at an exercise price of $2.85 per share, which is equal to the closing price of the Company&rsquo;s
common stock on the NYSE MKT on January 15, 2016. <FONT STYLE="background-color: white">Twenty-five percent of the shares underlying
the option vest on the one-year anniversary of the commencement of Mr. Martin&rsquo;s employment with the Company, and the balance
of the shares vest in equal monthly installments over the following 36 months</FONT>, subject to Mr. Martin&rsquo;s continued service
with the Company. In the event Mr. Martin is terminated without &ldquo;cause&rdquo; or resigns for &ldquo;good reason&rdquo; (as
those terms are defined in the offer letter) within one month before or 12 months after a change in control of the Company, any
shares subject to the option that remain unvested at the time of such termination or resignation will become vested. Mr. Martin&rsquo;s
option grant is subject to the terms of the Company&rsquo;s 2013 Stock Incentive Plan and stock option grant notice and option
agreement thereunder. In addition, the offer letter provides that if Mr. Martin is terminated without cause or resigns for good
reason from his employment with the Company, Mr. Martin will be entitled to receive severance benefits in the form of salary continuation
at the rate of his base salary in effect at the time of his termination or resignation for a period of 12 months, subject to the
Company&rsquo;s timely receipt of an effective release and waiver of claims.</P>

offer of employment with AmpliPhi Biosciences Corporation (the &ldquo;<B><I>Company</I></B>&rdquo;), in the position of Senior
Vice President, Chief Financial Officer on the terms set forth in this letter agreement (the &ldquo;<B><I>Agreement</I></B>&rdquo;).</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0.05in 0pt 0; text-align: justify">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in"><B>1.<FONT STYLE="font-family: Times New Roman, Times, Serif">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;
</FONT>Position. </B>As Senior Vice President, Chief Financial Officer, you will be responsible for managing the financial affairs
of the Company and you will report directly to the Chief Executive Officer of the Company. You agree to devote your full business
time and attention to your work for the Company. Except upon the prior written consent of the Board of Directors of the Company
(the &ldquo;<B><I>Board</I></B>&rdquo;), you will not, during your employment with the Company, (i) accept or maintain any other
employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage)
that might interfere with your duties and responsibilities as a Company employee or create a conflict of interest with the Company.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in">&nbsp;&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in"><B>2.<FONT STYLE="font-family: Times New Roman, Times, Serif">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;
</FONT>Salary. </B>Your initial base salary will be $320,000 per year, less applicable withholdings. Your salary will be reviewed
from time to time by the Board or its compensation committee, and may be adjusted in the sole discretion of the Board or its compensation
committee.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in">&nbsp;&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in"><FONT STYLE="font-size: 10pt"><B>3.<FONT STYLE="font-family: Times New Roman, Times, Serif">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;
</FONT>Bonus. </B>You will be eligible to earn an annual performance bonus based on achievement of Company performance objectives
to be established by the Board or its compensation</FONT> <FONT STYLE="font-size: 10pt">committee and provided to you. Your annual
target performance bonus will initially be equal to 35% of your base salary, although the amount of any payment will be dependent
upon actual performance as determined by the Board or its compensation committee. You must be employed by the Company through the
date on which bonuses are paid in order to be eligible to receive a bonus. Your annual target performance bonus percentage is subject
to modification from time to time in the discretion of the Board or its compensation committee.</FONT></P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in">&nbsp;&nbsp;</P>

</FONT>Equity Award. </B>Upon your commencement of employment with the Company, you will be granted an option under the Company&rsquo;s
2013 Stock Incentive Plan (the &ldquo;<B><I>Plan</I></B>&rdquo;) to purchase 99,919 shares of Common Stock of the Company, which
you and the Company agree is equivalent to one percent (1%) of the then current fully diluted number of shares of Common Stock
(assuming conversion or exercise of all outstanding convertible or exercisable securities, and including shares available for issuance
pursuant to the Plan) (the &ldquo;<B><I>Option</I></B>&rdquo;). The Option shall vest with respect to one-fourth of the total number
of shares on the one-year anniversary of the start date of your employment with the Company and monthly thereafter for the following
three years, subject to your continued services to the Company. The Option shall be subject to the terms and conditions of the
Plan, stock option grant notice and option agreement to be entered into between you and the Company.</P>

with the Company, regardless of the reasons for such termination, the Company shall pay your base salary and accrued but unused
vacation up to and through the date of termination, less applicable payroll and tax withholdings (the &ldquo;<B><I>Accrued Obligations</I></B>&rdquo;).</P>

below and other than due to your death or disability),</FONT> <FONT STYLE="font-size: 10pt">or (ii) you terminate your employment
for Good Reason (as defined below), and provided in either case of (i) or (ii) such termination or resignation constitutes a &ldquo;separation
from service&rdquo; (as defined under Treasury Regulation Section 1.409A-1(h), without regard to any alternative definition thereunder,
a &ldquo;<B><I>Separation from Service</I></B>&rdquo;) (such termination or resignation, an &ldquo;<B><I>Involuntary Termination</I></B>&rdquo;),
then, in addition to the Accrued Obligations, subject to your obligations below, you shall be entitled to receive an amount equal
to twelve (12) months of your then current base salary (ignoring any decrease in base salary that forms the basis for Good Reason),
less all applicable withholdings and deductions, paid on the schedule described below (the &ldquo;<B><I>Severance Pay</I></B>&rdquo;).</FONT></P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 1in">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 1in"><B>b.<FONT STYLE="font-family: Times New Roman, Times, Serif">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;
</FONT></B>The Severance Pay is conditional upon (i) your continuing to comply with your obligations under your PIIA (as defined
in Section 11) during the period of time in which you are receiving the Severance Pay; (ii) your delivering to the Company an executed
separation agreement and general release of claims in favor of the Company, in a form attached hereto as <FONT STYLE="text-transform: uppercase">Exhibit
A</FONT>, within the time period set forth therein, which becomes effective in accordance with its terms, which shall be no later
than sixty (60) days following your Separation from Service (the &ldquo;<B><I>Release</I></B>&rdquo;). The Severance Pay will be
paid in equal installments on the Company&rsquo;s regular payroll schedule over the period outlined above following the date of
your Separation from Service; <I>provided, however,</I> that no payments will be made prior to the sixtieth (60<SUP>th</SUP>) day
following your Separation from Service. On the sixtieth (60<SUP>th</SUP>) day following your Separation from Service, the Company
will pay you in a lump sum the amount of the Severance Pay that you would have received on or prior to such date under the original
schedule but for the delay while waiting for the sixtieth (60<SUP>th</SUP>) day, with the balance of the Severance Pay being paid
as originally scheduled.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 1in">&nbsp;</P>

substantially to perform your duties and responsibilities to the Company or deliberate violation of a Company policy; (ii) your
commission of any act of fraud, embezzlement or dishonesty against the Company or any other willful misconduct that has caused
or is reasonably expected to result in material injury to the Company; (iii) your unauthorized use or disclosure of any proprietary
information or trade secrets of the Company or any other party to whom you owe an obligation of nondisclosure as a result of your
relationship with the Company; or (iv) your willful breach of any of your obligations under any written agreement or covenant with
the Company, including without limitation this Agreement and your PIIA.</P>

unless done, or omitted to be done, by the Company not in good faith and without reasonable belief that the Company&rsquo;s act,
or failure to act, was in the best interest of the Company. In order to terminate your employment under this Agreement for Good
Reason, you must (1) provide written notice to the Company within ninety (90) days of the first occurrence of the events described
above, (2) allow the Company at least thirty (30) days from such receipt of such written notice to cure such event, and (3) if
such event is not reasonably cured within such period, resign from all position you then hold with the Company effective not later
than the one-hundred eightieth (180<SUP>th</SUP>) day after the initial occurrence of such event.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 1in">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 1in"><B>a.<FONT STYLE="font-family: Times New Roman, Times, Serif">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;
</FONT>Section 409A. </B>The Severance Pay provided in this Agreement is intended to qualify for an exemption from application
of Section 409A of the Internal Revenue Code of 1986, as amended (the &ldquo;<B><I>Code</I></B>&rdquo;) and the regulations and
other guidance thereunder and any state law of similar effect (collectively &ldquo;<B><I>Section 409A</I></B>&rdquo;) or to comply
with its requirements to the extent necessary to avoid adverse personal tax consequences under Section 409A, and any ambiguities
herein shall be interpreted accordingly. Each installment of Severance Pay is a separate &ldquo;payment&rdquo; for purposes of
Treasury Regulations Section 1.409A-2(b)(2)(i), and the Severance Pay is intended to satisfy the exemptions from application of
Section 409A provided under Treasury Regulations Sections 1.409A-1(b)(4), 1.409A-1(b)(5) and 1.409A-1(b)(9). However, if such
exemptions are not available and you are, upon Separation from Service, a &ldquo;specified employee&rdquo; for purposes of Section
409A, then, solely to the extent necessary to avoid adverse personal tax consequences under Section 409A, the timing of the Severance
Pay shall be delayed until the earlier of (i) six (6) months and one day after your Separation from Service, or (ii) your death.
Except to the minimum extent that payments must be delayed because you are a &ldquo;specified employee&rdquo;, all amounts of
Severance Pay will be paid as soon as practicable in accordance with the schedule provided herein and in accordance with the Company&rsquo;s
normal payroll practices.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 1in">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 1in"><B>b.<FONT STYLE="font-family: Times New Roman, Times, Serif">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;
</FONT>Section 280G. </B>If any payment or benefit you will or may receive from the Company or otherwise (a &ldquo;<B><I>280G Payment</I></B>&rdquo;)
would (i) constitute a &ldquo;parachute payment&rdquo; within the meaning of Section 280G of the Code, and (ii) but for this sentence,
be subject to the excise tax imposed by Section 4999 of the Code (the &ldquo;<B><I>Excise Tax</I></B>&rdquo;), then any such 280G
Payment pursuant to this Agreement or otherwise (a &ldquo;<B><I>Payment</I></B>&rdquo;) shall be equal to the Reduced Amount. The
&ldquo;<B><I>Reduced Amount</I></B>&rdquo; shall be either (x) the largest portion of the Payment that would result in no portion
of the Payment (after reduction) being subject to the Excise Tax or (y) the largest portion, up to and including the total, of
the Payment, whichever amount (i.e., the amount determined by clause (x) or by clause (y)), after taking into account all applicable
federal, state and local employment taxes, income taxes, and the Excise Tax (all computed at the highest applicable marginal rate),
results in your receipt, on an after-tax basis, of the greater economic benefit notwithstanding that all or some portion of the
Payment may be subject to the Excise Tax. If a reduction in a Payment is required pursuant to the preceding sentence and the Reduced
Amount is determined pursuant to clause (x) of the preceding sentence, the reduction shall occur in the manner (the &ldquo;<B><I>Reduction
Method</I></B>&rdquo;) that results in the greatest economic benefit for you. If more than one method of reduction will result
in the same economic benefit, the items so reduced will be reduced pro rata (the &ldquo;<B><I>Pro Rata Reduction Method</I></B>&rdquo;).</P>

foregoing, if the Reduction Method or the Pro Rata Reduction Method would result in any portion of the Payment being subject to
taxes pursuant to Section 409A that would not otherwise be subject to taxes pursuant to Section 409A, then the Reduction Method
and/or the Pro Rata Reduction Method, as the case may be, shall be modified so as to avoid the imposition of taxes pursuant to
Section 409A as follows: (A) as a first priority, the modification shall preserve to the greatest extent possible, the greatest
economic benefit for you as determined on an after-tax basis; (B) as a second priority, Payments that are contingent on future
events (e.g., being terminated without cause), shall be reduced (or eliminated) before Payments that are not contingent on future
events; and (C) as a third priority, Payments that are &ldquo;deferred compensation&rdquo; within the meaning of Section 409A shall
be reduced (or eliminated) before Payments that are not deferred compensation within the meaning of Section 409A.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in">Unless you and the
Company agree on an alternative accounting firm, the accounting firm engaged by the Company for general tax compliance purposes
as of the day prior to the effective date of the change of control transaction triggering the Payment shall perform the foregoing
calculations. If the accounting firm so engaged by the Company is serving as accountant or auditor for the individual, entity or
group effecting the change of control transaction, the Company shall appoint a nationally recognized accounting firm to make the
determinations required hereunder. The Company shall bear all expenses with respect to the determinations by such accounting firm
required to be made hereunder. The Company shall use commercially reasonable efforts to cause the accounting firm engaged to make
the determinations hereunder to provide its calculations, together with detailed supporting documentation, to you and the Company
within fifteen (15) calendar days after the date on which your right to a 280G Payment becomes reasonably likely to occur (if requested
at that time by you or the Company) or such other time as requested by you or the Company.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in">If you receive a Payment
for which the Reduced Amount was determined pursuant to clause (x) of the first paragraph of this Section 10(b) and the Internal
Revenue Service determines thereafter that some portion of the Payment is subject to the Excise Tax, you shall promptly return
to the Company a sufficient amount of the Payment (after reduction pursuant to clause (x) of the first paragraph of this this Section
10(b) so that no portion of the remaining Payment is subject to the Excise Tax. For the avoidance of doubt, if the Reduced Amount
was determined pursuant to clause (y) in the first paragraph of this this Section 10(b), you shall have no obligation to return
any portion of the Payment pursuant to the preceding sentence.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in">&nbsp;</P>

and Invention Assignment Agreement (&ldquo;<B><I>PIIA</I></B>&rdquo;), which (among other provisions) prohibits any unauthorized
use or disclosure of Company proprietary, confidential or trade secret information. As required by law, this offer is subject
to satisfactory proof of your identity and right to work in the United States. Further, if requested by the Company, this offer
is contingent upon your successful completion of a background check to the satisfaction of the Company. If the Company desires
that you complete a background check, you will be required to give your consent for the Company, through an outside firm, to complete
a criminal background check and verification of information provided on your employment application.</P>

whether written or oral. This Agreement may not be modified in any way except in a writing signed by the Company&rsquo;s Chief
Executive Officer (or another duly authorized officer of the Company) upon due authorization by the Board or its compensation
committee and you. It shall be governed by California law, without regard to principles of conflicts of laws.</P>

for a period of twenty-one (21) days from the date when it is tendered to me. In the event that I executed this Release within
less than twenty-one (21) days, I acknowledge that such decision was entirely voluntary and that I had the opportunity to consider
this Release until the end of the twenty-one&nbsp;(21) day period. To accept this Release, I shall deliver a signed Release to
the Employer&rsquo;s General Counsel within such twenty-one&nbsp;(21) day period; <I>provided</I> that I acknowledge that the Employer
may change the designated recipient by notice. For a period of seven&nbsp;(7) days from the date when I execute this Release (the
&ldquo;<B><I>Revocation&nbsp;Period</I></B>&rdquo;), I shall retain the right to revoke this Release by written notice that is
received by the Employer&rsquo;s General Counsel or other Employer-designated recipient on or before the last day of the Revocation
Period. This Release shall take effect only if it is executed within the twenty-one&nbsp;(21) day period as set forth above and
if it is not revoked pursuant to the preceding sentence. If those conditions are satisfied, this Release shall become effective
and enforceable on the date immediately following the last day of the Revocation Period (the &ldquo;<B><I>Effective Date</I></B>&rdquo;).</P>

</FONT>Expenses</B>. For purposes of this Agreement, the term &ldquo;expenses&rdquo; shall be broadly construed and shall include,
without limitation, all direct and indirect costs of any type or nature whatsoever (including, without limitation, all attorneys&rsquo;,
witness, or other professional fees and related disbursements, and other out-of-pocket costs of whatever nature), actually and
reasonably incurred by Indemnitee in connection with the investigation, defense or appeal of a proceeding or establishing or enforcing
a right to indemnification under this Agreement, the Code or otherwise, and amounts paid in settlement by or on behalf of Indemnitee
or in respect of any judgment, fine or penalty. The term &ldquo;expenses&rdquo; shall also include reasonable compensation for
time spent by Indemnitee for which he or she is not compensated by the Company or any subsidiary or third party (i) for any period
during which Indemnitee is not an agent, in the employment of, or providing services for compensation to, the Company or any subsidiary;
and (ii) if the rate of compensation and estimated time involved is approved by the directors of the Company who are not parties
to any action with respect to which expenses are incurred, for Indemnitee while an agent of, employed by, or providing services
for compensation to, the Company or any subsidiary.</P>

</FONT>Proceedings</B>. For purposes of this Agreement, the term &ldquo;proceeding&rdquo; shall be broadly construed and shall
include, without limitation, any threatened, pending, or completed action, suit, arbitration, alternate dispute resolution mechanism,
investigation, inquiry, administrative hearing or any other actual, threatened or completed proceeding, whether brought in the
right of the Company or otherwise and whether of a civil, criminal, administrative or investigative nature, and whether formal
or informal in any case, in which Indemnitee was, is or will be involved as a party or otherwise (including as a witness) by reason
of: (i) the fact that Indemnitee is or was a director or officer of the Company; (ii) the fact that any action taken by Indemnitee
or of any action on Indemnitee&rsquo;s part while acting as director, officer, employee or agent of the Company; or (iii) the fact
that Indemnitee is or was serving at the request of the Company as a director, officer, employee or agent of another corporation,
partnership, joint venture, trust, employee benefit plan or other enterprise, and in any such case described above, whether or
not serving in any such capacity at the time any liability or expense is incurred for which indemnification, reimbursement, or
advancement of expenses may be provided under this Agreement.</P>

</FONT>Subsidiary</B>. For purposes of this Agreement, the term &ldquo;subsidiary&rdquo; means any corporation or limited liability
company of which more than 50% of the outstanding voting securities or equity interests are owned, directly or indirectly, by the
Company and one or more of its subsidiaries, and any other corporation, limited liability company, partnership, joint venture,
trust, employee benefit plan or other enterprise of which Indemnitee is or was serving at the request of the Company as a director,
officer, employee, agent or fiduciary.</P>

</FONT>Independent Counsel</B>. For purposes of this Agreement, the term &ldquo;independent counsel&rdquo; means a law firm, or
a partner (or, if applicable, member) of such a law firm, that is experienced in matters of corporation law and neither presently
is, nor in the past five (5)<B> </B>years has been, retained to represent: (i) the Company or Indemnitee in any matter material
to either such party, or (ii) any other party to the proceeding giving rise to a claim for indemnification hereunder. Notwithstanding
the foregoing, the term &ldquo;independent counsel&rdquo; shall not include any person who, under the applicable standards of professional
conduct then prevailing, would have a conflict of interest in representing either the Company or Indemnitee in an action to determine

employee or agent of the Company, and the Company acknowledges that Indemnitee is relying upon this Agreement in serving as a director,

</FONT>Indemnification in Derivative Actions and Direct Actions by the Company</B>. Subject to Section 10 below, the Company shall
indemnify Indemnitee to the fullest extent permitted by the Code, as the same may be amended from time to time (but, only to the
extent that such amendment permits Indemnitee to broader indemnification rights than the Code permitted prior to adoption of such
amendment), if Indemnitee is a party to or threatened to be made a party to or otherwise involved in any proceeding by or in the
right of the Company to procure a judgment in its favor, against any and all expenses actually and reasonably incurred by Indemnitee
in connection with the investigation, defense, settlement, or appeal of such proceedings.</P>

that Indemnitee has been successful on the merits or otherwise in defense of any proceeding or in defense of any claim, issue or
matter therein, including the dismissal of any action without prejudice, the Company shall indemnify Indemnitee against all expenses
actually and reasonably incurred in connection with the investigation, defense or appeal of such proceeding.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in">&nbsp;</P>

</FONT>Partial Indemnification</B>. If Indemnitee is entitled under any provision of this Agreement to indemnification by the Company
for some or a portion of any expenses actually and reasonably incurred by Indemnitee in the investigation, defense, settlement
or appeal of a proceeding, but is precluded by applicable law or the specific terms of this Agreement to indemnification for the
total amount thereof, the Company shall nevertheless indemnify Indemnitee for the portion thereof to which Indemnitee is entitled.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in">&nbsp;</P>

</FONT>Advancement of Expenses</B>. To the extent not prohibited by law, the Company shall advance the expenses incurred by Indemnitee
in connection with any proceeding, and such advancement shall be made within twenty (20) days after the receipt by the Company
of a statement or statements requesting such advances (which shall include invoices received by Indemnitee in connection with such
expenses but, in the case of invoices in connection with legal services, any references to legal work performed or to expenditures
made that would cause Indemnitee to waive any privilege accorded by applicable law shall not be included with the invoice) and
upon request of the Company, an undertaking to repay the advancement of expenses if and to the extent that it is ultimately determined
by a court of competent jurisdiction in a final judgment, not subject to appeal, that Indemnitee is not entitled to be indemnified
by the Company. Advances shall be unsecured, interest free and without regard to Indemnitee&rsquo;s ability to repay the expenses.
Advances shall include any and all expenses actually and reasonably incurred by Indemnitee pursuing an action to enforce Indemnitee&rsquo;s
right to indemnification under this Agreement, or otherwise and this right of advancement, including expenses incurred preparing
and forwarding statements to the Company to support the advances claimed. Indemnitee acknowledges that the execution and delivery
of this Agreement shall constitute an undertaking providing that Indemnitee shall, to the fullest extent required by law, repay
the advance if and to the extent that it is ultimately determined by a court of competent jurisdiction in a final judgment, not
subject to appeal, that Indemnitee is not entitled to be indemnified by the Company. The right to advances under this Section shall
continue until final disposition of any proceeding, including any appeal therein. This Section 6 shall not apply to any claim made
by Indemnitee for which indemnity is excluded pursuant to Section 10(b).</P>

citation, subpoena, complaint, indictment, information or other document relating to any proceeding or matter which may be subject

the Company of any obligation which it may have to Indemnitee under this Agreement or otherwise.</P>

</FONT>Request for Indemnification and Indemnification Payments</B>. Indemnitee shall notify the Company promptly in writing upon
receiving notice of any demand, judgment or other requirement for payment that Indemnitee reasonably believes to be subject to
indemnification under the terms of this Agreement, and shall request payment thereof by the Company. The failure of Indemnitee
to so notify the Company shall not relieve the Company of any obligation which it may have to Indemnitee under this Agreement,
except to the extent the Company is prejudiced by such failure to notify. Indemnification payments requested by Indemnitee under
Section&nbsp;3 hereof shall be made by the Company no later than sixty (60) days after receipt of the written request of Indemnitee.
Claims for advancement of expenses shall be made under the provisions of Section 6 herein.</P>

right to indemnification or advancement of expenses pursuant to this Agreement. In such an enforcement hearing or proceeding, the
burden of proof shall be on the Company to prove that indemnification or advancement of expenses to Indemnitee is not required
under this Agreement or permitted by applicable law. Any determination by the Company (including its Board of Directors, stockholders<B>
</B>or independent counsel) that Indemnitee is not entitled to indemnification hereunder, shall not be a defense by the Company

in such proceeding, with counsel reasonably acceptable to Indemnitee. Upon assumption of the defense by the Company and the retention
of such counsel by the Company, the Company shall not be liable to Indemnitee under this Agreement for any fees of counsel subsequently
incurred by Indemnitee with respect to the same proceeding, provided that Indemnitee shall have the right to employ separate counsel
in such proceeding at Indemnitee&rsquo;s sole cost and expense. Notwithstanding the foregoing, if Indemnitee&rsquo;s counsel delivers
a written notice to the Company stating that such counsel has reasonably concluded that there may be a conflict of interest between
the Company and Indemnitee in the conduct of any such defense or the Company shall not, in fact, have employed counsel or otherwise
actively pursued the defense of such proceeding within a reasonable time, then in any such event the fees and expenses of Indemnitee&rsquo;s
counsel to defend such proceeding shall be subject to the indemnification and advancement of expenses provisions of this Agreement.</P>

</FONT>Insurance</B>. To the extent that the Company maintains an insurance policy or policies providing liability insurance for
directors, officers, employees, or agents of the Company or of any subsidiary (&ldquo;<B>D&amp;O Insurance</B>&rdquo;) Indemnitee
shall be covered by such policy or policies in accordance with its or their terms to the maximum extent of the coverage available
for any such director, officer, employee or agent under such policy or policies. If, at the time of the receipt of a notice of
a claim pursuant to the terms hereof, the Company has D&amp;O Insurance in effect, the Company shall give prompt notice of the
commencement of such proceeding to the insurers in accordance with the procedures set forth in the respective policies. The Company
shall thereafter take all necessary or desirable action to cause such insurers to pay, on behalf of Indemnitee, all amounts payable
as a result of such proceeding in accordance with the terms of such policies.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in">&nbsp;</P>

</FONT>Exceptions</B>.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 1in"><B>(a)<FONT STYLE="font-family: Times New Roman, Times, Serif; font-size: 10pt">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;
</FONT>Certain Matters</B>. Any provision herein to the contrary notwithstanding, the Company shall not be obligated pursuant to
the terms of this Agreement to indemnify Indemnitee on account of any proceeding with respect to (i)&nbsp;remuneration paid to
Indemnitee if it is determined by final judgment or other final adjudication that such remuneration was in violation of law (and,
in this respect, both the Company and Indemnitee have been advised that the Securities and Exchange Commission believes that indemnification
for liabilities arising under the federal securities laws is against public policy and is, therefore, unenforceable and that claims
for indemnification should be submitted to appropriate courts for adjudication, as indicated in Section 10(d) below); (ii)&nbsp;a
final judgment rendered against Indemnitee for an accounting, disgorgement or repayment of profits made from the purchase or sale
by Indemnitee of securities of the Company against Indemnitee or in connection with a settlement by or on behalf of Indemnitee
to the extent it is acknowledged by Indemnitee and the Company that such amount paid in settlement resulted from Indemnitee's conduct
from which Indemnitee received monetary personal profit, pursuant to the provisions of Section&nbsp;16(b) of the Securities Exchange
Act of 1934, as amended, or other provisions of any federal, state or local statute or rules and regulations thereunder; (iii)&nbsp;a
final judgment or other final adjudication that Indemnitee&rsquo;s conduct was in bad faith, knowingly fraudulent or deliberately
dishonest or constituted willful misconduct (but only to the extent of such specific determination); or (iv) on account of conduct
that is established by a final judgment as constituting a breach of Indemnitee&rsquo;s duty of loyalty to the Company or resulting
in any personal profit or advantage to which Indemnitee is not legally entitled. For purposes of the foregoing sentence, a final
judgment or other adjudication may be reached in either the underlying proceeding or action in connection with which indemnification
is sought or a separate proceeding or action to establish rights and liabilities under this Agreement.</P>

</FONT>Claims Initiated by Indemnitee</B>. Any provision herein to the contrary notwithstanding, the Company shall not be obligated
to indemnify or advance expenses to Indemnitee with respect to proceedings or claims initiated or brought by Indemnitee against
the Company or its directors, officers, employees or other agents and not by way of defense, except (i) with respect to proceedings
brought to establish or enforce a right to indemnification under this Agreement or under any other agreement, provision in the
Bylaws or the Company&rsquo;s articles/certificate of incorporation (the &ldquo;<B><I>Certificate of Incorporation</I></B>&rdquo;)
or applicable law, or (ii) with respect to any other proceeding initiated by Indemnitee that is either approved by the Board of
Directors or Indemnitee&rsquo;s participation is required by applicable law. However, indemnification or advancement of expenses
may be provided by the Company in specific cases if the Board of Directors determines it to be appropriate.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 1in">&nbsp;</P>

</FONT>Unauthorized Settlements</B>. Any provision herein to the contrary notwithstanding, the Company shall not be obligated pursuant
to the terms of this Agreement to indemnify Indemnitee under this Agreement for any amounts paid in settlement of a proceeding
effected without the Company&rsquo;s written consent. Neither the Company nor Indemnitee shall unreasonably withhold or delay consent
to any proposed settlement; provided, however, that the Company may in any event decline to consent to (or to otherwise admit or
agree to any liability for indemnification hereunder in respect of) any proposed settlement if the Company is also a party in such
proceeding and determines in good faith that such settlement is not in the best interests of the Company and its stockholders.</P>

pursuant to the terms of this Agreement to indemnify Indemnitee or otherwise act in violation of any undertaking appearing in and
required by the rules and regulations promulgated under the Securities Act of 1933, as amended (the &ldquo;<B><I>Act</I></B>&rdquo;),
or in any registration statement filed with the SEC under the Act. Indemnitee acknowledges that paragraph (h)&nbsp;of Item 512
of Regulation S-K currently generally requires the Company to undertake in connection with any registration statement filed under
the Act to submit the issue of the enforceability of Indemnitee&rsquo;s rights under this Agreement in connection with any liability
under the Act on public policy grounds to a court of appropriate jurisdiction and to be governed by any final adjudication of such
issue. Indemnitee specifically agrees that any such undertaking shall supersede the provisions of this Agreement and to be bound
by any such undertaking.</P>

</FONT>Nonexclusivity and Survival of Rights</B>. The provisions for indemnification and advancement of expenses set forth in this
Agreement shall not be deemed exclusive of any other rights which Indemnitee may at any time be entitled under any provision of
applicable law, the Certificate<B> </B>of Incorporation, Bylaws or other agreements, both as to action in Indemnitee&rsquo;s official
capacity and Indemnitee&rsquo;s action as an agent of the Company, in any court in which a proceeding is brought, and Indemnitee&rsquo;s
rights hereunder shall continue after Indemnitee has ceased acting as an agent of the Company and shall inure to the benefit of
the heirs, executors, administrators and assigns of Indemnitee. The obligations and duties of the Company to Indemnitee under this
Agreement shall be binding on the Company and its successors and assigns until terminated in accordance with its terms. The Company
shall require any successor (whether direct or indirect, by purchase, merger, consolidation or otherwise) to all or substantially
all of the business or assets of the Company, expressly to assume and agree to perform this Agreement in the same manner and to
the same extent that the Company would be required to perform if no such succession had taken place.</P>

or repeal of this Agreement or of any provision hereof shall limit or restrict any right of Indemnitee under this Agreement in
respect of any action taken or omitted by such Indemnitee in his or her corporate status prior to such amendment, alteration or
repeal. To the extent that a change in the Code, whether by statute or judicial decision, permits greater indemnification or advancement
of expenses than would be afforded currently under the Certificate of Incorporation, Bylaws and this Agreement, it is the intent
of the parties hereto that Indemnitee shall enjoy by this Agreement the greater benefits so afforded by such change. No right or
remedy herein conferred is intended to be exclusive of any other right or remedy, and every other right and remedy shall be cumulative
and in addition to every other right and remedy given hereunder or now or hereafter existing at law or in equity or otherwise.
The assertion or employment of any right or remedy hereunder, or otherwise, by Indemnitee shall not prevent the concurrent assertion
or employment of any other right or remedy by Indemnitee.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in">&nbsp;</P>

</FONT>Term</B>. This Agreement shall continue until and terminate upon the later of: (a) ten (10) years after the date that Indemnitee
shall have ceased to serve as a director or and/or officer, employee or agent of the Company; or (b) one (1) year after the final
termination of any proceeding, including any appeal then pending, in respect to which Indemnitee was granted rights of indemnification
or advancement of expenses hereunder.</P>

of such cause of action, and any claim or cause of action of the Company shall be extinguished and deemed released unless asserted
by the timely filing of a legal action within such five-year period; provided, however, that if any shorter period of limitations
is otherwise applicable to such cause of action, such shorter period shall govern.</P>

and shall do everything that may be reasonably necessary to secure such rights, including the execution of such documents necessary
to enable the Company effectively to bring suit to enforce such rights.</P>

</FONT>Severability</B>. If any provision of this Agreement shall be held to be invalid, illegal or unenforceable for any reason

limitation, all portions of any paragraphs of this Agreement containing any such provision held to be invalid, illegal or unenforceable,
that are not themselves invalid, illegal or unenforceable) shall not in any way be affected or impaired thereby; and (b)&nbsp;to
the fullest extent possible, the provisions of this Agreement (including, without limitation, all portions of any paragraph of
this Agreement containing any such provision held to be invalid, illegal or unenforceable, that are not themselves invalid, illegal
or unenforceable) shall be construed so as to give effect to the intent manifested by the provision held invalid, illegal or unenforceable
and to give effect to Section&nbsp;14 hereof.</P>

a waiver of any other provision hereof (whether or not similar) nor shall such waiver constitute a continuing waiver.</P>

have been validly served, given or delivered when sent, if by overnight delivery, courier or personal delivery, shall be deemed
to have been validly served, given or delivered upon actual delivery and, if mailed, shall be deemed to have been validly served,
given or delivered three (3) business days after deposit in the United States mail, as registered or certified mail, with proper
postage prepaid and addressed to the party or parties to be notified at the addresses set forth on the signature page of this Agreement
(or such other address(es) as a party may designate for itself by like notice). If to the Company, notices and demands shall be
delivered to the attention of the Secretary of the Company.</P>
