Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On September 28, 2021 Provident Financial Holdings, Inc. (the “Company”) announced that the Company’s Board of Directors had amended the Company’s Bylaws by increasing the number of directors from seven (7) to eight (8) members.  A copy of the Company’s amended and restated Bylaws are attached hereto as Exhibit 3.2.

The increase in the size of the Board of Directors is in connection with the nomination by the Company’s Nominating and Corporate Governance Committee of Kathy Michalak, to stand for election as a director of the Company in connection with the Annual Meeting of Stockholders. Ms. Michalak is the Executive Director of Habitat for Humanity Riverside and has significant expertise on issues related to affordable housing and homelessness.
