On April 10, 2021, inTEST Corporation (the &#8220;Company&#8221;) and its subsidiaries entered into a Second Amendment to Loan and Security Agreement (the &#8220;Second Amendment&#8221;) with M&amp;T Bank (&#8220;M&amp;T&#8221;). The Second Amendment amends the Loan and Security Agreement dated April 10, 2020, as amended by the First Amendment to Loan and Security Agreement dated December&nbsp;16, 2020 (collectively, the &#8220;Agreement&#8221;).</p>

<p style="font-family: &quot;Times New Roman&quot;; font-size: 10pt; font-variant: normal; margin: 0pt 0pt 0pt -9pt;">&nbsp;</p>

<p style="font-family: Times New Roman; font-size: 10pt; font-variant: normal; margin: 0pt 0pt 0pt -1pt;">Under&nbsp;the terms of the Second Amendment, the maximum amount available to the Company under the revolving credit facility has been increased from $7,500,000 to $10,000,000 and includes an unused facility fee equal to fifteen (15) basis points per annum. The term of the revolving credit facility, which had a 364-day contract period, has been extended to April 9, 2024. Under the Agreement, the principal balance of the revolving credit facility will accrue interest at the LIBOR rate plus 2%.</p>

<p style="font-family:Times New Roman;font-size:10pt;font-variant:normal;text-align:justify;margin:0pt;text-indent:36pt;"><b>THIS SECOND AMENDMENT TO LOAN AND SECURITY AGREEMENT </b>(this &#8220;<b>Amendment</b>&#8221;) is made effective as of April 10, 2021 (the &#8220;<b>Effective Date</b>&#8221;) by and among by and among <b>INTEST CORPORATION</b>, a Delaware corporation, (&#8220;<b>Borrower</b>&#8221;), <b>AMBRELL CORPORATION</b>, a Delaware corporation, <b>INTEST SILICON VALLEY CORPORATION</b>, a Delaware corporation, <b>INTEST EMS, LLC</b>, a Delaware limited liability company, and <b>TEMPTRONIC CORPORATION</b>, a Delaware corporation (each individually, a &#8220;<b>Guarantor</b>&#8221; and collectively, the &#8220;<b>Guarantors</b>&#8221;), and <b>M&amp;T BANK</b> (&#8220;<b>Lender</b>&#8221;).</p>

<p style="font-family:'Times New Roman';font-size:10pt;font-variant:normal;margin:0pt;">&nbsp;</p>

<p style="font-family:Times New Roman;font-size:10pt;font-variant:normal;text-align:center;margin:0pt;"><b><u>BACKGROUND</u></b></p>

<p style="font-family:'Times New Roman';font-size:10pt;font-variant:normal;margin:0pt;">&nbsp;</p>

<p style="font-family:Times New Roman;font-size:10pt;font-variant:normal;text-align:justify;margin:0pt;text-indent:36pt;">A.&nbsp; &nbsp;&nbsp; &nbsp;&nbsp;&nbsp;&nbsp; Borrower, Guarantors and Lender have previously entered into a certain Loan and Security Agreement dated April 10, 2020, as amended by that certain First Amendment to Loan and Security Agreement dated December 16, 2020 (as amended and as the same may be amended, supplemented or restated from time to time, the &#8220;<b>Loan Agreement</b>&#8221;).</p>

<p style="font-family:'Times New Roman';font-size:10pt;font-variant:normal;margin:0pt;">&nbsp;</p>

<p style="font-family:Times New Roman;font-size:10pt;font-variant:normal;text-align:justify;margin:0pt;text-indent:36pt;">B.&nbsp;&nbsp; &nbsp; &nbsp;&nbsp;&nbsp;&nbsp; Borrower, Guarantors and Lender are entering into this Amendment to amend certain terms and conditions in the Loan Agreement.</p>

<p style="font-family:'Times New Roman';font-size:10pt;font-variant:normal;margin:0pt;">&nbsp;</p>

<p style="font-family:Times New Roman;font-size:10pt;font-variant:normal;text-align:justify;margin:0pt;text-indent:36pt;">C.&nbsp;&nbsp;&nbsp;&nbsp; &nbsp; &nbsp;&nbsp; Capitalized terms not otherwise defined in this Amendment shall have the meanings set forth therefor in the Loan Agreement.</p>

<p style="font-family:'Times New Roman';font-size:10pt;font-variant:normal;margin:0pt;">&nbsp;</p>

<p style="font-family:Times New Roman;font-size:10pt;font-variant:normal;text-align:justify;margin:0pt;text-indent:36pt;"><b>NOW THEREFORE </b>in consideration of the foregoing premises and intending to be legally bound, the parties hereto agree as follows:</p>

<p style="font-family:'Times New Roman';font-size:10pt;font-variant:normal;margin:0pt;">&nbsp;</p>

<p style="font-family:Times New Roman;font-size:10pt;font-variant:normal;margin: 0pt 0pt 0pt 0pt;text-indent:36pt;"><b>1.</b><b>&nbsp; &nbsp; &nbsp; &nbsp; &nbsp;&nbsp; <u>Amended Definitions</u></b>. The following terms, as defined in <b><u>Section 1.1</u></b> of the Loan Agreement, shall be and are hereby amended and restated to read, in their entirety, as follows:</p>

<p style="font-family:'Times New Roman';font-size:10pt;font-variant:normal;margin:0pt;">&nbsp;</p>

<p style="font-family:Times New Roman;font-size:10pt;font-variant:normal;text-align:justify;margin:0pt 0pt 0pt 72pt;"><b><i>&#8220;Contract Period</i></b> means the period of time commencing on the date of this Agreement and expiring on April 9, 2024.&#8221;</p>

<p style="font-family:'Times New Roman';font-size:10pt;font-variant:normal;margin:0pt;">&nbsp;</p>

<p style="font-family:Times New Roman;font-size:10pt;font-variant:normal;text-align:justify;margin:0pt 0pt 0pt 72pt;"><b><i>&#8220;Maximum Revolving Credit Facility Amount</i></b> means $10,000,000.&#8221;</p>

<p style="font-family:'Times New Roman';font-size:10pt;font-variant:normal;margin:0pt;">&nbsp;</p>

<p style="font-family: Times New Roman; font-size: 10pt; font-variant: normal; margin: 0pt; text-align: justify; text-indent: 36pt;"><b>2.</b><b>&nbsp; &nbsp;&nbsp; &nbsp; &nbsp; &nbsp; <u>Amended and Restated Note</u></b>. Coincident with the execution of this Amendment, Borrower shall execute and deliver to Lender a Amended and Restated Revolver Note in the principal amount of $10,000,000 (the &#8220;<b>Amended and Restated Note</b>&#8221;). The Amended and Restated Note shall be in form and content acceptable to Lender and re-evidence and increase the existing indebtedness of Borrower to Lender under the Revolver Note dated April 10, 2020, in the original principal amount of $7,500,000 (the &#8220;<b>Existing Note</b>&#8221;). All references to the &#8220;<b>Revolver Note</b>&#8221; in the Loan Agreement and other Loan Documents shall be deemed to be references to the Amended and Restated Note. The parties hereby expressly acknowledge and agree that the Amended and Restated Note merely re-evidences and increases the indebtedness evidenced by the Existing Note and is given in substitution for, and not as payment of, the Existing Note.</p>

<p style="font-family:'Times New Roman';font-size:10pt;font-variant:normal;margin:0pt;">&nbsp;</p>

<p style="font-family: Times New Roman; font-size: 10pt; font-variant: normal; margin: 0pt; text-indent: 36pt; text-align: justify;"><b>3.</b><b> &nbsp; &nbsp; &nbsp; &nbsp; &nbsp; <u>Unused Facility Fee</u></b>. Borrower agrees to pay Bank an unused facility fee in an amount equal to fifteen (15) basis points per annum times the Average Unused Portion of Maximum Revolving Credit Facility Amount. Such fee will be payable quarterly in arrears on the last day of each calendar quarter, pro-rated for the actual number of days in any partial quarter, commencing with the calendar quarter ending June 30, 2021.</p>

<p style="font-family: Times New Roman; font-size: 10pt; font-variant: normal; margin: 0pt; text-indent: 36pt; text-align: justify;"><b>4.</b><b>&nbsp; &nbsp; &nbsp;&nbsp; &nbsp; &nbsp; <u>Amendment/References</u></b>. The Loan Agreement and the Loan Documents are hereby amended to be consistent with the terms of this Amendment. All references in the Loan Agreement and the Loan Documents to (a) the &#8220;Loan Agreement&#8221; shall be deemed to be references to the Loan Agreement as amended by this Amendment and (b) the &#8220;Loan Documents&#8221; shall include this Amendment and all references to the &#8220;Loan Documents&#8221; shall be deemed to be references to the Loan Documents as amended by this Amendment.</p>

<p style="font-family:'Times New Roman';font-size:10pt;font-variant:normal;margin:0pt;">&nbsp;</p>

<p style="font-family:Times New Roman;font-size:10pt;font-variant:normal;margin: 0pt 0pt 0pt 0pt;text-indent:36pt;"><b>5.</b><b>&nbsp; &nbsp; &nbsp;&nbsp; &nbsp; &nbsp; <u>Conditions</u></b>. The obligation of the Lender to enter into this Amendment shall be subject to the satisfaction of the following conditions:</p>

<p style="font-family:'Times New Roman';font-size:10pt;font-variant:normal;margin:0pt;">&nbsp;</p>

<p style="font-family: Times New Roman; font-size: 10pt; font-variant: normal; margin: 0pt; text-indent: 72pt; text-align: justify;"><b>5.1</b><b>&nbsp; &nbsp; &nbsp; &nbsp; <u>Executed Amendment Documents</u></b>. Borrower and Guarantors will have executed and delivered to Lender this Amendment, the Amended and Restated Note and any other documents required in connection with this Amendment.</p>

<p style="font-family:'Times New Roman';font-size:10pt;font-variant:normal;margin:0pt;">&nbsp;</p>

<p style="font-family: Times New Roman; font-size: 10pt; font-variant: normal; margin: 0pt; text-indent: 72pt; text-align: justify;"><b>5.2</b><b>&nbsp; &nbsp; &nbsp; &nbsp; <u>Representations and Warranties</u></b>.&nbsp;&nbsp;All representations and warranties of Borrower and Guarantors set forth in the Loan Documents shall be true at and as of the date hereof.</p>

<p style="font-family:'Times New Roman';font-size:10pt;font-variant:normal;margin:0pt;">&nbsp;</p>

<p style="font-family: Times New Roman; font-size: 10pt; font-variant: normal; margin: 0pt; text-indent: 72pt; text-align: justify;"><b>5.3</b><b>&nbsp;&nbsp; &nbsp; &nbsp; &nbsp; <u>No Default</u></b>.&nbsp;&nbsp; No condition or event shall exist or have occurred which would constitute a Default or an Event of Default.</p>

<p style="font-family:'Times New Roman';font-size:10pt;font-variant:normal;margin:0pt;">&nbsp;</p>

<p style="font-family: Times New Roman; font-size: 10pt; font-variant: normal; margin: 0pt; text-indent: 72pt; text-align: justify;"><b>5.4</b><b>&nbsp; &nbsp; &nbsp; &nbsp; <u>Other</u></b>.&nbsp;&nbsp;All other documents and legal matters as required by Lender or its counsel in connection with the transactions contemplated by this Amendment shall have been delivered, executed or recorded.</p>

<p style="font-family:'Times New Roman';font-size:10pt;font-variant:normal;margin:0pt;">&nbsp;</p>

<p style="font-family:Times New Roman;font-size:10pt;font-variant:normal;margin: 0pt 0pt 0pt 0pt;text-indent:36pt;"><b>6.</b><b>&nbsp; &nbsp; &nbsp;&nbsp; &nbsp; &nbsp; <u>Covenants and Representations and Warranties</u></b>.&nbsp;&nbsp; Borrower and each Guarantor hereby:</p>

<p style="font-family:'Times New Roman';font-size:10pt;font-variant:normal;margin:0pt;">&nbsp;</p>

<p style="font-family: Times New Roman; font-size: 10pt; font-variant: normal; margin: 0pt; text-indent: 72pt; text-align: justify;"><b>6.1</b>&nbsp; &nbsp; &nbsp; &nbsp; ratifies, confirms and agrees that the Loan Agreement, as amended by this Amendment, and all other Loan Documents, are valid, binding and in full force and effect as of the date of this Amendment, and enforceable in accordance with their terms.</p>

<p style="font-family:'Times New Roman';font-size:10pt;font-variant:normal;margin:0pt;">&nbsp;</p>

<p style="font-family: Times New Roman; font-size: 10pt; font-variant: normal; margin: 0pt; text-indent: 72pt; text-align: justify;"><b>6.2</b> &nbsp; &nbsp;&nbsp; &nbsp; agrees that as of the date hereof it has no defense, set-off, counterclaim or challenge against the payment of any sums owed or owing under the Loan Agreement and the other Loan Documents or the enforcement of any of the terms of the Loan Agreement or the other Loan Documents.</p>

<p style="font-family:'Times New Roman';font-size:10pt;font-variant:normal;margin:0pt;">&nbsp;</p>

<p style="font-family: Times New Roman; font-size: 10pt; font-variant: normal; margin: 0pt; text-indent: 72pt; text-align: justify;"><b>6.3</b>&nbsp; &nbsp; &nbsp; &nbsp; ratifies, confirms and continues all liens, security interests, pledges, rights and remedies granted to Lender in the Loan Agreement and the other Loan Documents and agrees that such liens, security interests and pledges shall secure all of the Obligations under the Loan Agreement and the other Loan Documents as amended by this Amendment.</p>

<p style="font-family:'Times New Roman';font-size:10pt;font-variant:normal;margin:0pt;">&nbsp;</p>

<p style="font-family: Times New Roman; font-size: 10pt; font-variant: normal; margin: 0pt; text-indent: 72pt; text-align: justify;"><b>6.4</b>&nbsp; &nbsp; &nbsp; &nbsp; represents and warrants that all representations and warranties in the Loan Agreement and the other Loan Documents are true, correct and complete in all material respects as of the date of this Amendment unless such representation and warranty is made as of a specific date.</p>

<p style="font-family:Times New Roman;font-size:10pt;font-variant:normal;text-align:justify;margin:0pt;text-indent:36pt;"><b>FOR VALUE RECEIVED AND INTENDING TO BE LEGALLY BOUND,</b> the undersigned (the &#8220;<b>Borrower</b>&#8221;), hereby promises to pay to the order of <b>M&amp;T BANK</b> (&#8220;<b>Bank</b>&#8221;), ON DEMAND after the occurrence and during the continuance of an Event of Default or after expiration of the Contract Period, the principal sum of Ten Million Dollars ($10,000,000), or such greater or lesser principal amount as may be outstanding from time to time under the line of credit established by Bank for the benefit of Borrower pursuant to the terms of that certain Loan and Security Agreement dated of even date herewith between Borrower, Guarantors and Bank (as the same may be amended, supplemented or restated from time to time, being the &#8220;<b>Loan Agreement</b>&#8221;) together with interest thereon, upon the following terms:</p>

<p style="font-family:'Times New Roman';font-size:10pt;font-variant:normal;margin:0pt;">&nbsp;</p>

<p style="font-family: Times New Roman; font-size: 10pt; font-variant: normal; margin: 0pt; text-indent: 36pt; text-align: justify;"><b>1.</b><b> &nbsp; &nbsp;&nbsp; &nbsp;&nbsp; <u>Revolving Credit Facility Note</u></b><b>.</b>&nbsp; This Amended and Restated Revolver Note is the &#8220;<b>Revolver Note</b>&#8221; as defined in the Loan Agreement and, as such, shall be construed in accordance with all terms and conditions thereof. Capitalized terms not defined herein shall have such meaning as provided in the Loan Agreement. This Revolver Note is entitled to all the rights and remedies provided in the Loan Agreement and the Loan Documents and is secured by all Collateral as described therein.</p>

<p style="font-family:'Times New Roman';font-size:10pt;font-variant:normal;margin:0pt;">&nbsp;</p>

<p style="font-family: Times New Roman; font-size: 10pt; font-variant: normal; margin: 0pt; text-indent: 36pt; text-align: justify;"><b>2.</b><b>&nbsp; &nbsp;&nbsp; &nbsp; &nbsp; <u>Interest Rate</u></b>.&nbsp; Interest on the unpaid principal balance hereof will accrue from the date of advance until final payment thereof at the rate per annum as provided in the Loan Agreement.</p>

<p style="font-family: Times New Roman; font-size: 10pt; font-variant: normal; margin: 0pt; text-indent: 36pt; text-align: justify;"><b>3.</b><b>&nbsp;&nbsp; &nbsp; &nbsp; &nbsp; <u>Default Interest</u></b>.&nbsp; Interest will accrue on the outstanding principal amount hereof at Bank&#8217;s request following the occurrence and during the continuance of an Event of Default or the expiration of the Contract Period until paid at a rate per annum which is two percent (2%) in excess of the rate payable under <b><u>Paragraph 2</u></b> above (the &#8220;<b>Default Rate</b>&#8221;).</p>

<p style="font-family:'Times New Roman';font-size:10pt;font-variant:normal;margin:0pt;">&nbsp;</p>

<p style="font-family: Times New Roman; font-size: 10pt; font-variant: normal; margin: 0pt; text-indent: 36pt; text-align: justify;"><b>4.</b><b>&nbsp; &nbsp;&nbsp;&nbsp; &nbsp; <u>Post Judgment Interest</u></b>.&nbsp; Any judgment obtained for sums due hereunder or under the Loan Documents will accrue interest at the Default Rate until paid.</p>

<p style="font-family:'Times New Roman';font-size:10pt;font-variant:normal;margin:0pt;">&nbsp;</p>

<p style="font-family: Times New Roman; font-size: 10pt; font-variant: normal; margin: 0pt; text-indent: 36pt; text-align: justify;"><b>5.</b><b>&nbsp; &nbsp; &nbsp; &nbsp; &nbsp; <u>Computation</u></b>.&nbsp; Interest will be computed on the basis of a year of three hundred sixty (360) days and paid for the actual number of days elapsed.</p>

<p style="font-family: Times New Roman; font-size: 10pt; font-variant: normal; margin: 0pt; text-indent: 36pt; text-align: justify;"><b>6.</b><b>&nbsp; &nbsp; &nbsp;&nbsp; &nbsp; <u>Interest Payments.</u></b><b>&nbsp; </b>Interest which accrues on the outstanding principal balance hereof at the applicable rate set forth above shall be due and payable monthly, on the first day of each calendar month, commencing on the first day of the first calendar month following the date hereof.</p>

Payment thereof may be enforced and recovered in whole or in part at any time and from time to time by one or more of the remedies provided to Bank in this Revolver Note or in the Loan Documents or as otherwise provided at law or in equity, all of which remedies are cumulative and concurrent.</p>

<p style="font-family: Times New Roman; font-size: 10pt; font-variant: normal; margin: 0pt; text-indent: 36pt; text-align: justify;"><b>9.</b><b>&nbsp;&nbsp; &nbsp;&nbsp; &nbsp; <u>Waivers</u></b><b>.&nbsp; Borrower and all endorsers, jointly and severally, waive presentment for payment, demand, notice of demand, notice of nonpayment or dishonor, protest and notice of protest of this Revolver Note, and all other notices in connection with the delivery, acceptance, performance, default or enforcement of the payment of this Revolver Note, except for such notices, if any, as are expressly required to be delivered by Bank to Borrower under the Loan Agreement.</b></p>

<p style="font-family: Times New Roman; font-size: 10pt; font-variant: normal; margin: 0pt; text-indent: 36pt; text-align: justify;"><b>10.</b><b>&nbsp; &nbsp;&nbsp; &nbsp; <u>Miscellaneous</u></b>.&nbsp; If any provisions of this Revolver Note shall be held invalid or unenforceable, such invalidity or unenforceability shall not affect any other provision hereof. This Revolver Note has been delivered in and shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania without regard to the law of conflicts. This Revolver Note shall be binding upon Borrower and upon Borrower&#8217;s successors and assigns and shall benefit Bank and its successors and assigns. The prompt and faithful performance of all of Borrower&#8217;s obligations hereunder, including without limitation, time of payment, is of the essence of this Revolver Note.</p>
