Board of Directors amended the 2005 Executive Bonus Plan (as amended, the &#147;Plan&#148;),
effective beginning January&nbsp;1, 2008. As amended, the plan allows for the
payment of bonus incentive and variable incentive compensation amounts with
equity awards in lieu of cash (or its equivalent), as determined from time to
time by the Compensation Committee.&nbsp; The 2005 Executive Bonus Plan as
amended January&nbsp;1, 2007, was filed in a current report on Form&nbsp;8-K
filed with the Securities and Exchange Commission on March&nbsp;12, 2007, and
the Plan, as amended, is attached as Exhibit&nbsp;10.1 hereto.</font></p>

<p style="margin:0in 0in .0001pt;text-autospace:none;text-indent:.5in;"><font size="2" face="Times New Roman">&nbsp;</font></p>

<p style="margin:0in 0in .0001pt;text-autospace:none;text-indent:.5in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">On April&nbsp;22, 2008, the
Compensation Committee approved the 2008 target incentive compensation amounts,
which amounts remain unchanged from 2007, and goals under the Plan and approved
payment of incentive compensation amounts earned under the Plan in 2008 with
vested restricted stock units (RSUs) in lieu of cash, at the discretion of the
Committee. Under the Plan, executive officers and other key employees, as
designated by the Compensation Committee, may be entitled to participate in an
incentive compensation plan, consisting of bonus incentive compensation and
variable incentive compensation.&nbsp;The Plan is intended to increase
shareholder value and the success of the Company by motivating key employees (a)&nbsp;to
perform to the best of their abilities and (b)&nbsp;to achieve the Company&#146;s
objectives. The target incentive compensation of our Chief Executive Officer is
30% of his total target cash compensation, and ranges from 21% to 33% of the
total target cash compensation for each of our other executive officers.</font></p>

<p style="margin:0in 0in .0001pt;text-autospace:none;text-indent:.5in;"><font size="2" face="Times New Roman">&nbsp;</font></p>

<p style="margin:0in 0in .0001pt;text-autospace:none;text-indent:.5in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">The Plan places a portion of
incentive compensation at risk, since participants must achieve certain
performance thresholds to earn bonus incentive compensation under the
Plan.&nbsp; In addition, the Plan increases bonus incentive compensation when
performance exceeds Plan objectives.</font></p>

are eligible to earn bonus incentive compensation based upon the achievement of
certain performance goals and objectives relating to the Company and/or each
individual participant.&nbsp; The Compensation Committee establishes quarterly
and/or annual performance goals and objectives for the Plan.&nbsp; Following
the end of each performance period, the Compensation Committee determines the
extent to which the performance goals and objectives were obtained.&nbsp; Based
on this assessment, participants earn bonus incentive compensation in an amount
equal to a percentage of such participant&#146;s target bonus incentive
compensation.</font></p>

<p style="margin:0in 0in .0001pt;text-autospace:none;text-indent:.5in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">The Compensation Committee
established that fifty percent of each participant&#146;s target bonus incentive
compensation for 2008 is based upon the Company&#146;s achievement of a new product
revenue objective (the &#147;Plan Revenue Objective&#148;), and fifty percent of each
participant&#146;s target bonus incentive compensation is dependent upon the Company&#146;s
achievement of an ending debt-free cash position objective (the &#147;Plan Financial
Objective&#148;).&nbsp; The Company must achieve a certain threshold for
participants to earn a bonus against the Plan Revenue Objective, and the
Company must achieve a certain threshold for participants to earn a bonus
against the Plan Financial Objective. Quarterly bonuses are adjusted for the
level of the Company&#146;s performance during the quarter in question, and may, if
the threshold level of performance is achieved, range from 70% to 100% of the
quarterly target bonus amounts. On an annual basis, incentive bonus
compensation is adjusted for the level of the Company&#146;s achievement, and may
range from 70% to 220% or more of the target bonus amounts. The Chief Executive
Officer&#146;s target bonus is currently 21% of his annual salary and each of the
other participating executive officers has a target bonus currently equal to
13% to 25% of their annual salary.</font></p>

<p style="margin:0in 0in .0001pt;text-autospace:none;text-indent:.5in;"><font size="2" face="Times New Roman">&nbsp;</font></p>

<p style="margin:0in 0in .0001pt;text-autospace:none;text-indent:.5in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">Under the Plan, participants
are also eligible to earn variable incentive compensation based upon the
achievement of certain performance goals and objectives relating to the Company
and/or each individual participant.&nbsp;The variable incentive compensation
program for 2008 ties fifty percent of the participants&#146; quarterly and/or
annual variable incentive compensation to the Company&#146;s achievement of new
product revenue targets and fifty percent to non-GAAP operating income targets
established by the Compensation Committee.&nbsp; Under the program, if the
Company achieves 100% of both targets, the participant will receive 100% of his
or her target variable incentive compensation.&nbsp; Quarterly variable
compensation is adjusted for the level of the Company&#146;s performance during the
quarter in question, and may range from 0% to 100% of the quarterly target

&#147; <u>Board</u> &#147; means the Board of Directors of the Company.</font></p>

&#147; <u>Code</u> &#147; means the Internal Revenue Code of 1986, as amended.&nbsp;
Reference to a specific section&nbsp;of the Code or regulation thereunder shall
include such section&nbsp;or regulation, any valid regulation promulgated
thereunder, and any comparable provision of any future legislation or
regulation amending, supplementing or superseding such section&nbsp;or
regulation.</font></p>

<p style="margin:0in 0in .0001pt;text-indent:.5in;"><font size="2" face="Times New Roman">&nbsp;</font></p>

<p style="margin:0in 0in .0001pt;text-indent:.5in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">2.5&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;
&#147; <u>Committee</u> &#147; means the committee appointed by the Board (pursuant to Section&nbsp;6.1)
to administer the Plan. &nbsp;Until otherwise determined by the Board, (a)&nbsp;the
Company&#146;s Compensation Committee shall constitute the Committee, and (b)&nbsp;for
administrative convenience, the independent, non-employee members of the Board
also may act as the Committee from time to time.</font></p>

&#147; <u>Company</u> &#147; means QuickLogic Corporation, a Delaware corporation, or any
successor thereto.</font></p>

&#147; <u>Disability</u> &#147; means a permanent and total disability determined in
accordance with uniform and nondiscriminatory standards adopted by the

&#147; <u>Employee</u> &#147; means any employee of the Company or of an Affiliate at the
level of Vice President or above, whether such individual is so employed at the
time the Plan is adopted or becomes so employed subsequent to the adoption of
the Plan.</font></p>

been selected by the Committee for participation in the Plan for that

discharge, death, Disability, retirement, or the disaffiliation of an
Affiliate, but excluding any such termination where there is a simultaneous
reemployment by the Company or an Affiliate.</font></p>

<u>Determination of</u>  <u>Target Awards</u>.&nbsp; The Committee, in its sole
discretion, shall establish a Target Award for each Participant.</font></p>

<u>Discretion to Modify Awards</u>.&nbsp; Notwithstanding any contrary
provision of the Plan, the Committee may, in its sole discretion and at any
time increase, reduce or eliminate a Participant&#146;s Actual Award.&nbsp; The
Committee may determine the amount of any reduction on the basis of such
factors as it deems relevant, and shall not be required to establish any
allocation or weighting with respect to the factors it considers.</font></p>

<p style="margin:0in 0in .0001pt;text-indent:.5in;"><font size="2" face="Times New Roman">&nbsp;</font></p>

<p style="margin:0in 0in .0001pt;text-indent:.5in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">3.4&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;
<u>Discretion to Determine Criteria</u>.&nbsp; Notwithstanding any contrary
provision of the Plan, the Committee shall, in its sole discretion, determine
the performance requirements applicable to any Target Award.&nbsp; The
requirements may be on the basis of any factors the Committee determines
relevant, and may be on an individual, divisional, business unit or
Company-wide basis.&nbsp; Failure to meet the requirements will result in a
failure to earn the Target Award, except as provided in Section&nbsp;3.3.</font></p>

Participant&#146;s employment or service at any time, with or without cause.&nbsp;
For purposes of the Plan, transfer of employment of a Participant between the
Company and any one of its Affiliates (or between Affiliates) shall not be
deemed a Termination of Service.&nbsp; Employment with the Company and its
Affiliates is on an at-will basis only.&nbsp; The Company expressly reserves
the right, which may be exercised at any time and without regard to when during
a Performance Period such exercise occurs, to terminate any individual&#146;s
employment with or without cause, and to treat him or her without regard to the
effect that such treatment might have upon him or her as a Participant.</font></p>

<u>Successors</u>.&nbsp; All obligations of the Company under the Plan, with
respect to awards granted hereunder, shall be binding on any successor to the
Company, whether the existence of such successor is the result of a direct or
indirect purchase, merger, consolidation, or otherwise, of all or substantially
all of the business or assets of the Company.</font></p>

<u>Beneficiary Designations</u>.&nbsp; If permitted by the Committee, a
Participant under the Plan may name a beneficiary or beneficiaries to whom any
vested but unpaid award shall be paid in the event of the Participant&#146;s
death.&nbsp; Each such designation shall revoke all prior designations by the
Participant and shall be effective only if given in a form and manner
acceptable to the Committee.&nbsp; In the absence of any such designation, any
vested benefits remaining unpaid at the Participant&#146;s death shall be paid to
the Participant&#146;s estate.</font></p>
