(&#147;Series&nbsp;E Preferred Stock&#148;), at a price of $535,000 per share, for an aggregate purchase price of $6,955,000 in cash, pursuant to a Series&nbsp;E Convertible Preferred Stock Purchase Agreement (the &#147;Purchase Agreement&#148;)
between the Company and Drawbridge Global Master Macro Fund Ltd (&#147;Drawbridge&#148;), a fund managed by Fortress Investment Group LLC. The Company expects to use the net proceeds of the transaction for general corporate purposes. </FONT></P> <P
STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2">The Series E Preferred Stock has no voting rights, except as required by Nevada law. Each share of Series E Preferred Stock is convertible into 100,000
shares of the Company&#146;s Common Stock. However, the Company shall not effect any conversion of the Series E Preferred Stock or any other preferred stock or warrant held by a holder of Series E Preferred Stock (a &#147;Holder&#148;), and no such
Holder shall have the right to convert any Series E Preferred Stock or any other preferred stock or warrant held by such Holder, to the extent that after giving effect to such conversion, the beneficial owner of such shares (together with such
beneficial owner&#146;s affiliates) would beneficially own in excess of 9.9% of the shares of the Company&#146;s Common Stock outstanding immediately after giving effect to such conversion or exercise. Holders of the Series&nbsp;E Preferred Stock

(&#147;<U>Board of Directors</U>&#148;) by Article IV of the Articles of Incorporation of the Corporation (the &#147;<U>Articles</U>&#148;), the Board of Directors does hereby create and, authorize for issuance a series of preferred stock, par value
$0.0001 per share, of the Corporation, consisting of up to 20 shares, and hereby fixes the voting powers, designations, preferences, and relative, participating, optional and other special rights, and qualifications, limitations, and restrictions
thereof, of the shares of such series, in addition to those set forth in the Articles, as follows: </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><B>SECTION 1.</B> <B>DESIGNATION OF
SERIES E PREFERRED STOCK.</B> The shares of the series of preferred stock created and authorized by this Resolution shall be designated &#147;Series E Convertible Preferred Stock&#148; (the &#147;<U>Series E Preferred Stock</U>&#148;). The total
number of authorized shares constituting the Series E Preferred Stock shall be 20. The number of shares constituting this series of preferred stock of the Corporation may be increased or decreased at any time, from time to time, in accordance with
applicable law up to the maximum number of shares of preferred stock authorized under the Articles, less all shares at the time authorized of any other series of preferred stock of the Corporation; <I>provided, however,</I> that no decrease shall
reduce the number of shares of this series to a number less than that of the then-outstanding shares of Series E Preferred Stock. The stated par value of the Series E Preferred Stock shall be $0.0001 per share. Shares of the Series E Preferred Stock
shall be dated the date of issue. </FONT></P> <P STYLE="margin-top:18px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><B>SECTION 2.</B> <B>DIVIDEND RIGHTS.</B> </FONT></P> <P
STYLE="margin-top:6px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><B>2.1</B> <B>Dividend Payment.</B> The holders of shares of Series E Preferred Stock shall be entitled to receive, out of assets of the Corporation
legally available therefor, dividends only when, as, and if declared by the Board of Directors, payable at the time of payment of dividends on the common stock, par value $0.0001 per share (the &#147;<U>Common Stock</U>&#148;), of the Corporation,

Corporation ranking junior to the Series E Preferred Stock be redeemed, purchased, retired, or otherwise acquired directly or indirectly by the Corporation for any consideration (or any monies paid for the account of, or set aside for payment for,
or paid to or made available for a sinking or similar fund for, such purposes), except by conversion into or exchange of shares of Common Stock or other capital stock of the Corporation ranking junior to the Series E Preferred Stock as to dividends,
unless, in each case, dividends on all outstanding shares of the Series E Preferred Stock contemporaneously are declared and a sum of money sufficient for payment have been set aside therefor. </FONT></P> <P
STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><B>SECTION 3.</B> <B>LIQUIDATION RIGHTS AND RANK.</B> In the event of any liquidation, dissolution, or winding up of the affairs of the Corporation,
whether voluntary or involuntary (a &#147;<U>Liquidation</U>&#148;), each holder of the Series E Preferred Stock then outstanding shall be entitled to receive out of the assets of the Corporation legally available for distribution to its
shareholders (whether representing capital or surplus), before any payment or distribution shall be made on the Common Stock or any capital stock of the Corporation ranking junior to the Series E Preferred Stock as to the payment of dividends or the
distribution of assets, an amount equal to (a)&nbsp;$5.35 multiplied by (b)&nbsp;the number of shares of Common Stock into which such holder&#146;s Series E Preferred Stock could then be converted (assuming the giving of notice and passage of time,
as contemplated in Section&nbsp;5 hereof). If, upon any Liquidation of the Corporation, the assets of the Corporation, or the proceeds of those assets, available for distribution shall be insufficient to pay in full the amount of the Liquidation
Preference, then all of the assets available shall be distributed among the holders of the Series E Preferred Stock. After the payment in full of the Liquidation Preference has been made to the holders of the Series E Preferred Stock, such holders
shall not be entitled to any further participation in any distribution of the assets of the Corporation in respect of the shares of Series E Preferred Stock owned by such holders. For purposes of this Section&nbsp;3, a sale, conveyance, exchange, or
transfer of all or substantially all of the properties or assets of the Corporation for cash, securities, or other consideration, or the consolidation, merger, or other business combination of the Corporation with one or more corporations, shall be
deemed to be a Liquidation. The Series E Preferred Stock shall, with respect to the various rights set forth in this Section&nbsp;3, rank (a)&nbsp;junior to the Series D Preferred Stock and to all series of Preferred Stock issued by the Company the
terms of which specifically provide that such capital stock ranks senior to the Series E Units; (b)&nbsp;senior to all other series of Preferred Stock ranking junior to the Series E Preferred Stock and to any other capital stock that is not
Preferred Stock; and (c)&nbsp;pari passu with any series of Preferred Stock of the Company hereafter created specifically ranking on parity with the Series E Units. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT
FACE="Times New Roman" SIZE="2"><B>SECTION 4.</B> <B>VOTING RIGHTS.</B> The holders of Series E Preferred Stock shall not be entitled to (a)&nbsp;any voting rights with respect to the Series E Preferred Stock or (b)&nbsp;notice of any meeting of the

STYLE="margin-top:6px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><B>5.1</B> <B>Conversion of Series E Preferred Stock Into Common Stock.</B> At any time and from time to time after the issuance of the Series E Preferred
Stock, any holder thereof may convert any or all of the shares of Series E Preferred Stock held by such holder at the ratio of one hundred thousand (100,000)&nbsp;shares of Common Stock for every one (1)&nbsp;share of Series E Preferred Stock
converted (the &#147;<U>Conversion Rate</U>&#148;), <I>provided, however,</I> the Company shall not effect any conversion of the Series E Preferred Stock or any other preferred stock or warrant held by a holder of Series E Preferred Stock (a
&#147;Holder&#148;), and no such Holder shall have the right to convert any Series E Preferred Stock or any other preferred stock or warrant held by such Holder, to the extent that after giving effect to such conversion, the beneficial owner of such
shares (together with such beneficial owner&#146;s affiliates) would beneficially own in excess of 9.9% (&#147;Maximum Percentage&#148;) of the shares of the Common Stock outstanding immediately after giving effect to such conversion or exercise.
For purposes of the foregoing sentence, the aggregate number of shares of Common Stock beneficially owned by a beneficial owner of Series E Preferred Stock held by such beneficial owner and its affiliates shall include the number of shares of Common
Stock issuable upon conversion of the Series E Preferred Stock, any other preferred stock and warrant held by such Holder with respect to which the determination of such sentence is being made, but shall exclude shares of Common Stock which would be
issuable upon (i)&nbsp;conversion of the remaining, nonconverted Series E Preferred Stock beneficially owned by such beneficial owner and its affiliates and (ii)&nbsp;exercise or conversion of the unexercised or unconverted portion of any other
securities of the Company beneficially owned by such beneficial owner and its affiliates (including, without limitation, any convertible notes or convertible preferred stock or warrants) subject to a limitation on conversion or exercise analogous to
the limitation contained herein. Except as set forth in the preceding sentence, for purposes of this paragraph, beneficial ownership shall be calculated in accordance with Section&nbsp;13(d) of the Securities Exchange Act of 1934, as amended. For
purposes of this Section&nbsp;5.1, in determining the number of outstanding shares of Common Stock a Holder may rely on the number of outstanding shares of Common Stock as reflected in (1)&nbsp;the Company&#146;s most recent Form 10-Q, Form 10-K or
other public filing with the Securities and Exchange Commission, as the case may be, (2)&nbsp;a more recent public announcement by the Company or (3)&nbsp;any other notice by the Company or its transfer agent setting forth the number of shares of
Common Stock outstanding. For any reason at any time, upon the written or oral request of any Holder, the Company shall within two business days confirm orally and in writing to any such Holder the number of shares of Common Stock then outstanding.
In any case, the number of outstanding shares of Common Stock shall be determined after giving effect to the conversion or exercise of securities of the Company, including the Series E Preferred Stock, any other preferred stock and warrant held by a
Holder, by such Holder and its affiliates since the date as of which such number of outstanding shares of Common Stock was reported. By written notice to the Company, the Holder may from time to time increase or decrease the Maximum Percentage to
any other percentage not in excess of 9.9% specified in such notice; provided that (i)&nbsp;any such increase will not be effective until the sixty-first (61st)&nbsp;day after such notice is delivered to the Company, and (ii)&nbsp;any such increase
or decrease will apply only to the Holder providing such written notice and not to any other Holder. </FONT></P> <P STYLE="margin-top:0px;margin-bottom:0px"><FONT SIZE="1">&nbsp;</FONT></P>

STYLE="margin-top:6px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2">(a)<I> Notice and Surrender of Certificates.</I> Any holder of shares of Series E Preferred Stock desiring to convert any portion thereof into shares of
Common Stock shall give written notice that such holder elects to convert a stated number of Series E Preferred Stock into Common Stock (the &#147;<U>Conversion Notice</U>&#148;) and shall surrender each certificate representing the Series E
Preferred Stock to be converted, duly executed in favor of the Corporation or in blank accompanied by proper instruments of transfer, at the principal business office of the Corporation (or at such other place as may be designated by Corporation).
The Conversion Notice shall set forth the name or names (with the address or addresses) in which the certificate or certificates for shares of the Common Stock shall be issued. </FONT></P> <P

into Common Stock shall be deemed to have been effected immediately prior to the close of business on the date on which all the conditions in Section&nbsp;5.2(a) of this Resolution have been satisfied, and at such time the rights of the holder of
such shares of Series E Preferred Stock so converted shall cease, and the person or persons in whose name any certificate or certificates for shares of Common Stock shall be issuable upon such conversion shall be deemed to have become the holder or
holders of record of the share of Common Stock represented thereby. The date on which the conversion of the Series E Preferred Stock pursuant to this Section&nbsp;5.2 into Common Stock shall be deemed to have been effected is hereinafter referred to
as the &#147;<U>Effective Conversion Date</U>&#148;. Except as otherwise provided herein, no payment or adjustment shall be made in respect of the Common Stock delivered upon conversion of the Series E Preferred Stock. </FONT></P> <P
STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2">(c)<I> Issuance of Common Stock Certificates.</I> As soon as practicable after the Effective Conversion Date, the Corporation shall issue and deliver, or
cause to be issued and delivered, to the converting holder a certificate or certificates for the number of whole shares of Common Stock issuable by reason of the conversion of such shares of Series E Preferred Stock, registered in such name or names
and such denominations as the converting holder has specified, subject to compliance with applicable laws to the extent such designation shall involve a transfer. In case the number of shares of Series E Preferred Stock represented by the
certificate or certificates surrendered for conversion pursuant to this Section&nbsp;5.2 exceeds the number of shares converted, the Corporation shall, upon such conversion, execute and deliver to the holder thereof a new certificate for the number
of shares of Series E Preferred Stock represented by the certificate or certificates surrendered that are not to be converted. </FONT></P> <P STYLE="margin-top:18px;margin-bottom:0px; margin-left:4%"><FONT FACE="Times New Roman" SIZE="2"><B>5.3</B>
<B>Adjustments to Conversion Rate. </B></FONT></P> <P STYLE="margin-top:6px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2">(a)<I> Subdivision or Combination of Common Stock.</I> If the Corporation at any time: (i)&nbsp;pays
a dividend or makes a distribution on its Common Stock in shares of Common Stock, (ii)&nbsp;subdivides (by stock split, recapitalization, or otherwise) its outstanding Common Stock into a greater number of shares, or (iii)&nbsp;combines (by reverse

rights, warrants, or options to holders of its Common Stock, as a class, entitling all holders of the class to subscribe for or to purchase Common Stock at a price per share less than the Current Market Price (as defined in Section&nbsp;5.3(e)
hereof) at the record date for the determination of shareholders entitled to receive such rights, warrants, or options, the Conversion Rate will be reduced so that it will be the amount determined by multiplying (i)&nbsp;the Conversion Rate existing
prior to the record date for the issuance of the rights, warrants, or options by (ii)&nbsp;a fraction of which (x)&nbsp;the numerator is the number of shares of Common Stock outstanding on such record date, plus the number of shares of Common Stock
which the aggregate exercise price of all rights, warrants, or options would purchase at the Current Market Price at the record date, and (y)&nbsp;the denominator is the number of shares of Common Stock outstanding on the record date for the
issuance of the rights, warrants, or options, plus the number of additional shares of Common Stock issuable on the exercise of all rights, warrants, or options. Such adjustment shall be made successively whenever such rights, warrants, or options
are issued or granted, and will become effective immediately. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2">(c) <I>Certain Dividends and Distributions on Common Stock.</I> In the event
that the Corporation shall pay or make a dividend or other distribution to all holders of the Common Stock as a class payable in securities, evidences of indebtedness, assets, or other property (excluding cash dividends or distributions of cash
payable from retained earnings of the Corporation, dividends payable in Common Stock, or distributions of rights, warrants, or options referred to in Section&nbsp;5.3(b) hereof, but including, without limitation, shares of any other class of the
Corporation&#146;s capital stock or securities convertible into or exchangeable for Common Stock or any other class of the Corporation&#146;s capital stock), then, in each such case, the Conversion Rate will be reduced so that it will equal the
amount determined by multiplying (i)&nbsp;the Conversion Rate in effect immediately prior to the record date for the distribution by (ii)&nbsp;a fraction of which (x)&nbsp;the numerator is the Current Market Price of a share of Common Stock on the
record date for the distribution, less the then fair market value (as determined by the Board of Directors, whose determination, if made in good faith, will be conclusive) of the capital stock, evidence of indebtedness, assets, or other property
which are distributed with respect to one (1)&nbsp;share of Common Stock and (y)&nbsp;the denominator is the Current Market Price of one (1)&nbsp;share of Common Stock on that record date. Each adjustment shall be made successively whenever such
distribution is made and shall be effective immediately after the record date for the distribution to shareholders entitled to receive the distribution. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT
FACE="Times New Roman" SIZE="2">(d) <I>Merger or Consolidation.</I> If there is a reorganization, or a merger or consolidation of the Corporation with or into any other entity which results in a conversion, exchange, or cancellation of the Common
Stock, or a sale of all or substantially all of the assets of the Corporation, on a consolidated basis (except for sales or dispositions to a wholly owned subsidiary of the Corporation), upon any subsequent conversion of the Series E Preferred

price of the Common Stock on the principal stock exchange on which the Common Stock is then listed, or (B)&nbsp;if the Common Stock is not listed or admitted to trading on a national stock exchange, the last reported sales price of the Common Stock
on the principal automated securities price quotation system on which sales prices of the Common Stock is reported, or (C)&nbsp;if the Common Stock is not reported on an automated quotation system, the mean of the high bid and low asked price
quotations for the Common Stock as reported by Pink Sheets LLC. If the Common stock is not traded or quoted as described in any of Sections&nbsp;5.3(e)(i)(A), (B), or (C)&nbsp;hereof, the Current Market Price of the Common Stock on a day will be the
fair market value of the Common Stock on that day as determined by the Board of Directors. </FONT></P> <P STYLE="margin-top:6px;margin-bottom:0px; margin-left:4%; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2">(ii) For the purpose of any
computation under this Section&nbsp;5, the &#147;<U>Current Market Price</U>&#148; of the Common Stock on any date will be the average Market Price of the Common Stock on each of the ten consecutive Business Days preceding the date of the
computation. </FONT></P> <P STYLE="margin-top:6px;margin-bottom:0px; margin-left:4%; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2">(iii) The term &#147;<U>Business Day</U>&#148; means any day other than a Saturday. Sunday, or other day on
which the commercial banks in Tampa, Florida are authorized or required by law or executive order to close. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2">(f)<I> De Minimus
Adjustments.</I> No adjustment in the Conversion Rate will be made unless the adjustment would require a change of at least one percent (1%)&nbsp;in the Conversion Rate; <I>provided, however,</I> that any adjustments that are not made because of
this Section&nbsp;5.3(i) will be carried forward and taken into account in any subsequent adjustment; and <I>provided, further,</I> that any adjustment must be made in accordance with this Section&nbsp;5 (without regard to this Section&nbsp;5.3(i))
not later than the time the adjustment may be required in order to preserve the tax-free nature, if any, of a distribution to the holders of shares of the Common Stock. All calculations under this Section&nbsp;5 will be made to the nearest full
share. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; margin-left:4%"><FONT FACE="Times New Roman" SIZE="2"><B>5.4 Notices. </B></FONT></P> <P STYLE="margin-top:6px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman"
SIZE="2">(a)<I> Notice of Conversion Rate Adjustments.</I> Upon any adjustment of the Conversion Rate pursuant to the provisions of Section&nbsp;5.3 of this Resolution, the Corporation shall promptly give written notice thereof to each holder of
record of the Series E Preferred Stock. Such notice shall set forth (i)&nbsp;the adjusted Conversion Rate, (ii)&nbsp;a description of the events which caused the adjustment, (iii)&nbsp;a description of the method of calculation of the adjustment,
and (v)&nbsp;the date on which the adjustments become effective. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2">(b) <I>Other Notices.</I> If any of the following shall occur:
</FONT></P> <P STYLE="margin-top:6px;margin-bottom:0px; margin-left:4%; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2">(i) the Corporation shall declare a dividend or authorize any other distribution on its Common Stock, including those of

below with respect to which notice is to be given, which notice shall state the following: (x)&nbsp;the date on which a record is to be taken for the purpose of such dividend, distribution, or rights, or, if a record is not to be taken, the date as
of which the holders of Common Stock of record to be entitled to such dividend, distribution, or rights are to be determined; (y)&nbsp;the date on which such reclassification, reorganization, merger or consolidation, or sale, conveyance, exchange,
or transfer of all or substantially all of the assets of the Corporation, or Liquidation, is expected to become effective, and the date, if any, as of which the holders of Common Stock of record shall be entitled to exchange their Common Stock for
securities or other property deliverable upon such reclassification, reorganization, merger or consolidation, or sale, conveyance, exchange, or transfer or Liquidation; and (z)&nbsp;if any matters referred to in the foregoing clauses (x)&nbsp;and
(y)&nbsp;are to be voted upon by holders of Common Stock the date as of which those shareholders to be entitled to vote are to be determined. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman"
SIZE="2"><B>5.5</B> <B>Reservation of Shares of Common Stock.</B> The Corporation shall at all times reserve and keep available out of its authorized and unissued shares of Common Stock, such number of shares of its Common Stock as shall from time
to time be sufficient to effect the conversion of all shares of the Series E Preferred Stock from time to time outstanding, but shares of Common Stock held in the treasury of the Corporation may, at the discretion of the Corporation, be delivered
upon any conversion of the Series E Preferred Stock. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><B>5.6</B> <B>Issue and Other Taxes.</B> The Corporation shall pay any and all
documentary stamp or similar issue or other taxes that may be payable in respect of any issue or delivery of shares of Common Stock on conversion of Series E Preferred Stock pursuant hereto. The Corporation, however, shall not be required to pay any
tax that may be payable in respect of any transfer involved in the issue and delivery of any shares of Common Stock in a name other than that in which the shares of the Series E Preferred Stock so converted were registered and no such issue or
delivery shall be made unless and until the person requesting such issue or delivery has paid to the Corporation the amount of any such tax or has established, to the satisfaction of the Corporation, that such tax has been paid. </FONT></P> <P
STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><B>5.7</B> <B>Closing of Corporate Books.</B> The Corporation shall not close its books against the transfer of the Series E Preferred Stock or of any

without the consent of each holder of Series E Preferred Stock affected thereby: (a)&nbsp;reduce the Liquidation Preference of, or dividend on, the Series E Preferred Stock; (b)&nbsp;change the place or currency of payment of the Liquidation
Preference of, or dividend on, any Series E Preferred Stock; (c)&nbsp;impair the right to institute suit for the enforcement of any payment on, or with respect to, the Series E Preferred Stock; (d)&nbsp;adversely affect the right to convert the
Series E Preferred Stock; or (e)&nbsp;reduce the percentage of outstanding Series E Preferred Stock necessary to modify or amend the terms thereof or to grant waivers with respect thereto. </FONT></P> <P
STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><B>8.3 Notices.</B> Except as otherwise expressly provided in this Resolution, whenever a notice or other communication is required or permitted to be

holder(s) of the shares at the addresses as they appear on the books of the Corporation, as of a record date or dates determined in accordance with the Articles and Bylaws of the Corporation, this Resolution and applicable law, as in effect from
time to time. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><B>8.4 Limited Rights.</B> Except as may be otherwise required by applicable law, the Series E Preferred Stock shall not

authority conferred upon the Board of Directors of the Corporation by its Articles of Incorporation, as amended, and Section&nbsp;78.315 of the Nevada Revised Statutes, the Board of Directors, by unanimous written consent, duly approved and adopted
the following recitals and resolutions (referred to herein as the &#147;<U>Resolutions</U>&#148;): </FONT></P> <P STYLE="margin-top:6px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><B>WHEREAS,</B> the Corporation has

provided for the issuance of up to 700,000 Series A Shares, and fixed the voting powers, designations, preferences, and relative, participating, optional and other special rights, and qualifications, limitations, and restrictions thereof.
</FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><B>WHEREAS</B>, only 190,000 Series A Shares were issued, and such shares have been tendered to the Corporation by the respective holders
thereof for conversion into shares of the Corporation&#146;s common stock so that no Series A Shares currently remain outstanding. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman"

Information: </B></FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2">The Company proposes to authorize, issue, and sell to the Investors, and the Investors propose to purchase and accept
from the Company, shares of the Company&#146;s Series E Convertible Preferred Stock, par value $0.0001 per share (the &#147;<U>Series E Shares</U>&#148;), with the terms and conditions as set forth in the Certificate of Designation in the form

any such conflicts, violations or defaults which are not reasonably likely to have a Material Adverse Effect, or (b)&nbsp;result in the creation or imposition of any lien, encumbrance, claim, security interest or restriction whatsoever upon any of
the material properties or assets of the Company or any Subsidiary or an acceleration of indebtedness pursuant to any obligation, agreement or condition contained in any material bond, debenture, note or any other evidence of indebtedness or any
material indenture, mortgage, deed of trust or any other agreement or instrument to which the Company or any Subsidiary is a party or by which any of them is bound or to which any of the material property or assets of the Company or any Subsidiary
is subject. No consent, approval, authorization or other order of, or registration, qualification or filing with, any regulatory body, administrative agency, or other governmental body in the United States or any other person is required for the

on the date of this Agreement, and neither the Company nor, to the Company&#146;s knowledge, any other party to such contracts is in breach of or default under any of such contracts which would have a Material Adverse Effect. </FONT></P> <P
STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><B>Section&nbsp;2.18 Taxes.</B> The Company has filed all necessary federal, state and foreign income and franchise tax returns and has paid or accrued
all taxes shown as due thereon, and the Company has no knowledge of a tax deficiency which has been or might be asserted or threatened against it which would have a Material Adverse Effect. </FONT></P> <P
STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><B>Section&nbsp;2.19 Transfer Taxes.</B> On the Closing Date, all stock transfer or other taxes (other than income taxes) which are required to be paid
in connection with the sale and transfer of the Series E Shares to be sold to the Investors pursuant to this Agreement will be, or will have been, fully paid or provided for by the Company and all laws imposing such taxes will be or will have been
fully complied with. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><B>Section&nbsp;2.20 Private Offering.</B> Assuming the accuracy and correctness of the representations and
warranties of the Investors set forth in Article&nbsp;3 of this Agreement, the offer and sale of the Series E Shares pursuant to this Agreement is exempt from registration under the Securities Act. The Company has not distributed and will not
distribute prior to the Closing Date any offering material in connection with the offer and sale of the Series E Shares other than the documents of which this Agreement is a part or the Exchange Act Documents. The Company has not in the past nor
will it hereafter take any action to sell, offer for sale or solicit offers to buy any securities of the Company which would bring the offer, issuance or sale of the Series E Shares, as contemplated by this Agreement, within the provisions of
Section&nbsp;5 of the Securities Act, unless such offer, issuance or sale was or shall be within the exemptions of Section&nbsp;4 of the Securities Act. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT
FACE="Times New Roman" SIZE="2"><B>Section&nbsp;2.21 Internal Accounting and Disclosure Controls.</B> The Company and each of its Subsidiaries maintain a system of internal accounting controls sufficient to provide reasonable assurance that

filings with the SEC. Any SEC filings effected by the Company from this date forward will not include any such Investor as an &#147;affiliate&#148; while such Investor holds less than 10% of the Company&#146;s common stock unless other facts and
circumstances give such Investor effective control over the Company. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><B>Section&nbsp;2.23 Disclosure.</B> The representations and
warranties of the Company contained in this Article 2, as of the date of this Agreement and as of the Closing Date, do not and will not intentionally contain any untrue statement of a material fact or intentionally omit to state a material fact
required to be stated therein or necessary to make the statements therein, in light of the circumstances under which they were made, not misleading. </FONT></P> <P STYLE="margin-top:24px;margin-bottom:0px" ALIGN="center"><FONT FACE="Times New Roman"

Company as follows: </FONT></P> <P STYLE="margin-top:6px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><B>Section&nbsp;3.1 Authorization.</B> Such Investor has full power and authority to enter into this Agreement, and
this Agreement constitutes its valid and legally binding obligation, enforceable in accordance with its terms, except as rights to indemnity and contribution may be limited by state or federal securities laws or the public policy underlying such
laws, except as enforceability may be limited by applicable bankruptcy, insolvency, reorganization, moratorium or similar laws affecting creditors&#146; and contracting parties&#146; rights generally, and except as enforceability may be subject to
general principles of equity (regardless of whether such enforceability is considered in a proceeding in equity or at law). </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman"
SIZE="2"><B>Section&nbsp;3.2 Purchase Entirely for Own Account.</B> This Agreement is made with such Investor in reliance upon such Investor&#146;s representation to the Company, which by such Investor&#146;s execution of this Agreement such
Investor hereby confirms, that the Series E Shares to be received by such Investor and the Conversion Shares (collectively, the &#147;<U>Securities</U>&#148;) will be acquired for investment for such Investor&#146;s own account, not as a nominee or
agent, and not with a view to the distribution of any part thereof, and that such Investor has no present intention of selling, granting any participation in, or otherwise distributing the same. By executing this Agreement, such Investor further
represents that such Investor does not have any contract, undertaking, agreement or arrangement with any person to sell, transfer or grant participations to such person or to any third person, with respect to any of the Securities. </FONT></P> <P

information it considers necessary or appropriate for deciding whether to purchase the Series E Shares. Such Investor further represents that it has had an opportunity to ask questions and receive answers from the Company regarding the terms and
conditions of the offering of the Series E Shares, and the business, properties, prospects and financial condition of the Company. The foregoing, however, does not limit or modify the representations and warranties of the Company in Article&nbsp;2
of this Agreement or the right of such Investor to rely thereon. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><B>Section&nbsp;3.4 Investment Experience.</B> Such Investor is a
sophisticated investor and acknowledges that it is able to fend for itself, can bear the economic risk of its investment, and has such knowledge and experience in financial or business matters that it is capable of evaluating the merits and risks of
the investment in the Securities. If other than an individual, Investor also represents it has not been organized for the purpose of acquiring the Securities. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT
FACE="Times New Roman" SIZE="2"><B>Section&nbsp;3.5 Accredited Investor.</B> Such Investor is an &#147;accredited investor&#148; within the meaning of SEC Rule&nbsp;501 of Regulation D, as presently in effect. </FONT></P> <P
STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><B>Section&nbsp;3.6 Restricted Securities.</B> Such Investor understands that the Securities will be characterized as &#147;restricted securities&#148;
under the federal securities laws inasmuch as they are being acquired from the Company in a transaction not involving a public offering and that under such laws and applicable regulations such securities may be resold without registration under the
Securities Act, only in certain limited circumstances. In this connection, such Investor represents that it is familiar with SEC Rule&nbsp;144, as presently in effect, and understands the resale limitations imposed thereby and by the Securities Act.
</FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><B>Section&nbsp;3.7 Further Limitations on Disposition.</B> Without in any way limiting the representations set forth above, such Investor
further agrees not to make any disposition of all or any portion of the Securities unless and until: </FONT></P> <P STYLE="margin-top:6px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2">(a) there is then in effect a
Registration Statement under the Securities Act covering such proposed disposition and such disposition is made in accordance with such Registration Statement; or </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT
FACE="Times New Roman" SIZE="2">(b) such Investor shall have notified the Company of the proposed disposition and shall have furnished the Company with a detailed statement of the circumstances surrounding the proposed disposition, and, if
reasonably requested by the Company, such Investor shall have furnished the Company with an opinion of counsel, reasonably satisfactory to the Company that such disposition will not require registration of such shares under the Securities Act.

indirectly traded in the Common Stock or established any hedge or other position in the Common Stock that is outstanding on the Closing Date and that is designed to or could reasonably be expected to lead to or result in a direct or indirect sale,
offer to sell, solicitation of offers to buy, disposition of, loan, pledge or grant of any right with respect to the Common Stock by such Investor or any other person or entity. Such prohibited hedging or other transactions would include, without
limitation, effecting any short sale or having in effect any short position (whether or not such sale or position is against the box and regardless of when such position was entered into) or any purchase, sale or grant of any right (including
without limitation any put or call option) with respect to the Common Stock or with respect to any security (other than a broad-based market basket or index) that includes, relates to or derives any significant part of its value from the Common
Stock. </FONT></P> <P STYLE="margin-top:0px;margin-bottom:0px"><FONT SIZE="1">&nbsp;</FONT></P>

They may not be sold, offered for sale, pledged or hypothecated in the absence of a registration statement in effect with respect to the securities under such Act or an opinion of counsel satisfactory to the Company that such registration is not
required or unless sold pursuant to Rule&nbsp;144 of such Act.</B> </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px"><FONT FACE="Times New Roman" SIZE="2">The legend set forth above shall be removed and the Company shall issue a certificate
or other instruments without such legend to the holder of the Securities upon which it is stamped, if, unless otherwise required by state securities laws or regulations, (i)&nbsp;such Securities are registered for resale under the Securities Act,
(ii)&nbsp;in connection with a sale, assignment or other transfer, such holder provides the Company with an opinion of counsel, in a form reasonably acceptable to the Company, to the effect that such sale, assignment or transfer of the Securities

respective controlling persons, officers, directors, partners, agents, or employees of any Investor shall be liable to any other Investor for any action heretofore or hereafter taken or omitted to be taken by any of them in connection with the
issuance and purchase of the Series E Shares. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><B>Section&nbsp;3.11 Further Representations by Foreign Investors.</B> If an Investor is not
a United States person, such Investor hereby represents that he or she has satisfied himself or herself as to the full observance of the laws of his or her jurisdiction in connection with any invitation to subscribe for the Securities or any use of
this Agreement, including (a)&nbsp;the legal requirements within his jurisdiction for the purchase of the Securities, (b)&nbsp;any foreign exchange restrictions applicable to such purchase, (c)&nbsp;any governmental or other consents that may need
to be obtained, and (d)&nbsp;the income tax and other tax consequences, if any, that may be relevant to the purchase, holding, redemption, sale, or transfer of the Securities. Such Investor&#146;s subscription and payment for, and his or her
continued beneficial ownership of the Securities, will not violate any applicable securities or other laws of his or her jurisdiction. </FONT></P> <P STYLE="margin-top:24px;margin-bottom:0px" ALIGN="center"><FONT FACE="Times New Roman"
SIZE="2"><B>Article 4 </B></FONT></P> <P STYLE="margin-top:0px;margin-bottom:0px" ALIGN="center"><FONT FACE="Times New Roman" SIZE="2"><B>Conditions to the Investors&#146; </B></FONT></P> <P STYLE="margin-top:0px;margin-bottom:0px"

1.1(c) of this Agreement are subject to the fulfillment on or before the Closing of each of the following conditions, the waiver of which shall not be effective against any Investor who does not consent thereto: </FONT></P> <P
STYLE="margin-top:6px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><B>Section&nbsp;4.1 Representations and Warranties.</B> The representations and warranties of the Company contained in Article&nbsp;2 shall be true on and
as of the Closing with the same effect as though such representations and warranties had been made on and as of the date of such Closing. </FONT></P> <P STYLE="margin-top:0px;margin-bottom:0px"><FONT SIZE="1">&nbsp;</FONT></P>

obligations and conditions contained in this Agreement that are required to be performed or complied with by it on or before the Closing. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman"
SIZE="2"><B>Section&nbsp;4.3 Compliance Certificate.</B> The President or other appropriate officer of the Company shall deliver to the Investors at the Closing a certificate stating that the conditions specified in Sections&nbsp;4.1 and 4.2 have
been fulfilled. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><B>Section&nbsp;4.4 Qualifications.</B> All authorizations, approvals, or permits, if any, of any governmental authority
or regulatory body of the United States or of any state that are required in connection with the lawful issuance, sale and purchase of the Series E Shares pursuant to this Agreement shall be duly obtained and effective as of the Closing. </FONT></P>
<P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><B>Section&nbsp;4.5 Proceedings and Documents.</B> All corporate and other proceedings in connection with the transactions contemplated at the Closing
and all documents incident thereto shall be reasonably satisfactory in form and substance to the Investors, and they shall have received all such counterpart original and certified or other copies of such documents as they may reasonably request.

FACE="Times New Roman" SIZE="2">The obligations of the Company to each Investor under this Agreement are subject to the fulfillment on or before the Closing of each of the following conditions by that Investor: </FONT></P> <P
STYLE="margin-top:6px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><B>Section&nbsp;5.1 Representations and Warranties.</B> The representations and warranties of the Investors contained in Article&nbsp;3 shall be true on
and as of the Closing with the same effect as though such representations and warranties had been made on and as of the date of such Closing. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman"
SIZE="2"><B>Section&nbsp;5.2 Payment of Purchase Price.</B> The Investors shall have delivered the Series E Purchase Price specified in Section&nbsp;1.1(c). </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT
FACE="Times New Roman" SIZE="2"><B>Section&nbsp;5.3 Qualifications.</B> All authorizations, approvals, or permits, if any, of any governmental authority or regulatory body of the United States or of any state that are required in connection with the
lawful issuance, sale and purchase of the Series E Shares pursuant to this Agreement shall be duly obtained and effective as of the Closing. </FONT></P> <P STYLE="margin-top:24px;margin-bottom:0px" ALIGN="center"><FONT FACE="Times New Roman"

require the Company to, pursuant to the terms of this Agreement, register (including pursuant to an underwritten registration) under and in accordance with the provisions of the Securities Act the number of Registrable Securities beneficially owned
by the Holders and requested by such Demand Notice to be so registered (a &#147;<U>Demand Registration</U>&#148;). A Demand Notice shall also specify the expected method or methods of disposition of the applicable Registrable Securities. Following
receipt of a Demand Notice, the Company shall use its reasonable best efforts to file, as promptly as reasonably practicable, but not later than 30 days after receipt by the Company of such Demand Notice (subject to paragraph (d)&nbsp;of this
Section&nbsp;6.4), a Registration Statement relating to the offer and sale of the Registrable Securities requested to be included therein by the Holders in accordance with the methods of distribution elected by the Holders (a &#147;<U>Demand
Registration Statement</U>&#148;) and shall use its reasonable best efforts to cause such Registration Statement to be declared effective under the Securities Act as promptly as practicable after the filing thereof, <I>provided, however</I>, that

</FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2">(b) In the event of a Demand Registration, the Company shall be required to maintain the continuous effectiveness of the applicable
Registration Statement for a period of at least 180 days after the effective date thereof or such shorter period in which all Registrable Securities included in such Registration Statement have actually been sold. </FONT></P> <P

faith judgment of the Board of Directors of the Company, such registration, offering or use would reasonably be expected to materially adversely affect or materially interfere with any bona fide material financing of the Company or any material
transaction under consideration by the Company or would require the disclosure of information that has not been, and is not otherwise required to be, disclosed to the public, the premature disclosure of which would materially adversely affect the
Company. Such certificate shall contain a statement of the reasons for such postponement or suspension and an approximation of the anticipated delay. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT
FACE="Times New Roman" SIZE="2">(d) The Holders shall have the right to notify the Company that it has determined that the Registration Statement relating to a Demand Registration be abandoned or withdrawn, in which event the Company shall promptly
abandon or withdraw such Registration Statement. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; margin-left:4%"><FONT FACE="Times New Roman" SIZE="2"><B>Section&nbsp;6.5 Piggyback Registrations. </B></FONT></P> <P
STYLE="margin-top:6px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2">(a) If, following the date hereof, the Company does mot have an effective shelf registration statement as required under Section&nbsp;6.3 and the Company
proposes or is required to file a registration statement under the Securities Act with respect to an offering of Common Stock, any other of its equity securities or securities convertible into or exchangeable or exercisable for any of its equity
securities, whether or not for sale for its own account (other than a registration statement (i)&nbsp;on Form S-4, Form S-8 or any successor forms thereto or (ii)&nbsp;filed solely in connection with any employee benefit or dividend reinvestment
plan), then the Company shall give prompt written notice of such proposed filing at least 30 days before the anticipated filing date (the &#147;<U>Piggyback Notice</U>&#148;) to the Holders. The Piggyback Notice shall offer the Holders the
opportunity to include in such registration statement the number of Registrable Securities as they may request (a &#147;<U>Piggyback Registration</U>&#148;). The Company shall include in each such Piggyback Registration all Registrable Securities
with respect to which the Company has received written requests for inclusion therein within 15 days after notice has been given to the Holders. The Holders shall be permitted to withdraw all or part of the Registrable Securities from a Piggyback
Registration at any time at least 2 business days prior to the effective date of the Registration Statement relating to such Piggyback Registration. The Company shall be required to maintain the effectiveness of the Registration Statement for a
Piggyback Registration for a period of 180 days after the effective date thereof or such shorter period in which all Registrable Securities included in such Registration Statement have actually been sold. </FONT></P> <P

shares of Common Stock in the name of Drawbridge Global Macro Master Fund Ltd registered on the Company&#146;s Registration Statement on Form S-3 which became effective with the SEC on September&nbsp;23, 2005. Immediately after the Closing, the
Company shall exchange any of the securities registered on such registration statement containing a legend for unlegended and unrestricted securities immediately saleable pursuant to Rule 144(k). </FONT></P> <P

the Exchange Act or any state securities laws, and the Company will reimburse each such Holder, underwriter, controlling person or other aforementioned person for any legal or other expenses reasonably incurred by them in connection with
investigating or defending any such loss, claim, damage, liability or action as such expenses are incurred; <I>provided, however,</I> that the indemnity agreement contained in this Section&nbsp;6.9(a) shall not apply to amounts paid in settlement of
any such loss, claim, damage, liability or action if such settlement is effected without the consent of the Company (which consent shall not be unreasonably withheld), nor shall the Company be liable in any such case for any such loss, claim,
damage, liability or action to the extent that it arises out of or is based upon a Violation that occurs in reliance upon and in conformity with written information furnished expressly for use in connection with such registration by any such Holder,
underwriter, controlling person or other aforementioned person. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2">(b) To the extent permitted by law, each selling Holder will indemnify and
hold harmless the Company, each of its directors, each of its officers who has signed the Registration Statement, each person, if any, who controls the Company within the meaning of the Securities Act, legal counsel and accountants for the Company,
any underwriter, any other Holder selling securities in such Registration Statement and any controlling person of any such underwriter or other Holder, against any losses, claims, damages or liabilities (joint or several) to which any of the
foregoing persons may become subject, under the Securities Act, the Exchange Act, any state securities laws or any rule or regulation promulgated under the Securities Act, the Exchange Act or any state securities laws, insofar as such losses,
claims, damages or liabilities (or actions in respect thereto) arise out of or are based upon any Violation, in each case to the extent (and only to the extent) that such Violation occurs in reliance upon and in conformity with written information
furnished by such Holder expressly for use in connection with such registration; and each such Holder will reimburse any person intended to be indemnified pursuant to this Section&nbsp;6.9(b) for any legal or other expenses reasonably incurred by

the Company that it has complied with the reporting requirements of Rule 144, the Securities Act and the Exchange Act, or that it qualifies as a registrant whose securities may be resold pursuant to Form S-3 (at any time after it so qualifies),
(ii)&nbsp;a copy of the most recent annual or quarterly report of the Company and such other reports and documents so filed by the Company, and (iii)&nbsp;such other information as may be reasonably requested to avail any Holder of any rule or
regulation of the SEC that permits the selling of any such securities without registration or pursuant to such form. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><B>Section&nbsp;6.11
Assignment of Registration Rights.</B> The rights under this Agreement shall be automatically assignable by the Investors to any transferee of all or any portion of such Investor&#146;s Registrable Securities if: (i)&nbsp;the Investor agrees in

made by or on behalf of the Investors or the Company. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><B>Section&nbsp;7.2 Successors and Assigns.</B> Except as otherwise provided herein,
the terms and conditions of this Agreement shall inure to the benefit of and be binding upon the respective successors and assigns of the parties (including transferees of any Securities). Nothing in this Agreement, express or implied, is intended
to confer upon any party other than the parties hereto or their respective successors and assigns any rights, remedies, obligations, or liabilities under or by reason of this Agreement, except as expressly provided in this Agreement. </FONT></P> <P
STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><B>Section&nbsp;7.3 Governing Law.</B> This Agreement shall be governed by and construed under the laws of the State of Florida without reference to
principles of choice or conflict of law thereunder. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><B>Section&nbsp;7.4 Counterparts.</B> This Agreement may be executed in two or more

sent by registered or certified mail, return receipt requested, postage prepaid, or (d)&nbsp;one (1)&nbsp;day after deposit with a nationally recognized overnight courier, specifying next day delivery, with written verification of receipt. All

SIZE="2"><B>Section&nbsp;7.8 Expenses.</B> Except as contemplated by Section&nbsp;6.7, each of the parties to this Agreement shall bear its own expenses in connection with this Agreement and the transactions contemplated by this Agreement and any
other Transaction Documents. If any action at law or in equity is necessary to enforce or interpret the terms of this Agreement or the Amended Certificate of Designation, the prevailing party shall be entitled to reasonable attorney&#146;s fees,
costs and necessary disbursements in addition to any other relief to which such party may be entitled. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><B>Section&nbsp;7.9 Amendments and
Waivers.</B> Any term of this Agreement may be amended and the observance of any term of this Agreement may be waived (either generally or in a particular instance and either retroactively or prospectively), only with the written consent of the
Company and the holders of a majority of the Conversion Shares issued or issuable upon conversion of the Series E Shares purchased hereunder. Any amendment or waiver effected in accordance with this section shall be binding upon each holder of any
securities purchased under this Agreement at the time outstanding (including securities into which such securities are convertible), each future holder of all such securities, and the Company. </FONT></P> <P

Obligations and Rights.</B> The obligations of each Investor under any Transaction Document are several and not joint with the obligations of any other Investor, and no Investor shall be responsible in any way for the performance of the obligations
of any other Investor under any Transaction Document. Nothing contained herein or in any other Transaction Document, and no action taken by any Investor pursuant hereto or thereto, shall be deemed to constitute the Investor as a partnership, an
association, a joint venture or any other kind of entity, or create a presumption that the Investor are in any way acting in concert or as a group with respect to such obligations or the transactions contemplated by the Transaction Documents. Each
Investor confirms that it has independently participated in the negotiation of the transaction contemplated hereby with the advice of its own counsel and advisors. Each Investor shall be entitled to independently protect and enforce its rights,
including, without limitation, the rights arising out of this Agreement or out of any other Transaction Documents, and it shall not be necessary for any other Investor to be joined as an additional party in any proceeding for such purpose.

SIZE="2">This letter will confirm Odyssey Marine Exploration, Inc.&#146;s (the &#147;Company&#148;) agreement to register the following shares : (i)&nbsp;any shares of the Company&#146;s Common Stock to be issuable upon conversion of the Series D
Convertible Preferred Stock currently held by Drawbridge Global Macro Master Fund Ltd (&#147;Holder&#148;) and not saleable under any effective registration statement (the &#147;Series D Conversion Shares&#148;), (ii)&nbsp;any shares of Common Stock
held or issuable to the Holder and not saleable under any effective registration statement or pursuant to Rule 144 (the &#147;Unregistered Shares&#148;) and (iii)&nbsp;any Common Stock of the Company issued as (or issuable upon the conversion or
exercise of any warrant, right or other security that is issued as) a dividend or other distribution with respect to, or in exchange for, or in replacement of, the Series D Conversion Shares or the Unregistered Shares. The foregoing registration
shall be effected by inclusion of such shares in the filing of the shelf-registration statement pursuant to Section&nbsp;6.2 of that certain Series E Convertible Preferred Stock Purchase Agreement, dated of even date herewith (the &#147;Series E
SPA&#148;), which also registers the shares underlying the Series E Convertible Preferred Stock sold to Holder pursuant to the Series E SPA. In the event not all Series D Conversion Shares are included in the shelf- registration statement pursuant
to the previous sentence, the Series D Conversion Shares will receive the benefits from the registration obligations of the Company pursuant to Sections 6.4 and 6.5 of the Series E SPA. Furthermore, at the Company&#146;s option, the Company may
include in any such registration statement shares of the Company&#146;s capital stock held by any other person, provided, however, that for purposes of the Demand Registration (as defined in Section&nbsp;6.4 of the Series E SPA) Drawbridge Global
Macro Master Fund Ltd shall have priority to register its Series D Conversion Shares in the Demand Registration over any other securities held by any other person to be included in such Demand Registration. </FONT></P> <P
STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2">The Company&#146;s expenses of preparing and filing such registration statement, including any SEC filing fees, will be borne by the Company. The Holder
shall be responsible for its own expenses incurred in connection with such registrations, including but not limited to underwriting commissions, if applicable, and fees of Holder&#146;s legal counsel. </FONT></P> <P
