announced that they have entered into a definitive agreement under which Lifetime will acquire Filament, a portfolio company of Centre Partners, a leading middle market private equity firm, in a cash and stock transaction. Based upon the closing
price of Lifetime common stock on December&nbsp;21, 2017, the transaction values Filament at an enterprise value of approximately $313&nbsp;million, which represents a pro forma adjusted EBITDA multiple of approximately 6.3x, inclusive of synergies
