Item 8.01. Other Events.
On March 14, 2022, Lifetime Brands, Inc. (the “Company”) announced that its Board of Directors has authorized the Company to repurchase up to $20 million (exclusive of fees and commissions) of its common stock, $0.01 par value per share (the “Common Stock”), replacing the Company’s previously-authorized $10 million share repurchase program. The number and timing of shares of Common Stock that may be repurchased will depend on a variety of factors including, but not limited to, market conditions, corporate considerations, business opportunities, debt agreements, and regulatory requirements.
Repurchases may be made through a variety of methods, which could include negotiated block transactions, accelerated share repurchase transactions, 10b5-1 plans or open market purchases. The repurchase authorization does not have an expiration date and may be amended or terminated by the Board of Directors at any time without prior notice.
As of March 11, 2022, there were 22,351,108 shares of Common Stock outstanding.
