Pay Versus Performance
In accordance with rules adopted by the Securities and Exchange Commission (“SEC”) pursuant to the Dodd-Frank Wall Street Reform and Consumer Protection Act of 2010, we provide the following disclosure regarding executive “compensation actually paid” (“CAP”, as calculated in accordance with the SEC rules) and certain Company performance measures for the fiscal years listed below. The graph below depicts the relationship between CEO and Average NEO’s CAP to the Company’s net (loss) income. While CAP increased in 2023 and remained relatively stable in 2024, the net loss continued to increase over the three years.
