held 26.00% of the voting rights in QSC AG, Cologne; this corresponds to
34,906,749 votes. 34,896,749 of these votes (25.99%) were attributed to Mr.
John C. Baker pursuant to Sec. 22 para. 1 sentence 1 No. 1 WpHG. Voting
rights are attributed to him via the following shareholders the shares of
which in QSC AG's voting rights reach or exceed 3%:
a) Baker Communications Fund (Cayman), L.P.
and
b) Baker Communications Fund II (Cayman), L.P.
The voting rights attributed to Mr. John C. Baker are held by the following
companies which are controlled by him and the shares of which in QSC AG's
voting rights reach or exceed 3%:
a) Baker Capital Partners (Anguilla), LLC
as general partner of Baker Communications Fund (Cayman), L.P.
