the Board of Directors of Century Casinos, Inc. (&#8220;Century&#8221;) adopted a Deferred
Compensation and Stock Option Plan (the &#8220;Plan&#8221;). The Plan</font> allows
Participants to defer receipt of all or a portion of their compensation through
April 30, 2009. The minimum total deferred compensation must be $3,000.
Participants will receive the deferred compensation, plus 7.0%, on July 30,
2009. In addition, Participants will be granted stock options equivalent to the
amount of compensation deferred divided by the NASDAQ <font style="DISPLAY: inline; FONT-FAMILY: Times New Roman">closing price of Century&#8217;s
stock</font> on the day the Participant elects to enter the Plan. Such stock
options will be issued in accordance with Cen<font style="DISPLAY: inline; FONT-FAMILY: Times New Roman">tury&#8217;s 2005 Equity
Incentive Plan.</font></font></div>

nor shall any such benefits be subject to seizure for the payment of any debts,
judgments, alimony, or separate maintenance owed by Participant or his
beneficiary or any of them, or be transferable by operation of law in the event
of bankruptcy, insolvency, or otherwise, other than provided for in the
Company&#8217;s 2005 Equity Incentive Plan.</font></div>

assets acquired by or held by the Company in connection with the liabilities
assumed by it pursuant to this Agreement shall not be deemed to be held under
any trust for the benefit of Participant, his beneficiary or his estate, or to
be security for the performance of the obligations of the Company, but shall be
and remain a general, unpledged, and unrestricted asset of the
Company.&#160;&#160;The Company&#8217;s obligation under this Agreement shall be that
of an unfunded and unsecured promise by the Company to pay money in the
future.&#160;&#160;Participant and his beneficiary shall be unsecured general
creditors with respect to any rights hereunder.</font></div>

Committee shall be final and binding upon Participant and any
beneficiary.</font></div>
