&#147;Company&#148;) appointed William C. &#147;Bill&#148; Miller as Chief Operating Officer of the Company&#146;s principal subsidiary, M&amp;I Electric. Mr.&nbsp;Miller, age 55, was employed by Eaton Corporation (NYSE:ETN) from August 2001 to
August 2014 as Global Marketing Director from June 2009 to August 2014, Business Unit Manager- Medium Voltage Components from February 2006 to June 2009 and Plant Manager from August 2001 to February 2006. </P>

global energy industry, announced today that Bill Miller has joined the company as chief operating officer for its flagship M&amp;I Electric business. Miller brings more than 28 years of operations, management and sales leadership in the electrical

employment requirement. Both cash and equity bonus targets may result in payments above or below the targeted level and individual performance objectives may require a subjective evaluation and judgment with respect to achievement of these
objectives. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Mr.&nbsp;Miller is entitled to receive the Company&#146;s standard employee benefits as well as reimbursement of relocation
