<font size="2" face="Times New Roman">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;On June 2, 2006, Northern Technologies International Corporation (&#147;NTIC&#148;) entered into a Purchase and Sale Agreement with Underground Properties, LLC pursuant to which NTIC agreed to sell the real property and building in which NTIC&#146;s current corporate headquarters is located for a purchase price of $870,000.&#160; A copy of the Purchase and Sale Agreement, is filed as Exhibit 10.1 to this Current Report on Form 8-K and is hereby incorporated by this reference.&#160; As previously announced in a prior Current Report on Form 8-K, on May 3, 2006, NTIC has structured the sale of its current corporate headquarters located in Lino Lakes, Minnesota and the purchase of its new corporate headquarters located in Circle Pines, Minnesota in such a manner so as to qualify as a like-kind exchange within the meaning of Section 1031 of the Internal Revenue Code of 1986, as amended (the &#147;Code&#148;),
although no assurance can be given, however, that the transaction will qualify as a Code Section 1031 like-kind exchange.&#160; On May 3, 2006, NTIC completed the first step in the Code Section 1031 transaction by purchasing, through a qualified intermediary within the meaning of Code Section 1031, the real estate and building for its&#160; new corporate headquarters located in Circle Pines, Minnesota.&#160; </font></p>

<p><font size="2" face="Times New Roman">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;The Purchase and Sale Agreement contains customary representations, warranties, covenants and closing conditions.&#160; NTIC currently expects to close the sale of its current corporate headquarters pursuant the Purchase and Sale Agreement in September 2006.</font></p>

($10,000.00) and within three (3) business days&#160; following the last day of
the Inspection Period Purchaser will deposit an additional Ten Thousand Dollars
and No/100 Dollars ($10,000.00) to Escrow Agent (the &#147;Deposit&#148;) by
check, the proceeds of which shall be held as an earnest money deposit.&#160;
Escrow Agent shall invest the Deposit in an interest-bearing account approved by
Purchaser.&#160; All interest accrued or earned thereon shall be paid to Seller,
with credit to Purchaser, at the time the Deposit is released by Escrow Agent at

commitment (the &#147;Commitment&#148;) for an ALTA Owner&#146;s Title Insurance
Policy (the &#147;Title Policy&#148;) from First American Title Insurance
Company (the &#147;Title Company&#148;) in favor of Purchaser in the amount of
the Purchase Price and a copy of all documents referenced therein.&#160; Seller
shall also obtain, within ten (10) days following the Effective Date, UCC
searches as to the Seller from the Minnesota Secretary of State and Anoka County
Recorder (UCC&nbsp;Division).&#160; The Commitment shall show Seller to be
vested with fee simple title to the Land.&#160; The UCC&nbsp;searches shall
reveal no encumbrances with respect to the Fixtures.&#160; The Commitment will
also contain proper searches covering bankruptcies, federal and state judgments
and liens, federal tax liens and special assessment searches from the
municipalities in which the Property is located indicating levied, pending and
deferred special assessments.&#160; Any endorsements which Purchaser shall
request in connection with such Title Policy shall be obtained at
Purchaser&#146;s expense.</font></p> </td>

timely written notice of defect(s), Seller shall use best efforts to cause such
defect(s) to be cured within thirty (30) days.&#160; Seller agrees to remove by
payment, bonding, or otherwise, any lien or encumbrance in a liquidated amount
against the Property which was created by Seller and which is removable by the
payment of money or the posting of a bond.&#160; Seller shall not be required to
cure any other defect(s) to the extent that the cost of curing such defect(s)
exceeds, in the aggregate, Ten Thousand and 00/100 Dollars ($10,000.00).&#160;
In the event that Seller is either unable or not required to eliminate such
other title defects as of the date of Closing, Purchaser shall have the option
of either: (i)&nbsp;closing and accepting the title &#147;as is,&#148; without
reduction in the Purchase Price and without claim against Seller therefor; or
(ii)&nbsp;canceling this Agreement, in which event the Escrow Agent shall return
the Deposit and all interest earned thereon to Purchaser, whereupon both parties
shall be released from all further obligations under this Agreement.&#160; Any
title matters to which Purchaser does not object or which Purchaser elects to
take title subject to at Closing shall be defined as &#147;Permitted

Inspection Period</u></b>.&#160; Purchaser shall have forty-five (45) days
following the Effective Date (the &#147;Inspection Period&#148;), to make such
physical, zoning, and other examinations, inspections, and investigations of the
Property and of the books, and records, of the Property which Purchaser, in
Purchaser&#146;s sole discretion, may determine to make.&#160; Purchaser shall
obtain Seller&#146;s prior written consent to any proposed tests of any invasive
nature or which could damage the Property.&#160; Purchaser shall bear the cost
of all inspections and tests.&#160; Notwithstanding the forgoing, Seller will
provide Purchaser at Seller&#146;s cost, a Phase 1 Environmental study and pay
the cost of any additional testing indicated by the Phase 1 report within thirty
(30) days after Effective Date, not to exceed $5,000.&#160; In the event the
Environmental study or additional testing identifies hazardous areas on the
Property or associated with the holding tank, Seller agrees to remove, remediate
and restore the hazardous area, (Remove Hazardous Materials) at it&#146;s sole
cost.&#160; Seller shall not be required to Remove Hazardous Materials to the
extent that the cost exceeds Ten Thousand and 00/100 Dollars ($10,000.00).&#160;
In the event that Seller elects not to Remove Hazardous Materials prior to July
31, 2006, Purchaser shall have the right to close this transaction and accept
Property &#147;as is&#148; or cancel this Agreement in which event the Escrow
Agent shall return the Deposit and all interest earned thereon to Purchaser,
whereupon both parties shall be released from all further obligations under this
Agreement and Seller shall reimburse Purchaser for cost of the Survey, not to
exceed $5,000. Seller shall have the right to reasonably approve any contractor
performing inspections and tests on the Property.&#160; During the Inspection
Period, Seller shall (a)&nbsp;make available to Purchaser all documentation and
contracts pertaining to the Property in its possession, including, without
limitation, costs, and expenses in connection with the ownership and operation
of the Property over the prior three&nbsp;(3) years and (b)&nbsp;otherwise
cooperate with Purchaser in coordinating the review and inspection of such
documentation and contracts as well as the Property by Purchaser and its
third-party contractors.</font></p> </td>

provided, however, no such consent shall be required for extensions or
modifications of any of the existing Contracts, and/or the entering into any new
Contract, which will terminate prior to Closing.&#160; In any case where the
Purchaser&#146;s consent is required hereunder, Purchaser shall be given
ten&nbsp;(10) days to review the proposed new Contract, Contract modification or
Contract termination.&#160; If Purchaser fails to deliver to Seller

payable in the year of Closing are unknown, the tax proration will be based upon
the taxes for the prior year, and at the request of either party, the taxes due
and payable in the year of Closing shall be reprorated and adjusted when the tax

Closing, Seller shall receive a credit for all prepaid charges under the

documents necessary to clear title.&#160; Purchaser shall pay for the cost of
the Survey of the Property, if any.&#160; Seller shall pay the title examination
fees and costs of copies of all title documents necessary for the examination of
title and Purchaser shall pay for the Title Policy issued to Purchaser in the
amount of the Purchase Price.&#160; Purchaser shall pay for all endorsements
thereto requested by Purchaser.&#160; Seller and Purchaser shall each pay
one-half of the escrow fees for closing this transaction.&#160; Seller and
Purchaser shall each bear its own attorneys&#146; fees in connection with the
