<p style="margin:0in 0in .0001pt;text-indent:.5in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">Please note that during the last year, we have experienced several management transitions at the most senior levels in our Company.&#160; For many years prior to February&nbsp;2011, Paul Finkelstein served as our President and Chief Executive Officer.&#160; In February&nbsp;2011, Mr.&nbsp;Pearce became our President, and we transitioned certain principal executive functions to him in connection with his new position, including executive level oversight of financial reporting and assessment of our control environment.&#160; Accordingly, Mr.&nbsp;Pearce was serving these aspects of the principal executive officer role (although not all aspects of the principal executive officer role) at the time we filed our Quarterly Report on Form&nbsp;10-Q for the quarter ended December&nbsp;31, 2010 on February&nbsp;9, 2011, our Quarterly Report on Form&nbsp;10-Q for the quarter ended March&nbsp;31, 2011 on May&nbsp;10, 2011, our Annual Report on Form&nbsp;10-K for the year ended June&nbsp;30, 2011 on August&nbsp;26, 2011, and our Quarterly Report on Form&nbsp;10-Q for the quarter ended September&nbsp;30, 2011 on November&nbsp;9, 2011.&#160; Our disclosure about our control review process in Item 9A of the Form&nbsp;10-K and Item 4 of the Form&nbsp;10-Qs is consistent in that we explained that our president and chief financial officer were the two officers conducting the applicable reviews of our controls.&#160; We are aware of Question 14 in the Sarbanes-Oxley Act of 2002 &#151; Frequently Asked Questions published by the Division of Corporation Finance, which notes that the person performing the chief executive functions should sign as the principal executive office, regardless of title.&#160; Accordingly, our determination as to who would sign the report and certifications as principal executive officer was informed by this interpretation (we acknowledge that the interpretation specifically applies to certifications, but it seems that the same logic applies to the Signature Page).&#160; As indicated above, we believe that our disclosure under Item 9A and Item 4 of the President&#146;s role in evaluating controls explained that he was serving the principal executive function in this regard.</font></p>
<p style="margin:0in 0in .0001pt;text-indent:.5in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">&nbsp;</font></p>
<p style="margin:0in 0in .0001pt;text-indent:.5in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">On January&nbsp;24, 2012, Mr.&nbsp;Pearce announced his intention to retire from the Company at the end of the Company&#146;s fiscal year ending June&nbsp;30, 2012.&#160; At that time, Mr.&nbsp;Finkelstein resumed principal executive responsibility for financial reporting and controls and thus signed as principal executive officer for our Quarterly Report on Form&nbsp;10-Q for the quarter ended December&nbsp;31, 2011 that was filed on February&nbsp;6, 2012.&#160; Mr.&nbsp;Finkelstein then retired from the Company on February&nbsp;8, 2012.&#160; At that time, the Company announced the formation of a search committee of independent directors to begin a search for a new Chief Executive Officer and that</font></p>
