Conversion of the full initial principal amount of the Convertible Note would result in the issuance of up to 4,000,000 shares of Common Stock if converted at $2.50 per share, which amount is subject to increase by any PIK Interest (as defined herein) that is added to the outstanding principal under the terms of the Convertible Note.
