Item 1.01 Entry into a Material Definitive Agreement

On August 28, 2009, the Registrant entered into a Crude Oil Purchasing Agreement with Coffeyville Resources Refining and Marketing, LLC to sell its crude oil production effective October 1, 2009 and ending March 31, 2011 at a price equal to the arithmetic average of the daily New York Mercantile Exchange (NYMEX) quote settling price for the West Texas Intermediate (WTI) for the front month contract during the calendar month of delivery, adjusted for location basis differential and oil quality adjustments.
