closed the Lease Purchase Agreement, effective as of March 31, 2014, with Venado Operating Company, LLC (&ldquo;Buyer&rdquo;),
whereby Buyer purchased our interests in approximately 2,250 gross acres comprising our Lonesome Dove Project in Lee County, Texas,
for (i) $450,000 in cash, and (ii) the right to receive an average overriding royalty interest of approximately 2.4% in the acreage.</P>

(23%) and the sum of the royalty provided for in the Leases and all other outstanding royalty and overriding royalty burdens affecting
the lands covered by the Leases as of the Effective Date; or (ii) an undivided 0.50% of 8/8ths if the sum of the royalty provided
for in the Leases and all other outstanding royalty and overriding royalty burdens affecting the lands covered by the Leases is
twenty-three percent (23%) or greater as of the Effective Date.</TD></TR></TABLE>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify">&nbsp;</P>

in the Leases if the Seller&rsquo;s interest in the lands covered by the Leases covers less than the entire and undivided fee interest
in the Leases. Buyer will be granted the authority to pool Seller&rsquo;s reserved overriding royalty interest in the same manner
as provided for in the Leases, and any amendments thereto.</TD></TR></TABLE>

enter into this Agreement, to perform its obligations under this Agreement and the consummation of the transaction contemplated
by this Agreement will not violate, or be in conflict with, any material provision of the articles of incorporation, bylaws or
other entity governance agreement of Seller.</TD></TR></TABLE>

sum of $450,000.00 to Seller by wire transfer or check as consideration for the Seller&rsquo;s interest in the Leases and termination
of the Existing Agreements. Upon Buyer&rsquo;s tender of the above payment, Seller will promptly (and in any event no more than
two (2) days after its receipt of payment), deliver an assignment of the Leases dated effective March 31, 2014 to Buyer in substantially
the same form as the assignment attached hereto as Exhibit &ldquo;B&rdquo; and made a part hereof for all purposes.</TD></TR></TABLE>

releases Buyer from any obligations under the Existing Agreements to (i) pay a fraction of Seller&rsquo;s costs associated with
the DPA Test Well (as defined in the Existing Agreements), or (ii) reassign any interest in the Leases arising out of the failure
of Compass or KAC to drill the DPA Test Well, and any such obligations are extinguished.</TD></TR></TABLE>

/ Kansas City, Missouri (April 10, 2014) &ndash; </B>EnerJex Resources, Inc. (OTCMarkets: ENRJ) (&ldquo;EnerJex&rdquo; or the &ldquo;Company&rdquo;)
announced today that it has completed the sale of its interests in approximately 2,250 non-producing gross acres comprising the
Company&rsquo;s Lonesome Dove Project in Lee County, Texas. These interests consisted of a 50% working interest from the surface
through a depth of approximately 4,800 feet, a 10% working interest in all other depths, and a 15% carried working interest in
the first of any well to be drilled by its partner to a depth greater than approximately 4,800 feet.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify">Pursuant to the terms of this transaction,
EnerJex received $450,000 in cash and will receive an average overriding royalty interest of approximately 2.4% in the acreage,
more than 95% of which expires in 2017 and 2018 unless it is first drilled and held by production. The acreage is prospective for
oil production from multiple formations including the Eagle Ford Shale, Buda, Austin Chalk, and Taylor Sand. Industry activity
appears to be increasing in this area, and drilling permits were filed during the past two months for four horizontal wells located
adjacent to this acreage with total depths ranging from 13,500 to 15,000 feet.</P>
