<p style="margin:0in 0in .0001pt;text-indent:.5in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">On June&nbsp;30, 2018, Dawson Geophysical Company (the &#147;Company&#148;) entered into an amendment (the &#147;Amendment&#148;) to the Amended and Restated Loan and Security Agreement (as amended, the &#147;Amended Loan Agreement&#148;) for the purpose of amending and extending the Company&#146;s line of credit with its lender, Veritex Community Bank, a Texas state bank (&#147;Veritex Bank&#148;).&#160; The Amended Loan Agreement continues to provide for a revolving credit facility (the &#147;Revolving Credit Facility&#148;) in an amount up to the lesser of (i)&nbsp;$20,000,000 or (ii)&nbsp;a sum equal to (a)&nbsp;80% of the Company&#146;s eligible accounts receivable (less the outstanding principal balance of term loans and letters of credit under the Amended Loan Agreement) and (b)&nbsp;the lesser of (i)&nbsp;50% of the value of certain of the Company&#146;s core equipment or (ii)&nbsp;$12,500,000.&#160; The Revolving Credit Facility now matures on June&nbsp;30, 2019, which date was extended in the Amended Loan Agreement from a previous maturity of June&nbsp;30, 2018. As of this date, the Company has not borrowed any amounts under the Revolving Credit Facility.</font></p>
<p style="margin:0in 0in .0001pt;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">&nbsp;</font></p>
<p style="margin:0in 0in .0001pt;text-indent:.5in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">The Company continues to be obligated to meet certain financial covenants quarterly, including maintaining a minimum tangible net worth. The Amended Loan Agreement now provides that the Company will maintain a required tangible net worth of not less than $100,000,000 and maintain a minimum liabilities to tangible net worth ratio of not greater than 1.00 to 1.00. The remaining terms and conditions of the Amended Loan Agreement generally continue in the form existing prior to the Amendment.</font></p>

<p style="margin:0in 0in .0001pt;text-indent:.5in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">Additionally, on November&nbsp;23, 2017, the Company entered into a Fourteenth Amendment to the Amended and Restated Loan and Security Agreement with Veritex Bank (the &#147;Fourteenth Amendment&#148;). The Fourteenth Amendment amended the payment schedule of a letter of credit issued by Veritex Bank at the Company&#146;s request. A copy of the Fourteenth Amendment is attached hereto as Exhibit&nbsp;10.2.</font></p>

<p style="font-size:10.0pt;margin:0in 0in .0001pt .5in;text-indent:.5in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">(a)</font><font size="1" style="font-size:3.0pt;">&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160; </font><b><u style="font-weight:bold;">Establishment of Credit Facility</u></b>.&#160; Subject to the terms and conditions set forth in this Agreement and the other Loan Documents, Lender hereby agrees to lend to Debtor under a credit facility (the &#147;<i><u style="font-style:italic;">Revolving Credit Facility</u></i>&#148;) an aggregate sum not to exceed the <i><u style="font-style:italic;">lesser</u></i> of: (i)&nbsp;an amount equal to the Borrowing Base; or (ii)&nbsp;<b>TWENTY MILLION AND NO/100 DOLLARS ($20,000,000.00)</b> (the &#147;<i><u style="font-style:italic;">Maximum Amount</u></i>&#148;), on a revolving basis from time to time during the period commencing on the date hereof and continuing until the earlier of: (i)&nbsp;the acceleration of the Indebtedness pursuant to the terms of the Loan Documents; or (ii)&nbsp;<b>JUNE 30, 2019</b> (the earlier of such dates being the &#147;<i><u style="font-style:italic;">Revolving Credit Maturity Date</u></i>&#148;).&#160; If at any time the sum of the aggregate principal amount of Loans outstanding hereunder exceeds <i><u style="font-style:italic;">lesser</u></i> of the Maximum Amount or the Borrowing Base, such amounts shall be deemed an &#147;<i><u style="font-style:italic;">Overadvance</u></i>.&#148;&#160; Debtor shall immediately repay the amount of such Overadvance <i><u style="font-style:italic;">plus</u></i> all accrued and unpaid interest thereon upon written demand from Lender.&#160; Notwithstanding anything contained herein to the contrary, an Overadvance shall be considered a Loan and shall bear interest at the Rate as set forth in the Revolving Credit Note and be secured by this Agreement.&#160; Subject to the terms and conditions hereof, Debtor may borrow, repay and reborrow funds under the Revolving Credit Facility up to the Revolving Credit Maturity Date.</p>

<p style="font-size:10.0pt;margin:0in 0in .0001pt;text-indent:.5in;"><b><font size="2" face="Times New Roman" style="font-size:10.0pt;font-weight:bold;">WHEREAS</font></b>, in connection with the Agreement, Debtor executed that certain <b>PROMISSORY NOTE</b> dated as of<b> SEPTEMBER 30, 2016</b> in the principal/notational amount of <b>ONE MILLION SEVEN HUNDRED SIXTY-SEVEN THOUSAND ONE HUNDRED FIFTEEN AND NO/100 DOLLARS ($1,767,115.00)</b>, payable to the order of Lender (as amended, modified or restated from time to time, the &#147;<i><u style="font-style:italic;">Letter of Credit Note</u></i>&#148;);</p>
<p style="margin:0in 0in .0001pt;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">&nbsp;</font></p>
<p style="font-size:10.0pt;margin:0in 0in .0001pt;text-indent:.5in;"><b><font size="2" face="Times New Roman" style="font-size:10.0pt;font-weight:bold;">WHEREAS</font></b>, the parties desire to amend the Agreement and modify the Note pursuant to the terms and conditions set forth herein.</p>

<p style="margin:0in 0in .0001pt .5in;text-indent:.5in;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">3.&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160; <b><u style="font-weight:bold;">Payment Schedule</u></b>.&#160; Debtor agrees to pay Lender (without setoff) the amount of any draft or request for payment Lender has honored or will honor purporting to be drawn or made on the Letter of Credit (the amount of such draft being the &#147;<i><u style="font-style:italic;">Principal Balance</u></i>&#148;) at its offices as set forth herein, or at such other place as may be designated by Lender, on or before the <b><u style="font-weight:bold;">EARLIER</u></b> of: (i)&nbsp;the date that is <b>THIRTY (30) </b>days after the date Lender honors any such draft or request for payment; or (ii)&nbsp;<b>NOVEMBER 23, 2018</b>.&#160; Except as expressly provided herein to the contrary, all payments under this Note shall be applied in the following order of priority: (i)&nbsp;the payment or reimbursement of any expenses, costs or obligations (other than the Principal Balance and interest thereon) for which either Debtor shall be obligated or Lender shall be entitled pursuant to the provisions of this Note or the Loan Agreement; (ii)&nbsp;the payment of accrued but unpaid interest on the Principal Balance; and (iii)&nbsp;the payment of all or any portion of the Principal Balance hereof then outstanding hereunder.&#160; If an Event of Default exists, then Lender may, at the sole option of Lender, apply any such payments, at any time and from time to time, to any of the items specified in clauses&nbsp;(i), (ii)&nbsp;or (iii)&nbsp;above without regard to the order of priority otherwise specified herein.&#160; If any payment of principal or interest on this Note shall become due on a day other than a Business Day, such payment shall be made on the next succeeding Business Day and such extension of time shall be included in computing interest in connection with such payment.&#160; Notwithstanding anything herein to the contrary, if requested by Lender, Debtor shall pay such Principal Balance in advance of the date Lender is to honor the draft or request for payment.&#160; Debtor shall pay such amount in good funds at Lender&#146;s address indicated in this Note.</font></p>

<p style="margin:0in 0in .0001pt;text-indent:.5in;"><font size="2" face="Times New Roman"><font style="font-size:10.0pt;">5.&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160; </font><b><u style="font-weight:bold;">Ratifications</u></b>.&#160; Except as expressly modified and superseded by this Amendment, the Agreement and the other Loan Documents are ratified and confirmed and continue in full force and effect.&#160; The Loan Documents, as modified by this Amendment, continue to be legal, valid, binding and enforceable in accordance with their respective terms.&#160; Without limiting the generality of the foregoing, Debtor hereby ratifies and confirms that all liens heretofore granted to Lender were intended to, do and continue to secure the full payment and performance of the indebtedness arising under the Loan Documents.&#160; Debtor agrees to perform such acts and duly authorize, execute, acknowledge, deliver, file and record such additional assignments, security agreements, modifications or agreements to any of the foregoing, and such other agreements, documents and instruments as Lender may reasonably request in order to perfect and protect those liens and preserve and protect the rights of Lender in respect of all present and future collateral.&#160; The terms, conditions and provisions of the Loan Documents (as the same may have been amended, modified or restated from time to time) are incorporated herein by reference, the same as if stated verbatim herein.</font></p>
