Shepperd was elected as the President and Chief Executive Officer of Bioanalytical Systems, Inc. (&#147;BASi&#148;), and BASi&#146;s compensation committee determined Mr.&nbsp;Shepperd&#146;s compensation, as set forth in Item 5.02 of BASi&#146;s Form 8-K filed September 28, 2006. </font></p>

<p style=' margin-bottom:0pt; margin-top:0pt; text-indent:0.5in;text-align:justify;'><font size=2>&nbsp;</font></p>

<p style=' margin-bottom:0pt; margin-top:0pt; text-indent:0.5in;text-align:justify;'><font size=2>On January 11, 2007, BASi&#146;s board of directors ratified the compensation committee&#146;s decision and approved a written employment agreement with Mr.&nbsp;Shepperd to memorialize the terms of his employment. BASi agreed to employ Mr.&nbsp;Shepperd as the President and Chief Executive Officer of BASi through February 28, 2007. After February 28, 2007, the employment agreement is automatically extended for successive three month periods, until such time as either Mr.&nbsp;Shepperd or BASi gives the other party thirty days&#146; written notice before the end of the term, at which time, the employment agreement will expire at the end of the then-current term. BASi agreed to pay Mr.&nbsp;Shepperd a base salary of $35,000.00 per month, plus a quarterly bonus equal to 10% of EBITDA, capped at $150,000 per quarter. Mr.&nbsp;Shepperd is also eligible for a discretionary, performance-based
bonus determined by the board of directors to be paid at the end of his term of service. In addition to reimbursement of business expenses in accordance with BASi&#146;s standard reimbursement policies, Mr.&nbsp;Shepperd will be entitled to reimbursement for reasonable living expenses in the Lafayette, Indiana area during the term of his employment, and reasonable travel expenses for travel to and from his residence in the Henderson, Nevada area once per month. Mr.&nbsp;Shepperd is subject to a confidentiality restriction during his employment and thereafter, and to non-solicitation restrictions with respect to customers and employees of BASi during his employment and for two years following termination.</font><b><font size=2> </font></b></p>

<p style=' margin-bottom:0pt; margin-top:0pt; text-indent:0.5in;text-align:justify;'><font size=2>BASi may terminate Mr.&nbsp;Shepperd&#146;s employment, with or without cause, by providing five days&#146; written notice to Mr.&nbsp;Shepperd, in which event Mr.&nbsp;Shepperd will be paid his salary and a pro-rata portion of any quarterly bonus through the termination date, and will also be paid for all vacation time accrued as of the termination date.</font></p>

The notice must be delivered to BASi&#146;s executive offices (a) in the case of an annual meeting, not less than ninety days nor more than one hundred twenty days prior to the anniversary date of the immediately preceding annual meeting; and (b) in the case of a special meeting of shareholders called for the purpose of electing directors, not later than the close of business on the tenth day following the day on which notice of the date of the special meeting was mailed or public disclosure of the date of the special meeting was made, whichever first occurs.</font></p>

The notice must set forth certain information relating to each proposed nominee
and the shareholder giving the notice, including any information relating to the
person that would be required to be disclosed in a proxy statement or other
filings required to be made in connection with solicitations of proxies for
election of directors pursuant to Section 14 of the Securities Exchange Act of
1934, as amended, and the rules and regulations promulgated thereunder. The
notice must be accompanied by a written consent of each proposed nominee to
being named as a nominee and to serve as a director if elected.</font></p>

<p style=' margin-bottom:0pt; margin-top:0pt; text-indent:0.5in;text-align:justify;'><font size=2>The chair of BASi&#146;s nominating committee or his or her designee determines whether a nomination is properly made. (a) Only persons who are nominated in accordance with the following procedures shall be eligible for election as directors of the Corporation.  Nominations of persons for election to the Board of Directors may be made at any annual meeting of shareholders, or at any special meeting of shareholders called for the purpose of electing directors, (i) by or at the direction of the Board of Directors (or any duly authorized committee thereof) or (ii) by any shareholder of the Corporation (1) who is a shareholder of record on the date of the giving of the notice provided for in this Section 3.2.1 and on the record date for the determination of shareholders entitled to notice of and to vote at such meeting and (2) who complies with the notice procedures set forth in this Section 3.2.1.</font></p>

The Employee will receive a bonus (the "EBITDA Bonus") equal to 10% of the Company&#146;s annual earnings before interest, taxes, depreciation, amortization and any payment or accrual of EBITDA Bonus to Employee (&#147;EBITDA&#148;) which shall be deemed earned on the last day of each fiscal quarter of the Company and paid on the first Company payroll payment date after the confirmation of the amount of the EBITDA Bonus by the Board of Directors as provided herein.  The amount of the EBITDA Bonus for each fiscal quarter shall be determined based upon the quarterly financial statements of the Company for that fiscal quarter that have been reviewed by the Company's independent accountants by multiplying the Company's EBITDA for the period beginning on the first day of the fiscal year and
ending on the last day of that fiscal quarter by ten percent (10%) and subtracting from the product thereof the amount of EBITDA Bonus paid to Employee in respect of previous quarters in such fiscal year; provided that the amount of the EBITDA Bonus to be paid in respect of any single fiscal quarter shall not exceed $150,000.  The amount of the EBITDA Bonus will be confirmed by the Board of Directors promptly after the Company's independent accountants complete their review of the financial statements for the quarter and before the EBITDA Bonus is paid to Employee.</font></p>

inducing any such customer or client to move its account from the Company to another company in the Business or otherwise terminate or modify in a manner that is adverse to the Company its relationship with the Company; provided, however, that nothing in this sentence shall prevent the Employee from becoming employed by or providing consulting services to any such customer or client of the Company in the Business, or (ii) solicit any other employee of the Company for employment or a consulting or other services arrangement with an Other Entity or to otherwise terminate their employment with the Company. Both the Company and the Employee stipulate and agree that if any portion, paragraph sentence, term or provision of this Agreement shall to any extent be declared illegal, invalid or unenforceable by a duly authorized court of competent jurisdiction, then, (a) the remainder of this Agreement or the application of such portion, paragraph, sentence, term or provision in circumstances other than those as to which it is so declared illegal, invalid or unenforceable, shall not be affected thereby, (b) this Agreement shall be construed in all respects as if the illegal, invalid or unenforceable matter had been omitted and each portion and provision of this Agreement shall be valid and enforceable to the fullest extent permitted by law and (c) the illegal, invalid or unenforceable portion,
paragraph, sentence, term or provision shall be replaced by a legal, valid and enforceable provision which most closely reflects the intention of the parties hereto as reflected herein.</font></p>

This Agreement constitutes the entire Agreement between the parties as to the subject matter contained herein and all other agreements or understandings are hereby superseded and terminated.</font></p>

There are no collective agreements which directly affect the terms and conditions of the Employee's employment.</font></p>

<p style=' margin-bottom:0pt; margin-top:0pt; text-indent:0.57in;text-align:justify;'><u><font size=2>Section 5.10</font></u><font size=2>.  </font><u><font size=2>Headings</font></u><font size=2>.  The headings of the sections are inserted for convenience only and do not affect the interpretation or construction of the sections.</font></p>

Employee acknowledges that a remedy at law for any breach or threatened breach of the provisions of Sections 3.1 through 3.3 of this Agreement would be inadequate and therefore agrees that the Company shall be entitled to injunctive relief, both preliminary and permanent without any requirement to post a bond or other surety, in addition to any other available rights and remedies in case of any such breach or threatened breach; provided, however, that nothing contained herein shall be construed as prohibiting the Company from pursuing any other remedies available for any such breach or threatened breach.  Employee further acknowledges and agrees that in the event of a breach by Employee of any provision of </font><u><font size=2>Sections 3.1</font></u><font size=2> through </font><u><font
size=2>3.3</font></u><font size=2> of this Agreement, the Company shall be entitled, in addition to all other remedies to which the Company may be entitled under this Agreement, to recover from Employee its reasonable costs including attorney's fees if the Company is the prevailing party in an action by the Company.  This Agreement is entered into by the Company for itself and in trust for each of its affiliates with the intention that each company will be entitled to enforce the terms of this Agreement directly against Employee.</font></p>
