BUSINESS ORGANIZATION AND OPERATIONS	A.           BUSINESS ORGANIZATION AND OPERATIONS U.S. Energy Corp. was incorporated in the State of Wyoming on January 26, 1966.  U.S. Energy Corp. ("USE") engages in the acquisition, exploration and development of oil and gas properties and the exploration, holding, sale and/or development of mineral properties.  Principal asset interests at December 31, 2011 are in oil and gas, molybdenum, real estate and minority ownership in a geothermal partnership.
