<P STYLE="font: 10pt/normal Times New Roman, Times, Serif; margin: 0; text-align: justify">On June 28, 2017 (the &ldquo;Effective
Date&rdquo;), U.S. Energy Corp. (the &ldquo;Company&rdquo;) entered into a fifth amendment (the &ldquo;Fifth Amendment&rdquo;)
to its Amended and Restated Credit Agreement, dated July 30 2010, as amended (the &ldquo;Credit Agreement&rdquo;), among Energy
One LLC (&ldquo;Energy One&rdquo;), the Company, and APEG Energy II, L.P. (&ldquo;APEG&rdquo;).</P>

<P STYLE="font: 10pt/normal Times New Roman, Times, Serif; margin: 0; text-align: justify">&nbsp;</P>

<P STYLE="font: 10pt/normal Times New Roman, Times, Serif; margin: 0; text-align: justify">The Fifth Amendment provides for, among
other things: (i) an extension of the maturity date of borrowings under the Credit Agreement to July, 30, 2019; (ii) beginning
on the Effective Date, interest shall accrue on the outstanding principal balance of the loans under the Credit Agreement at a
rate of 8.75% per annum; (iii) a limited release and waiver with respect to the Company&rsquo;s non-compliance with any and all
financial covenants of the Credit Agreement for all historical quarterly financial reporting periods through March 31, 2017; and
(iv) the amendment of financial coverage ratio covenants such that the Company&rsquo;s PDP Coverage Ratio and Current Ratio (as
those terms are defined in the Fifth Amendment) shall not be less than 1.2 to 1.0 and 1.0 to 1.0 respectively.</P>

means Proved Reserves which are categorized as both &ldquo;Developed&rdquo; and &ldquo;Producing&rdquo; in the Definitions, &ldquo;Proved
Developed Nonproducing Reserves&rdquo; means Proved Reserves which are categorized as both &ldquo;Developed&rdquo; and &ldquo;Nonproducing&rdquo;
in the Definitions, &ldquo;Proved Developed Reserves&rdquo; means the sum of Proved Developed Producing Reserves and Proved Developed
Nonproducing Reserves, and &ldquo;Proved Undeveloped Reserves&rdquo; means Proved Reserves which are categorized as &ldquo;Undeveloped&rdquo;
in the Definitions.</P>

Developed Producing Reserves on such Person&rsquo;s or such group&rsquo;s Oil and Gas Properties as set forth in the most recent
Reserve Report delivered pursuant hereto, calculated in accordance with the SEC guidelines and using the Five-Year Strip Price
without giving effect to</FONT> <FONT STYLE="font-size: 10pt">non-property related expenses such as general and administrative
expenses, debt service, future income tax expense and depreciation, depletion and amortization, and discounted using an annual
discount rate of 10% all as reasonably acceptable to the Administrative Agent. Total PDP PV-10 shall be adjusted to give effect
to any Secured Swap Agreements then in effect discounted at 10%. The Total PDP PV-10 shall be calculated on a pro forma basis,
giving effect to (a) acquisitions and dispositions of Oil and Gas Properties consummated by the Borrower and the Subsidiaries (provided
that in the case of any acquisition, the Administrative Agent shall have received a Reserve Report, in form and substance reasonably
satisfactory to it, evaluating the Proved Developed Producing Reserves subject thereto); (b) the Liquidation of any Swap Agreements
to which the Borrower or any Subsidiary is a party, in each case, occurring since the date of the Reserve Report most recently
delivered pursuant to Section 8.12; and (c) the Proved Developed Producing Reserves attributable to production from any completed
and fully paid wells that have commenced and flowed into sales during the 60 day period after the measurement date, subject to
such Proved Developed Producing Reserve assessment being prepared by an Approved Petroleum Engineer.</FONT></P>

principal balance of the Loans at a rate per annum equal to 875 basis points (8.75%), but in no event to exceed the Highest Lawful

Administrative Agent shall have received from the Lender and the Borrower counterparts (in such number as may be requested by the
Administrative Agent) of this Fifth Amendment signed on behalf of such Persons.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in">The Administrative
Agent is hereby authorized and directed to declare this Fifth Amendment to be effective (and the Fifth Amendment Effective Date
shall occur) when it has received documents confirming or certifying, to the satisfaction of the Administrative Agent, compliance
with the conditions set forth in this Section 4. Such declaration shall be final, conclusive and binding upon all parties to the
Credit Agreement for all purposes.</P>

the foregoing waivers are hereby granted to the extent and only to the extent specifically stated herein and for no other purpose
and shall not be deemed to (a) be a consent or agreement to, or waiver or modification of, or amendment to, any other term or condition
of the Credit Agreement, any other Loan Document or any of the documents referred to therein, (b) except as expressly set forth
herein, prejudice any right or rights which the Administrative Agent or the Lenders may now have or may have in the future under
or in connection with the Credit Agreement, any other Loan Document or any of the documents referred to therein, or (c) constitute
any course of dealing or other basis for altering any obligation of the Borrower or any Guarantor or any right, privilege or remedy
of the Administrative Agent or the Lenders under the Credit Agreement, the other Loan Documents, or any other contract or instrument.
Granting the waivers set forth herein does not and should not be construed to be an assurance or promise that consents or waivers
will be granted in the future, whether for the matters herein stated or on other unrelated matters.</P>

and agrees that each Loan Document remains in full force and effect as expressly amended hereby; (c)&nbsp;agrees that from and
after the Fifth Amendment Effective Date each reference to the Credit Agreement in the other Loan Documents shall be deemed to
be a reference to the Credit Agreement, as amended by this Fifth Amendment; and (d)&nbsp;represents and warrants to the Lender
that as of the date hereof, after giving effect to the terms of this Fifth Amendment: (i) all of the representations and warranties
contained in each Loan Document are true and correct, except to the extent any such representations and warranties are expressly
limited to an earlier date, in which case, such representations and warranties shall continue to be true and correct as of such
specified earlier date, (ii) no Default or Event of Default has occurred and is continuing and (iii) no event, development or circumstance
has occurred or shall then exist that has resulted in, or could reasonably be expected to have, a Material Adverse Effect.</P>

of this Fifth Amendment by telecopy, facsimile or email transmission shall be effective as delivery of a manually executed counterpart
of this Fifth Amendment.</P>

by evidence of prior, contemporaneous, or oral agreements of the parties. There are no oral agreements between the parties.</P>

documents prepared in connection herewith and the transactions contemplated hereby, including, without limitation, the reasonable
fees and disbursements of counsel to the Administrative Agent.</P>

or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.</P>

Bank, and each of their respective successors and assigns, officers, directors, employees, representatives, trustees, attorneys,
agents, advisors (including attorneys, accountants and experts) and affiliates (collectively the &ldquo;<U>Released Parties</U>&rdquo;
and individually a &ldquo;<U>Released Party</U>&rdquo;) from any and all actions, claims, demands, causes of action, judgments,
executions, suits, debts, liabilities, costs, damages, expenses or other obligations of any kind and nature whatsoever, known or
unknown, direct and/or indirect, at law or in equity, whether now existing or hereafter asserted (INCLUDING, WITHOUT LIMITATION,
ANY OFFSETS, REDUCTIONS, REBATEMENT, CLAIMS OF USURY OR CLAIMS WITH RESPECT TO THE NEGLIGENCE OF ANY RELEASED PARTY), for or because
of any matters or things occurring, existing or actions done, omitted to be done, or suffered to be done by any of the Released
Parties, in each case, on or prior to the FIFTH AMENDMENT Effective Date and are in any way directly or indirectly arising out
of or in any way connected to any of this FIFTH AMENDMENT, the Credit Agreement, any other Loan Document or any of the transactions
contemplated hereby or thereby (collectively, the &ldquo;<U>Released Matters</U>&rdquo;). eaCH oBLIGOR, by execution hereof, hereby
