September&nbsp;22, 2014, the Board of Directors of Cryo-Cell International, Inc. (the &#147;Company&#148;) amended the Company&#146;s Bylaws and added Articles X and XI. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Article X requires reimbursement by a shareholder of the Company, or such shareholder&#146;s representative, to the Company and/or to the
Company&#146;s officers or directors, to the greatest amount permitted by law, of litigation costs and expenses, including without limitation, attorneys&#146; fees, for (i) any derivative action or proceeding brought on behalf of or in the right of
the Company, (ii) any action asserting a claim of breach of a fiduciary duty owed by any director, officer or other employee, or agent of the Company to the Company or the Company&#146;s stockholders, (iii) any action pursuant or relating to any
provision of the Delaware General Corporation Law or the Company&#146;s certificate of incorporation or bylaws, (iv) any action asserting a claim arising pursuant to any provision of the federal securities laws, and any regulation promulgated
pursuant thereto, or (v) any action asserting a claim governed by what is known as the internal affairs doctrine of the State of Delaware, in the event that the claiming party does not obtain judgment on the merits that substantially achieves, in
substance and amount, the full remedy sought. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Additionally, Article X generally requires that any suit against the Company or against a
director or officer of the Company must be brought in the Court of Chancery of the State of Delaware. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Article XI provides, to the full
extent permitted by law, for the indemnification of a director or officer of the Company for any action, suit or proceeding, whether civil, criminal, administrative or investigative, by reason of the fact that he or she is or was a director or an
officer of the Company. Article XI further provides for the advancement of expenses to directors and officers for any such suit or proceeding. </P>

time as determined by the Board of Directors, at which time the shareholders shall elect a Board of Directors, and transact such other business as may properly come before the meeting. </P>

<TD ALIGN="left" VALIGN="top"><U>Business at Annual Meetings.</U> </TD></TR></TABLE> <P STYLE="margin-top:6pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">For business to be properly requested by a shareholder to be brought
before an annual meeting, (i)&nbsp;the shareholder must be a shareholder of the Company of record at the time of the giving of the notice for such annual meeting provided for in these Bylaws, (ii)&nbsp;the shareholder must be entitled to vote at
such meeting, (iii)&nbsp;the shareholder must have given timely notice thereof in writing to the Secretary and (iv)&nbsp;if the shareholder, or the beneficial owner on whose behalf any business is brought before the meeting, has provided the Company
with a Proposal Solicitation Notice, as that term is defined in this Section&nbsp;3, such shareholder or beneficial owner must have delivered a proxy statement and form of proxy to the holders of at the least the percentage of shares of the Company
entitled to vote required to approve such business that the shareholder proposes to bring before the annual meeting and included in such materials the Proposal Solicitation Notice. To be timely, a shareholder&#146;s notice must be delivered to or
mailed and received at the principal executive offices of the Company not less than 60 nor more than 90 calendar days prior to the first anniversary of the date on which the Company first mailed its proxy materials for the preceding year&#146;s
annual meeting of shareholders; <U>provided</U>, <U>however</U>, that if the date of the annual meeting is advanced more than 30 calendar days prior to or delayed by more than 30 calendar days after the anniversary of the preceding year&#146;s
annual meeting, notice by the shareholder to be timely must be so delivered not later than the close of business on the later of the 90th calendar day prior to such annual meeting or the 10th calendar day following the day on which public disclosure
of the date of such meeting is first made. In no event shall the public disclosure of an adjournment of an annual meeting commence a new time period for the giving of a shareholder&#146;s notice as described above. A shareholder&#146;s notice to the

annual meeting and the reasons for conducting such business at the annual meeting, (B)&nbsp;the name and address, as they appear on the Company&#146;s books, of the shareholder proposing such business and the beneficial owner, if any, on whose
behalf the proposal is made, (C)&nbsp;the class and series and number of shares of capital stock of the Company that are owned beneficially and of record by the shareholder proposing such business and by the beneficial owner, if any, on whose behalf
the proposal is made, (D)&nbsp;a description of all arrangements or understandings among such shareholder and any other person or persons (including their names) in connection with the proposal of such business by such shareholder and any material
interest of such shareholder in such business, (E)&nbsp;whether either such shareholder or beneficial owner intends to deliver a proxy statement and form of proxy to holders of at least the percentage of shares of the Company entitled to vote
required to approve the proposal (an affirmative statement of such intent, a &#147;Proposal Solicitation Notice&#148;), and (F)&nbsp;a representation that such shareholder intends to appear in person or by proxy at the annual meeting to bring such
business before the annual meeting. Notwithstanding the foregoing provisions of this Section&nbsp;3, a shareholder must also comply with all applicable requirements of the Securities Exchange Act of 1934 and the rules and regulations thereunder (the
&#147;Exchange Act&#148;) with respect to the matters set forth in this Section&nbsp;3. For purposes of this Section&nbsp;3 and Article II Section&nbsp;10, &#147;public disclosure&#148; means disclosure in a press release reported by the Dow Jones
News Service, Associated Press or comparable national news service or in a document filed by the Company with the Securities and Exchange Commission pursuant to the Exchange Act or furnished by the Company to shareholders. Nothing in this
Section&nbsp;3 will be deemed to affect any rights of shareholders to request inclusion of proposals in the Company&#146;s proxy statement pursuant to Rule&nbsp;14a-8 under the Exchange Act. </P>

<TD ALIGN="left" VALIGN="top"><U>Special Meetings</U>. </TD></TR></TABLE> <P STYLE="margin-top:6pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">Special meetings of the shareholders may be called only as provided in this
Section&nbsp;4. Special meetings may be called by the Chairman or the Vice Chairman, and shall be called by the Secretary within 10 calendar days after receipt of the written request of a majority of the total number of directors that the Company
would have if there were no vacancies (the &#147;Whole Board&#148;) or upon receipt of the written request of the holders of at least two-thirds of the voting power of the then outstanding shares of Common Stock. Any such request by a majority of
the Whole Board or the holders of at least two-thirds of the voting power of the then outstanding shares of Common Stock shall be sent to the Chairman and the Secretary and shall state the purpose or purposes of the proposed meeting. At a special
meeting of shareholders, only such business may be conducted or considered as is properly brought before the meeting. To be properly brought before a special meeting, business must be (i)&nbsp;specified in the notice of the meeting (or any
supplement thereto) given by or at the direction of the Chairman, the Vice Chairman or a majority of the Whole Board in accordance with Section&nbsp;5 or (ii)&nbsp;otherwise properly brought before the meeting by the presiding officer or by or at
the direction of a majority of the Whole Board. </P> <P STYLE="font-size:18pt;margin-top:0pt;margin-bottom:0pt">&nbsp;</P>

<TD ALIGN="left" VALIGN="top"><U>Notice of Meetings</U>. </TD></TR></TABLE> <P STYLE="margin-top:6pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">Written notice of each meeting of shareholders, whether annual or special, stating
the time when and place where it is to be held, shall be served either personally or by mail. Such notice shall be served not less than then (10)&nbsp;nor more than sixty (60)&nbsp;days before the meeting, upon each shareholder of record entitled to
vote at such meeting, and to any other shareholder to whom the giving of notice may be required by law. Notice of a special meeting shall also state the purpose or purposes for which the meeting is called, and shall indicate that it is being issued
by the person calling the meeting. If at any meeting, action is proposed to be taken that would, if taken, entitle shareholders to receive payment for their shares, the notice of such meeting shall include a statement of that purpose and that
effect. If mailed, such notice shall be directed to each such shareholder at his address, as it appears on the records of the shareholders of the Corporation, unless he shall have previously filed with the Secretary of the Corporation a written
request that notices intended for him be mailed to some other address, in which event, it shall be mailed to the address designated in such request. </P>

notice either before or after a meeting. The attendance of any shareholder at a meeting, in person or by proxy, shall constitute a waiver of notice by such shareholder. </P> <P STYLE="font-size:18pt;margin-top:0pt;margin-bottom:0pt">&nbsp;</P>

any meeting of shareholders or any adjournment thereof, or to express consent to or dissent from any proposal without a meeting, or for the purpose of determining shareholders entitled to receive payment of any dividend or the allotment of any
rights, or for the purpose of any other action, the Board shall fix, in advance, a date as the record date for any such determination of shareholders. Such date shall not be more than sixty (60)&nbsp;nor less than ten (10)&nbsp;days before the date
of such meeting, nor more than (60)&nbsp;days prior to any other action. If no record date is fixed, it shall be determined in accordance with the provisions of law. </P> <P STYLE="font-size:18pt;margin-top:0pt;margin-bottom:0pt">&nbsp;</P>

shareholders of the Corporation, the presence at the commencement of such meetings, in person or by proxy, of shareholders holding a third of the total number of shares of the Corporation then issued and outstanding on the records of the Corporation
and entitled to vote, shall be necessary and sufficient to constitute a quorum for the transaction of any business. If a specified item of business is required to be voted on by a class or classes, the holders of a majority of the shares of such
class or classes shall constitute a quorum for the transaction of such specified item of business. The withdrawal of any shareholder after the commencement of a meeting shall have no effect on the existence of a quorum, after a quorum has been
established at such meeting. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(b) Despite the absence of a quorum at any annual or special meeting of shareholders, the shareholders, by a majority of the
votes cast by the holders of shares entitled to vote thereon, may adjourn the meeting. </P> <P STYLE="font-size:18pt;margin-top:0pt;margin-bottom:0pt">&nbsp;</P>

<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">(1) directors shall be elected by a plurality of the votes cast; and </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">(2) all other corporate action to be taken by vote of the shareholders, shall be authorized by a majority of votes cast; </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">at a meeting of shareholders by the holders of shares entitled to vote thereon. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(b) Except as otherwise provided by statute or by the Certificate of Incorporation, at each meeting of shareholders, each holder of record of shares of the
Corporation entitled to vote, shall be entitled to one vote for each share of stock registered in his name on the books of the Corporation. </P>

 <P STYLE="margin-top:0pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(c) Each shareholder entitled to vote or to express consent or dissent without a meeting, may do so by proxy;
provided, however, that the instrument authorizing such proxy to act shall have been executed in writing by the shareholder himself, or by his attorney-in-fact duly authorized in writing. No proxy shall be voted or acted upon after three
(3)&nbsp;years, unless the proxy shall specify the length of time it is to continue in force. The proxy shall be delivered to the Secretary at the meeting and shall be filed with the records of the Corporation. Every proxy shall be revocable at the
pleasure of the shareholder executing it, unless the proxy states that it is irrevocable, except as otherwise provided by law. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(d) (i) Subject to this
Section&nbsp;9(d), any action that may be taken by vote may be taken without a meeting on written consent. Such action shall constitute action by such shareholders with the same force and effect as if the same had been approved at a duly called
meeting of shareholders and evidence of such approval signed by all of the shareholders shall be inserted in the Minute Book of the Corporation. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(ii) In
order that the Corporation may determine the stockholders entitled to consent to corporate action in writing without a meeting pursuant to this Section&nbsp;9(d), the Board of Directors may fix a record date, which record date shall not precede the
date upon which the resolution fixing the record date is adopted by the Board of Directors, and which date shall not be more than 10&nbsp;days after the date upon which the resolution fixing the record date is adopted by the Board of Directors. Any
shareholder of record seeking to have the shareholders authorize or take corporate action by written consent shall, by written notice to the Secretary, request the Board of Directors to fix a record date. The Board of Directors shall promptly, but
in all events within 10&nbsp;days after the date on which such a request is received, adopt a resolution fixing the record date (unless a record date has previously been fixed by the Board of Directors pursuant to the first sentence of this
Section&nbsp;9(d)(ii)). If no record date has been fixed Board of Directors pursuant to the first sentence of this Section&nbsp;9(d)(ii) or otherwise within 10&nbsp;days of the date on which such a request is received, the record date for
determining shareholders entitled to consent to corporate action in writing without a meeting, when no prior action by the Board of Directors is required by applicable law, shall be the first date on which a signed written consent setting forth the
action taken or proposed to be taken is delivered to the Corporation by delivery to its registered office in Delaware, the Corporation&#146;s principal executive offices, or an officer or agent of the Corporation having custody of the book in which
proceedings of meetings of stockholders are recorded. Delivery shall be by hand, or by certified or registered mail, return receipt requested. If no record date has been fixed by the Board of Directors and prior action by the Board of Directors is
required by applicable law, the record date for determining shareholders entitled to consent to corporate action in writing without a meeting shall be at the close of business on the date on which the Board of Directors adopts the resolution taking
such prior action. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(iii) In the event of the delivery, in the manner provided by Section&nbsp;9(d)(ii), to the Corporation of the requisite written
consent or consents to take corporate action and/or any related revocation or revocations, the Corporation shall engage independent inspectors of elections for the purpose of performing promptly a ministerial review of the validity of the consents
and revocations. For the purpose of permitting the inspectors to perform such review, no action by written consent without a meeting shall be effective until such date as the independent inspectors certify to the Corporation that the consents
delivered to the Corporation in accordance with Section&nbsp;9(d)(ii) represent at least the minimum number of votes that would be necessary to take the corporate action. Nothing contained in this Section&nbsp;9(d)(iii) shall in any way be construed
to suggest or imply that the Board of Directors or any shareholder shall not be entitled to contest the validity of any consent or revocation thereof, whether before or after such certification by the independent inspectors, or to take any such
action (including, without limitation, the commencement, prosecution or defense of any litigation with respect thereto, and the seeking of injunctive relief in such litigation). </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(iv) Every written consent shall bear the date of signature of each shareholder who signs the consent, and no written consent shall be effective to take the
corporate action referred to therein unless, within 60&nbsp;days </P>

<TD ALIGN="left" VALIGN="top"><U>Nomination of Directors</U>. </TD></TR></TABLE> <P STYLE="margin-top:6pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(a) Subject to the rights, if any, of the holders of any series of preferred
shares to elect additional directors as may be provided in a designation of rights for such series, only persons who are nominated in accordance with this Section&nbsp;10 will be eligible for election at a meeting of shareholders as directors of the
Company. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(b) Nominations of persons for election as directors of the Company may be made only at an annual meeting of shareholders (i)&nbsp;by or at the
direction of the Board or (ii)&nbsp;by any shareholder that is a shareholder of record at the time of giving of notice provided for in this Section&nbsp;10, who is entitled to vote for the election of directors at such annual meeting, and who
complies with the procedures set forth in this Section&nbsp;10. If a shareholder, or a beneficial owner on whose behalf any such nomination is made, has provided the Company with a Nomination Solicitation Notice, as that term is defined in this
Section&nbsp;10 below, such shareholder or beneficial owner must have delivered a proxy statement and form of proxy to the holders of at least the percentage of shares of the Company entitled to vote required to approve such nomination and included
in such materials the Nomination Solicitation Notice. All nominations by shareholders must be made pursuant to timely notice in proper written form to the Secretary. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(c) To be timely, a shareholder&#146;s notice must be delivered to or mailed and received at the principal executive offices of the Company not less than 60

<TD ALIGN="left" VALIGN="top">Right to Advancement of Expenses. </TD></TR></TABLE> <P STYLE="margin-top:6pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">In addition to the right to indemnification conferred in Section&nbsp;1 of
this Article XI, an indemnitee shall also have the right to be paid by the Corporation the expenses (including attorney&#146;s fees) incurred in defending any such proceeding in advance of its final disposition (hereinafter an &#147;advancement of
expenses&#148;); provided, however, that, if the Delaware General Corporation Law requires, an advancement of expenses incurred by an indemnitee in his or her capacity as a director or officer (and not in any other capacity in which service was or
is rendered by such indemnitee, including, without limitation, service to an employee benefit plan) shall be made only upon delivery to the Corporation of an undertaking (hereinafter an &#147;undertaking&#148;), by or on behalf of such indemnitee,
to repay all amounts so advanced if it shall ultimately be determined by final judicial decision from which there is no further right to appeal (hereinafter a &#147;final adjudication&#148;) that such indemnitee is not entitled to be indemnified for
such expenses under this Section&nbsp;2 or otherwise. 2. Right to Advancement of Expenses. In addition to the right to indemnification conferred in Section&nbsp;1 of this Article XI, an indemnitee shall also have the right to be paid by the
Corporation the expenses (including attorney&#146;s fees) incurred in defending any such proceeding in advance of its final disposition (hereinafter an &#147;advancement of expenses&#148;); provided, however, that, if the Delaware General

<TD ALIGN="left" VALIGN="top">Right of Indemnitee to Bring Suit. </TD></TR></TABLE> <P STYLE="margin-top:6pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">If a claim under Section&nbsp;1 or 2 of this Article XI is not paid in full
by the Corporation within 60 days after a written claim has been received by the Corporation, except in the case of a claim for an advancement of expenses, in which case the applicable period shall be 20 days, the indemnitee may at any time
thereafter bring suit against the Corporation to recover the unpaid amount of the claim. To the fullest extent permitted by law, if successful in whole or in part in any such suit, or in a suit brought by the Corporation to recover an advancement of
expenses pursuant to the terms of an undertaking, the indemnitee shall be entitled to be paid also the expense of prosecuting or defending such suit. In (i)&nbsp;any suit brought by the indemnitee to enforce a right to indemnification hereunder (but
not in a suit brought by the indemnitee to enforce a right to an advancement of expenses) it shall be a defense that, and (ii)&nbsp;in any suit brought by the Corporation to recover an advancement of expenses pursuant to the terms of an undertaking,
the Corporation shall be entitled to recover such expenses upon a final adjudication that, the indemnitee has not met any applicable standard for indemnification set forth in the Delaware General Corporation Law. Neither the failure of the
Corporation (including its directors who are not parties to such action, a committee of such directors, independent legal counsel, or its stockholders) to have made a determination prior to the commencement of such suit that indemnification of the
indemnitee is proper in the circumstances because the indemnitee has met the applicable standard of conduct set forth in the Delaware General Corporation Law, nor an actual determination by the Corporation (including its directors who are not
parties to such action, a committee of such directors, independent legal counsel, or its stockholders) that the indemnitee has not met such applicable standard of conduct, shall create a presumption that the indemnitee has not met the applicable
standard of conduct or, in the case of such a suit brought by the indemnitee, be a defense to such suit. In any suit brought by the indemnitee to enforce a right to indemnification or to an advancement of expenses hereunder, or brought by the
Corporation to recover an advancement of expenses pursuant to the terms of an undertaking, the burden of proving that the indemnitee is not entitled to be indemnified, or to such advancement of expenses, under this Article XI or otherwise shall be
on the Corporation. </P>

<TD ALIGN="left" VALIGN="top">Non-Exclusivity of Rights. </TD></TR></TABLE> <P STYLE="margin-top:6pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">The rights to indemnification and to the advancement of expenses conferred in this
Article XI shall not be exclusive of any other right which any person may have or hereafter acquire under any statute, the Corporation&#146;s Certificate of Incorporation, Bylaws, agreement, vote of stockholders or directors or otherwise. </P>

officer, employee or agent of the Corporation or another corporation, partnership, joint venture, trust or other enterprise against any expense, liability or loss, whether or not the Corporation would have the power to indemnify such person against
such expense, liability or loss under the Delaware General Corporation Law. </P> <P STYLE="font-size:18pt;margin-top:0pt;margin-bottom:0pt">&nbsp;</P>

<TD ALIGN="left" VALIGN="top">Indemnification of Employees and Agents of the Corporation. </TD></TR></TABLE> <P STYLE="margin-top:6pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">The Corporation may, to the extent authorized from
time to time by the Board of Directors, grant rights to indemnification and to the advancement of expenses to any employee or agent of the Corporation to the fullest extent of the provisions of this Article with respect to the indemnification and
advancement of expenses of directors and officers of the Corporation. </P> <P STYLE="font-size:18pt;margin-top:0pt;margin-bottom:0pt">&nbsp;</P>

<TD ALIGN="left" VALIGN="top">Nature of Rights. </TD></TR></TABLE> <P STYLE="margin-top:6pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">The rights conferred upon indemnitees in this Article XI shall be contract rights and such
rights shall continue as to an indemnitee who has ceased to be a director, officer or trustee and shall inure to the benefit of the indemnitee&#146;s heirs, executors and administrators. Any amendment, alteration or repeal of this Article XI that
adversely affects any right of an indemnitee or its successors shall be prospective only and shall not limit, eliminate, or impair any such right with respect to any proceeding involving any occurrence or alleged occurrence of any action or omission
to act that took place prior to such amendment or repeal. </P>
