Officers; Compensatory Arrangements of Certain Officers. </B></P> <P STYLE="margin-top:6pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(d) On July&nbsp;8, 2015, the Board of Directors (&#147;Board&#148;) of Big 5 Sporting Goods
Corporation (the &#147;Company&#148;) was expanded to eight directors, and the Board appointed Robert C. Galvin as a Class&nbsp;A Director to fill the added position on the Board. Mr.&nbsp;Galvin&#146;s current term is scheduled to expire at the
Company&#146;s 2018 annual meeting of stockholders. The Board has determined that Mr.&nbsp;Galvin is an &#147;independent director&#148; pursuant to the Nasdaq Stock Market requirements. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">There are no arrangements or understandings between Mr.&nbsp;Galvin and any other person(s) pursuant to which he was selected as a director.
Mr.&nbsp;Galvin&#146;s appointment was made pursuant to and in compliance with the Company&#146;s Settlement Agreement dated April&nbsp;30, 2015, with Stadium Capital Management, LLC and certain of its affiliates (&#147;Settlement Agreement&#148;).
Pursuant to the Settlement Agreement, Mr.&nbsp;Galvin was also appointed to the Board&#146;s Value Creation Committee (as described in the Settlement Agreement). </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">Since the beginning of the Company&#146;s last fiscal year, there was no transaction or series of similar transactions, nor is there any currently proposed
transaction or series of similar transactions, to which the Company or any of its subsidiaries was or is to be a party, in which the amount involved exceeds $120,000 and in which Mr.&nbsp;Galvin, or members of his immediate family, had or will have
a direct or indirect material interest. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">Concurrently with his appointment to the Board, Mr.&nbsp;Galvin was granted options to purchase 10,000 shares of
the Company&#146;s common stock at a price of $13.96 per share. The options were issued under the Company&#146;s Amended and Restated 2007 Equity and Performance Incentive Plan. </P>
<P STYLE="margin-top:18pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman"><B>Item&nbsp;5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. </B></P>
<P STYLE="margin-top:6pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">On July&nbsp;8, 2015, the Board amended Article II, Section&nbsp;8 of the Amended and Restated Bylaws of the Company (the &#147;Bylaws&#148;) to provide that
each director nominee in an uncontested election (as defined in the Bylaws) shall be elected if the number of votes cast &#147;for&#148; such director nominee&#146;s election exceeds the number of votes cast &#147;against&#148; such director
nominee&#146;s election, and that in a contested election (as defined in the Bylaws), the director nominees receiving a plurality of the votes cast shall be elected. Previously, the Company&#146;s Bylaws provided that directors were to be elected in
a meeting of stockholders at which a quorum was present by the plurality of the votes cast to elect a director, whether or not the election was contested. The foregoing description is a summary and is qualified in its entirety by reference to the
full text of the Amended and Restated Bylaws, as amended, which are attached hereto as Exhibit 3.1 and incorporated herein by reference. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">The Board also
adopted a Policy Statement on Majority Voting (&#147;Policy&#148;) in furtherance of the majority voting standard in the Bylaws. Under the Policy, in uncontested elections, an incumbent director nominee who does not receive the required votes for
reelection shall promptly tender his or her resignation to the Board following certification of the shareholder vote. This resignation shall only be effective upon acceptance by the Board. The Nominating and Corporate Governance Committee of the
Board or another committee will consider the tendered resignation and will recommend to the Board whether to accept the tendered resignation or to take some other action. The Board will make a determination as to whether to accept the tendered
resignation no later than at its first regularly scheduled meeting following certification of the stockholder vote, but in any case, no later than 90 days following the certification of the stockholder vote. The foregoing description of the Policy

</B></P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Section 1. <U>Registered Office</U>. The registered office of the Corporation shall be in the City of Dover, County of Kent, State of
Delaware. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Section 2. <U>Other Offices</U>. The Corporation may also have offices at such other places both within and without the State
of Delaware as the Board of Directors may from time to time determine. </P> <P STYLE="margin-top:18pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman" ALIGN="center"><B>ARTICLE II </B></P>
<P STYLE="margin-top:0pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman" ALIGN="center"><B>MEETINGS OF STOCKHOLDERS </B></P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Section 1. <U>Place of Meetings</U>. Meetings of the stockholders for the election of directors or for any other purpose shall be held at such
place, either within or without the State of Delaware, as shall be designated from time to time by the Board of Directors and stated in the notice of the meeting or in a duly executed waiver of notice thereof. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Section 2. <U>Annual Meetings</U>. </P>
<P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">1) An annual meeting of the stockholders, for the election of directors to succeed those whose terms expire and for the transaction of such
other business as may properly come before the meeting, shall be held at such place, on such date and at such time as the Board of Directors shall each year fix, which date shall be within thirteen (13)&nbsp;months of the last annual meeting of
stockholders. </P> <P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">2) Nominations of persons for election to the Board of Directors and the proposal of business to be transacted by the
stockholders may be made at an annual meeting of stockholders (a)&nbsp;pursuant to the Corporation&#146;s notice with respect to such meeting, (b)&nbsp;by or at the direction of the Board of Directors or (c)&nbsp;by any stockholder of record of the
Corporation who was a stockholder of record at the time of the giving of the notice provided for in the following paragraph, who is entitled to vote at the meeting and who has complied with the notice procedures set forth in this section. </P>

foregoing paragraph, (1)&nbsp;the stockholder must have given timely notice thereof in writing to the Secretary of the Corporation, (2)&nbsp;such business must be a proper matter for stockholder action under the General Corporation Law of the State

must, in the case of a proposal, have delivered a proxy statement and form of proxy to holders of at least the percentage of the Corporation&#146;s voting shares required under applicable law to carry any such proposal, or, in the case of a
nomination or nominations, have delivered a proxy statement and form of proxy to holders of a percentage of the Corporation&#146;s voting shares reasonably believed by such stockholder or beneficial holder to be sufficient to elect the nominee or
nominees proposed to be nominated by such stockholder, and must, in either case, have included in such materials the Solicitation Notice and (4)&nbsp;if no Solicitation Notice relating thereto has been timely provided pursuant to this section, the
stockholder or beneficial owner proposing such business or nomination must not have solicited a number of proxies sufficient to have required the delivery of such a Solicitation Notice under this section. To be timely, a stockholder&#146;s notice
shall be delivered to the Secretary at the principal executive offices of the Corporation not less than 45 or more than 75 days prior to the first anniversary (the &#147;Anniversary&#148;) of the date on which the Corporation first mailed its proxy
materials for the preceding year&#146;s annual meeting of stockholders (provided, that during the year 2003, such notice shall be delivered to the Secretary no earlier than February&nbsp;15th and no later than March&nbsp;15th); provided, however,
that if the date of the annual meeting is advanced more than 30 days prior to or delayed by more than 30 days after the anniversary of the preceding year&#146;s annual meeting, notice by the stockholder to be timely must be so delivered not later
than the close of business on the later of (i)&nbsp;the 90th day prior to such annual meeting or (ii)&nbsp;the 10th day following the day on which public announcement of the date of such meeting is first made. Such stockholder&#146;s notice shall

Section&nbsp;2 shall be eligible to serve as directors and only such business shall be conducted at an annual meeting of stockholders as shall have been brought before the meeting in accordance with the procedures set forth in this section. The
chairman of the meeting shall have the power and the duty to determine whether a nomination or any business proposed to be brought before the meeting has been made in accordance with the procedures set forth in these Amended and Restated Bylaws, as

the holders of a majority of the shares entitled to vote who are present, in person or by proxy, shall call to order any meeting of the stockholders and act as chairman of the meeting. In the absence of the Secretary of the Corporation, the
secretary of the meeting shall be such person as the chairman of the meeting appoints. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Section 7. <U>Conduct of Business</U>. The

required by law or by resolution of the Board of Directors, be filled only by a majority vote of the directors then in office, though less than a quorum (and not by stockholders), and directors so chosen shall hold office for a term expiring at the
annual meeting of stockholders at which the term of office of the class to which they have been elected expires or until such director&#146;s successor shall have been duly elected and qualified. No decrease in the number of authorized directors

provided for herein, elect a director or directors to serve as the member or members, designating, if it desires, other directors as alternate members who may replace any absent or disqualified member at any meeting of the committee. In the absence
or disqualification of any member of any committee and any alternate member in his or her place, the member or members of the committee present at the meeting and not disqualified from voting, whether or not he or she or they constitute a quorum,
may by unanimous vote appoint another member of the Board of Directors to act at the meeting in the place of the absent or disqualified member. </P>

1. <U>General</U>. The officers of the Corporation shall consist of a Chairman of the Board, a President, one or more Vice Presidents, a Secretary and a Treasurer. The Board of Directors may also appoint one (1)&nbsp;or more vice presidents and one
(1)&nbsp;or more assistant secretaries and such other officers as the Board of Directors, in its discretion, shall deem necessary or appropriate from time to time. Any number of offices may be held by the same person, unless the Certificate of
Incorporation or these Bylaws otherwise provide. The salaries of officers elected by the Board of Directors shall be fixed from time to time by the Board of Directors or by such officers as may be designated by resolution of the Board of Directors.
</P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Section 2. <U>Election; Term of Office</U>. The Board of Directors at its first meeting held after each annual meeting of stockholders
shall elect a Chairman of the Board, a President, one or more Vice Presidents, a Secretary and a Treasurer, and may also elect at that meeting or any other meeting, such other officers and agents as it shall deem necessary or appropriate. Each
officer of the Corporation shall exercise such powers and perform such duties as shall be determined from time to time by the Board of Directors together with the powers and duties customarily exercised by such officer; and each officer of the
Corporation shall hold office until such officer&#146;s successor is elected and qualified or until such officer&#146;s earlier resignation or removal. Any officer may resign at any time upon written notice to the Corporation. The Board of Directors

<U>Chairman of the Board</U>. The Chairman of the Board, if there shall be such an officer, shall be the chief executive officer of the Corporation. The Chairman of the Board shall preside at all meetings of the stockholders and the Board of
Directors. Subject to the provisions of these Bylaws and to the direction of the Board of Directors, he or she shall have the responsibility for the general management and control of the business and affairs of the Corporation and shall perform all
duties and have all powers which are commonly incident to the office of chief executive or which are delegated to him or her by the Board of Directors. He or she shall have power to sign all stock certificates, contracts and other instruments of the
Corporation which are authorized and shall have general supervision and direction of all of the other officers, employees and agents of the Corporation. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Section 4. <U>President</U>. The President shall be the chief operating officer of the Corporation, shall have general and active management
of the business of the Corporation and shall see that all orders and resolutions of the Board of Directors are carried into effect. The President shall perform all duties and have all powers which are commonly incident to the office of the President

Board of Directors has not designated a Chairman of the Board, the President shall perform the duties of the Chairman of the Board, and when so acting, shall have all of the powers and be subject to all of the restrictions upon the Chairman of the
Board. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Section 5. <U>Vice President</U>. In the absence of the President or in the event of his inability or refusal to act, the Vice
President (or in the event there be more than one vice president, the vice presidents in the order designated by the directors, or in the absence of any designation, then in the order of their election) shall perform the duties of the President, and
when so acting, shall have all the powers of and be subject to all the restrictions upon the President. The vice presidents shall perform such other duties and have such other powers as the Board of Directors or the President may from time to time
prescribe. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Section 6. <U>Secretary</U>. The Secretary shall issue all authorized notices for, and shall keep minutes of, all meetings of
the stockholders and the Board of Directors. He or she shall have charge of the corporate books and shall perform such other duties as the Board of Directors may from time to time prescribe. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Section 7. <U>Chief Financial Officer</U>. The Chief Financial Officer shall be the Treasurer of the Corporation and shall have the
responsibility for maintaining the financial records of the Corporation. He or she shall make such disbursements of the funds of the Corporation as are authorized and shall render from time to time an account of all such transactions and of the
financial condition of the Corporation. The Chief Financial Officer shall also perform such other duties as the Board of Directors may from time to time prescribe. </P>

or in the name of, the Corporation by (i)&nbsp;the Chairman of the Board or the Vice Chairman of the Board, or the President or a Vice President, and (ii)&nbsp;the Treasurer or an Assistant Treasurer, or the Secretary or an Assistant Secretary,
certifying the number of shares owned by such holder in the Corporation. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Section 2. <U>Signatures</U>. Any or all of the signatures on

Corporation or by transfer agents designated to transfer shares of the stock of the Corporation. Except where a certificate is issued in accordance with Section&nbsp;7 of Article VI of these Bylaws, an outstanding certificate for the number of
shares involved shall be surrendered for cancellation before a new certificate shall be issued. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Section 4. <U>Record Date</U>. In order
that the Corporation may determine the stockholders entitled to notice of or to vote at any meeting of stockholders or entitled to receive payment of any dividend or other distribution or allotment of any rights, or entitled to exercise any rights
in respect of any change, conversion or exchange of stock, or for the purpose of any other lawful action, the Board of Directors may, except as otherwise required by law, fix, in advance, a record date, which record date shall not precede the date
on which the resolution fixing the record date is adopted and which record date shall not be more than sixty (60)&nbsp;days nor less than ten (10)&nbsp;days before the date of such meeting, nor more than sixty (60)&nbsp;days prior to any other
action; provided, however, that if no record date is fixed by the Board of Directors, the record date for determining stockholders entitled to notice of or to vote at any meeting of stockholders shall be at the close of business on the day next
preceding the day on which notice is given or, if notice is waived, at the close of business on the day next preceding the day on which the meeting is held, and, for determining stockholders entitled to receive payment of any dividend or other

to recognize any equitable or other claim to or interest in such share or shares on the part of any other person, whether or not it shall have express or other notice thereof, except as otherwise provided by law. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Section 6. <U>Voting Securities Owned by the Corporation</U>. Powers of attorney, proxies, waivers of notice of meeting, consents and other
instruments relating to securities of any other entity owned by the Corporation may be executed in the name of and on behalf of the Corporation by the Chairman of the Board, the Chief Executive Officer, the President or the Secretary and any such
officer may, in the name of and on behalf of the Corporation, take all such action as any such officer may deem advisable to vote in person or by proxy at any meeting of security holders of any corporation in which the Corporation may own securities
and at any such meeting shall possess and may exercise any and all rights and power incident to the ownership of such securities and which, as the owner thereof, the Corporation might have exercised and possessed if present. The Board of Directors

bonds of indemnity. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Section 8. <U>Regulations</U>. The issue, transfer, conversion and registration of certificates of stock shall be

Without limiting the manner by which notice otherwise may be given effectively to stockholders, any notice to stockholders may be given by electronic transmission in the manner provided in Section&nbsp;232 of the Delaware General Corporation Law.
</P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Section 2. <U>Waiver of Notice</U>. Whenever any notice is required by law, the Certificate of Incorporation or these Bylaws to be given
to any director, member of a committee or stockholder, a waiver thereof in writing, signed by the person or persons entitled to such notice, or a waiver by electronic transmission by the person entitled to notice, whether before or after the time of
the event for which notice is to be given, shall be deemed equivalent to the notice required to be given to such person. Neither the business nor the purpose of any meeting need be specified in such a waiver. Attendance at any meeting shall

the case of such a suit brought by the indemnitee, be a defense to such suit. In any suit brought by the indemnitee to enforce a right to indemnification or to an advancement of expenses hereunder, or brought by the Corporation to recover an
advancement of expenses pursuant to the terms of an undertaking, the burden of proving that the indemnitee is not entitled to be indemnified, or to such advancement of expenses, under this Article IX or otherwise shall be on the Corporation. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Section 4. <U>Non-Exclusivity of Rights</U>. The rights to indemnification and to the advancement of expenses conferred in this Article IX
shall not be exclusive of any other right which any person may have or hereafter acquire under any statute, the Corporation&#146;s Certificate of Incorporation, Bylaws, agreement, vote of stockholders or directors or otherwise. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Section 5. <U>Insurance and Trust Fund</U>. In furtherance and not in limitation of the powers conferred by statute: </P>

<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Section 6. <U>Indemnification of Employees and Agents of the Corporation</U>. The Corporation may, to the extent authorized from time to time
by the Board of Directors, grant rights to indemnification and to the advancement of expenses to any employee or agent of the Corporation to the fullest extent of the provisions of this Article IX with respect to the indemnification and advancement
of expenses of directors and officers of the Corporation. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Section 7. <U>Nature of Rights</U>. The rights conferred upon indemnitees in
this Article IX shall be contract rights and such rights shall continue as to an indemnitee who has ceased to be a director, officer or trustee and shall inure to the benefit of the indemnitee&#146;s heirs, executors and administrators. Any
amendment, alteration or repeal of this Article IX that adversely affects any right of an indemnitee or its successors shall be prospective only and shall not limit or eliminate any such right with respect to any proceeding involving any occurrence
or alleged occurrence of any action or omission to act that took place prior to such amendment or repeal. </P> <P STYLE="margin-top:18pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman" ALIGN="center"><B>ARTICLE X </B></P>
<P STYLE="margin-top:0pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman" ALIGN="center"><B>AMENDMENTS </B></P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">In furtherance
and not in limitation of the powers conferred by law, the Board of Directors, with the approval of the majority of the Whole Board, is expressly authorized to adopt, amend and repeal these Bylaws subject to the power of the holders of capital stock
of the Corporation to adopt, amend or repeal the Bylaws; provided, however, that, with respect to the power of holders of capital stock to adopt, amend and repeal Bylaws of the Corporation, notwithstanding any other provision of these Bylaws or any
provision of law which might otherwise permit a lesser vote or no vote, but in addition to any affirmative vote of the holders of any particular class or series of the capital stock of the Corporation required by law, these Bylaws or any preferred
stock, the affirmative vote of the holders of at least eighty percent (80%)&nbsp;of the voting power of all of the then-outstanding shares entitled to vote generally in the election of directors, voting together as a single class, shall be required
to adopt, amend or repeal any provision of these Bylaws. </P>
