Form S-11 with the Securities and Exchange Commission (&#147;SEC&#148;) for the proposed public offering of up to $125 million of its common stock. The number of shares to be offered and the price range for the offering have not yet been determined.
</FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px"><FONT STYLE="font-family:Times New Roman" SIZE="2">The Company expects to sell its common stock in an underwritten public offering with Stifel, Nicolaus&nbsp;&amp; Company, Incorporated and
Janney Montgomery Scott LLC acting as joint book-running managers for the offering. The Company intends to grant the underwriters a 30-day option to purchase additional shares to cover over-allotments, if any. </FONT></P>
