<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify">On June 2, 2015, Transgenomic, Inc. (the
&ldquo;Company&rdquo;) entered into an amendment (the &ldquo;Amendment&rdquo;) to the offer letter, dated November 6, 2012, by
and between the Company and Leon Richards, the Company&rsquo;s Chief Accounting Officer (the &ldquo;Offer Letter&rdquo;). The Amendment
amends the Offer Letter to provide that, in the event Mr. Richards&rsquo; employment with the Company is terminated without &ldquo;Cause&rdquo;
(as defined in the Amendment) prior to or within 12 months following a &ldquo;Change in Control&rdquo; (as defined in the Amendment)
of the Company, he shall be entitled to receive an amount equal to nine months of his base salary at the time of his termination,
subject to Mr. Richards signing and delivering a release of claims to the Company. The Amendment further provides that in the event
Mr. Richards is employed with the Company upon a Change in Control, any stock options that are outstanding and unvested as of immediately
prior to such Change in Control shall vest in their entirety, and become fully exercisable, as of immediately prior to, and contingent
upon, such Change in Control. The Amendment also provides that unless Mr. Richards&rsquo; employment is terminated by the Company
for Cause, he will have until the earlier of the following dates to exercise any then-vested and outstanding stock options: (i)
180 days after the termination of his employment, or (ii) the date on which the stock options otherwise would become unexercisable,
ignoring the fact that his employment terminated.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify">&nbsp;</P>

(the &ldquo;Annual Meeting&rdquo;) of the Company held on May 28, 2015, the Company&rsquo;s stockholders voted on three proposals:
(1) the election of Michael A. Luther, Ph.D. as a Class III director for a three-year term ending in 2018 (&ldquo;Proposal One&rdquo;);
(2) an advisory vote to approve named executive officer compensation (&ldquo;Proposal Two&rdquo;); and (3) the ratification of
the appointment of Ernst &amp; Young LLP as the Company&rsquo;s independent registered public accounting firm for the year ending
December 31, 2015 (&ldquo;Proposal Three&rdquo;).</P>

2015, the record date for the Annual Meeting, there were a total of 14,466,510 shares of capital stock of the Company entitled
to vote, which consisted of 12,161,156 shares of Common Stock, par value $0.01 per share, of the Company (&ldquo;Common Stock&rdquo;),
2,586,205 shares of Series A Convertible Preferred Stock, par value $0.01 per share, of the Company (&ldquo;Series A Preferred
Stock&rdquo;), which were convertible into 862,057 shares of Common Stock as of the record date, and 1,443,297 shares of Series
B Convertible Preferred Stock, par value $0.01 per share, of the Company (&ldquo;Series B Preferred Stock&rdquo;), which were convertible
into 1,443,297 shares of Common Stock as of the record date. Each share of Common Stock was entitled to one vote on each matter
to be voted on at the Annual Meeting. Only holders of Common Stock, as of the record date, voting as a separate class, were entitled
to vote on Proposal One. Each share of Series A Preferred Stock was entitled to one vote for every three shares of Series A Preferred
Stock on each matter to be voted on at the Annual Meeting, except for Proposal One. Each share of Series B Preferred Stock was
entitled to one vote on each matter to be voted on at the Annual Meeting, except for Proposal One. The affirmative vote of a plurality
of the votes cast at the Annual Meeting by the holders of the Common Stock, voting of as a separate class, was required to approve
Proposal One. The affirmative vote of a majority of the votes cast at the Annual Meeting by the holders of Common Stock, Series
A Preferred Stock and Series B Preferred Stock, voting together as a single class on an as-converted to Common Stock basis, was
required to approve Proposal Two. Approval of Proposal Three required the affirmative vote of a majority of the voting power present
in person or represented by proxy by the holders of Common Stock, Series A Preferred Stock and Series B Preferred Stock, voting
together as a single class on an as-converted to Common Stock basis, at the Annual Meeting. At the Annual Meeting, 10,257,484 shares
of Common Stock, 2,586,205 shares of Series A Preferred Stock and 1,443,297 shares of Series B Preferred Stock were represented
in person or by proxy and, therefore, a quorum was present.</P>

On behalf of Transgenomic, Inc., I am pleased to offer you the position of Corporate Controller. Compensation for the position
consists of a base salary, variable compensation plan, and health and welfare benefits. The details of the offer include:</P>

current annual base salary for a period of six (6) months and will be subject to applicable income tax withholding consistent with

280G</U>. In the event that any payment or benefit received or to be received by you pursuant to this letter or under any other
agreement, contract, award, arrangement, etc. (collectively, &ldquo;<U>Payments</U>&rdquo;) would result in a &ldquo;parachute
payment&rdquo; as described in Section 280G of the Internal Revenue Code of 1986, as amended (or any successor provision) (&ldquo;<U>Section
280G</U>&rdquo;), notwithstanding the other provisions of this letter, or any other agreement, contract, award, arrangement, etc.,
such Payments shall not, in the aggregate, exceed the maximum amount that may be paid to you without triggering golden parachute
penalties under Section 280G and related provisions of the Internal Revenue Code of 1986, as amended (the &ldquo;<U>Code</U>&rdquo;),
as determined in good faith by the Company&rsquo;s independent auditors. If any benefits must be cut back to avoid triggering such
penalties, they shall be cut back in the following order: First, a pro rata reduction of (i) cash payments subject to Section 409A
of the Code as deferred compensation and (ii) cash payments not subject to Section 409A of the Code; and, second, a pro rata cancellation
of (a) equity-based compensation subject to Section 409A of the Code as deferred compensation and (b) equity-based compensation
not subject to Section 409A of the Code. Reduction in either cash payments or equity compensation benefits shall be made pro rata
between and among benefits which are subject to Section 409A of the Code and benefits which are exempt from Section 409A of the
Code. If an amount in excess of the limit set forth in this Section 8 is paid to you, you shall repay the excess amount to the
Company on demand, with interest at the rate provided for in Code Section 1274(b)(2)(B) (or any successor provision). The Company
and you agree to cooperate with each other in connection with any administrative or judicial proceedings concerning the existence
or amount of golden parachute penalties. The foregoing reduction, however, shall only apply if it increases the net amount you
would realize from Payments, after payment of income and excise taxes on such Payments.</P>

the meaning of Section 409A of the Code (&ldquo;<U>Section 409A</U>&rdquo;), payment of such amounts shall not commence until you
incur a &ldquo;separation from service&rdquo; within the meaning of Treasury Regulation Section 1.409A-1(h). Each payment hereunder
is designated as a separate payment for purposes of Section 409A. If, at the time of your separation from service, you are a &ldquo;specified
employee&rdquo; (under Code Section 409A), any benefits as to which Section 409A penalties could be assessed that become payable
to you on account of his &ldquo;separation from service&rdquo; (including any amounts payable pursuant to the preceding sentence)
will not be paid until after six months and one day after your separation from service (the &ldquo;<U>409A Suspension Period</U>&rdquo;).
Within 14 calendar days after the end of the 409A Suspension Period, you shall be paid a lump sum payment in cash equal to any
payments delayed because of the preceding sentence, together with interest on them for the period of delay at a rate not less than
the average prime interest rate published in the Wall Street Journal on any day chosen by the Company during that period. Thereafter,
you shall receive any remaining benefits as if there had not been an earlier delay. Notwithstanding the foregoing, nobody shall
have liability to you in the event you suffer adverse consequences under Section 409A.</P>

</FONT>Consideration</B>: Within 14 days after the Company receives this Release of Claims (the &ldquo;<U>Agreement</U>&rdquo;)
and it has become effective, the Company will pay me $[&bull;], an amount equal to nine months of my base salary, which will be
paid in six equal, monthly installments, paid on the last day of each month, commencing in the month that includes the 55th day

their successors (the &ldquo;<U>Released Parties</U>&rdquo;), except claims that the law does not permit me to waive by signing
this Agreement. For example, I am releasing all common law contract, tort, or other claims I might have, as well as all claims
I might have under the Age Discrimination in Employment Act (ADEA), the Worker Adjustment &amp; Retraining Notification Act (WARN
Act), Title VII of the Civil Rights Act of 1964, Sections 1981 and 1983 of the Civil Rights Act of 1866, the Americans With Disabilities
Act (ADA), the Employee Retirement Income Security Act of 1974 (ERISA), and any similar domestic or foreign laws, such as the Connecticut

employee benefits or pay. I understand that my old job may be refilled. I have not been told that the Company or any Released
Party ever will employ me in the future.</P>
