will be subject to discipline, as deemed appropriate by the Company in its sole

involved outside the workplace are free of conflicts with responsibilities to

interests of the Company. A conflict situation can arise when a Covered Person
has interests that may impair the objective performance of his or her duties to
the Company. Conflicts of interest may also arise when a Covered Person (or his
or her family member) receives improper personal benefits as a result of his or
