twenty-one (21) days in the case of a notice pertaining to a meeting for the

electronic network, if the information required to gain access to the list is

shall be managed by a Board of Directors, which shall have and may exercise all
of the powers of the Corporation, except such as are expressly conferred upon
the Shareholders by law, by the Articles of Incorporation as amended or by
these Bylaws. Subject to the rights of the holders of shares of any series of
preferred stock then outstanding to elect additional Directors under specific
circumstances, the Board of Directors shall consist of not less than three (3)&nbsp;nor
more than twenty-one (21) persons. The exact number of Directors within the
minimum and maximum limitations specified in the preceding sentence shall be
fixed from time to time by either: (i)&nbsp;the Board of Directors pursuant to
a resolution adopted by a majority of the entire Board of Directors, (ii)&nbsp;the
affirmative vote of the holders of 66 2/3% or more of the voting power of all
of the shares of the Corporation entitled to vote generally in the election of
Directors, voting together as a single class, or (iii)&nbsp;the Articles of
Incorporation, as amended. No decrease in the number of Directors constituting
the Board of Directors shall shorten the term of any incumbent Director;
provided, however, that the term of existing Directors may be shortened to

a President, a Vice-President, a Secretary, and a Treasurer. The Corporation
may also have, at the discretion of the Board of Directors, a Chairman of the
Board, one or more additional Vice-Presidents, one or more Assistant
Secretaries, one or more Assistant Treasurers, and such other Officers as may
be appointed in accordance with the provisions of Section&nbsp;4.3 of this

such duties as are provided in these Bylaws or as the Board of Directors may
from time to time determine. The Board of Directors may delegate to any Officer
or committee the power to appoint any such subordinate Officers, committees, or
agents, to specify their duties, and to determine their compensation.</font></p>

Directors, by any committee or Officer upon whom such power of removal may be
conferred by the Board of Directors; provided, however, that such removal shall
not be with prejudice to the contract rights, if any, of the person removed.
Any Officer may resign at any time by giving written notice to the Board of
Directors or to the President, or the Secretary of the Corporation. Any such
resignation shall take effect at the date of the receipt of such notice or at
any later time specified therein; and, unless otherwise specified therein, the
acceptance of such resignation shall not be necessary to make it effective.</font></p>
