<DIV align="left" style="font-size: 10pt; margin-top: 6pt">On November&nbsp;15, 2007, Trio-Tech (Chongqing) Co. Ltd., a wholly owned subsidiary of Trio-Tech
International Pte. Ltd, which in turn is a wholly owned subsidiary of the Registrant, entered into
a Supplement to that certain Contract for Joint Investment to Develop and Construct NO.B48 lot in
Beibei District Beibei New Town Construction Area, entered into on August&nbsp;27, 2007, with Jia Sheng
Property Development Co. Ltd. (&#147;JiaSheng&#148;). On October&nbsp;22, 2007, the parties received approval from
the Chinese District Program Bureau to increase the building area under the original agreement by
9,885 square meters. As a result, the cost of the proposed building project increased.
According to the original contract, Jiansheng would be solely responsible for any increased
investments under that agreement. The purpose of the Supplement was to memorialize an agreement of
the parties to the specific additional investment specified thereunder to cover such additional
costs, but otherwise does not modify the investment obligations of the parties. Under the terms of
the Supplement, the Company is required to invest an additional RMB$9,000,000 (Chinese yuan), or
approximately $1,212,121 (U.S. dollars), based on the exchange rate as of November&nbsp;15, 2007
published by the Federal Reserve Statistical Release.

Construction Area to a commercial residential building. On the 22<SUP style="font-size: 85%; vertical-align: text-top">nd</SUP> of October&nbsp;2007,
Party A got approval from the Beibei District program bureau for a total building area of 43600m <SUP style="font-size: 85%; vertical-align: text-top">2</SUP>.
As compared to the Chongqing program bureau stated on the 26<SUP style="font-size: 85%; vertical-align: text-top">th</SUP> of June&nbsp;2007, the
construction projects selected the prospectus contract of total building scale 33715m <SUP style="font-size: 85%; vertical-align: text-top">2</SUP> and added on
the building area of 9885m <SUP style="font-size: 85%; vertical-align: text-top">2</SUP>, the actual project engineering construction fund must add on to the
original investment amount &#165;15,600,000.00 yuan.<BR>
In summary, projects that add on to the investment; both Party A and B are amiable to confer that,
Party A is responsible for &#165;6,600,000.00 yuan, and Party B is responsible for the investment fee of
&#165;9,000,000.00 yuan, for the add on project fund in order to meet the project building needs.
