<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0">On March 16, 2017, the Board of Directors of the Corporation
approved the Corporation&rsquo;s Amended and Restated By-Laws dated March 16, 2017, in which several changes were made to the previous
By-Laws.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0"><U>Notice Requirements</U>. The Amended and Restated By-Laws
state the requirements for business to be brought before an annual meeting. Among other things, a shareholder must give written
notice not less than 120 days nor more than 150 days prior to the one-year anniversary of the date of mailing proxies for the prior
year&rsquo;s annual meeting. The provision also delineates the items to be included in the notice such as shareholder&rsquo;s name,
number of shares owned and the description of the business as would be required in a proxy statement.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-indent: 0.5in">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0">Additionally, the Amended and Restated By-Laws also provide
the requirements for the calling of a special meeting, including setting of a demand record date, the demand of the shareholders
holding no less than one-fifth of the outstanding stock of the Corporation, and the agreement of such shareholders to pay the cost
of preparing and mailing the costs of such meeting, including preparation of the proxy materials, except that if all of the resolutions
introduced are adopted, the soliciting shareholders shall not be required to pay such costs.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0"><U>Number of Directors</U>. The Amended and Restated By-Laws
also change the number of directors from a fixed number to no fewer than three (3) and no more than seven (7), and list the requirements
for a shareholder to nominate a person as director, including notice requirements and information as to the nominee.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0"><U>Other Relevant SEC Requirements</U>. Compliance with the
advance notice requirement is necessary in order for a shareholder to nominate a director or submit a proposal to be considered
at a shareholders&rsquo; meeting. In addition, Rule 14a-8(e) under the Securities Exchange Act of 1934 imposes additional requirements
if a shareholder wants to have his or her proposal included in the Corporation&rsquo;s proxy statement.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0"><U>Uncertificated Shares</U>. The Amended and Restated By-Laws
contain a provision permitting uncertificated shares, whose shareholders shall have the same rights as those holding certificates.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0"><U>Indemnification</U>. The Amended and Restated By-Laws also
adopt the same indemnification provisions as to directors, officers and employees consistent with those included in the Corporation&rsquo;s
Restated Articles of Incorporation (incorporated by reference to Exhibit A in the Corporation&rsquo;s Schedule 14A Definitive Statement
for solicitation of written consent of stockholders (File No. 000-23115) effective June 5, 2015).</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in">Section 1.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;<U>Annual
Meetings</U>. Annual meetings of shareholders for the election of directors, and for such other business as may be stated in the
notice of meeting, shall be held at such place, either within or without the State of Illinois, and at such time and date as the
Board of Directors, by resolution, shall determine and as set forth in the notice of the meeting. In the event the Board of Directors
fails to so determine the time, date and place of meeting, the annual meeting of shareholders shall be held at the registered office
of the Corporation in Illinois on the 2nd Friday in June at 10:00 a.m.</P>

properly brought before an annual meeting, it must be: (i) authorized by the Board of Directors and specified in the notice, or
a supplemental notice, of the meeting, (ii) otherwise brought before the meeting by or at the direction of the Board of Directors
or the chairman of the meeting, or (iii) otherwise properly brought before the meeting by a shareholder. For business to be properly
brought before an annual meeting by a shareholder, the shareholder must have given written notice thereof to the secretary of the
Corporation, delivered or mailed to and received at the principal executive office of the Corporation not less than 120 days nor
more than 150 days prior to the one-year anniversary of the date on which the Corporation first mailed its proxy materials for
the prior year&rsquo;s annual meeting. Delivery shall be by hand or by certified or registered mail, return receipt requested. In no
event shall the Public Disclosure of an adjournment of an annual meeting commence a new time period for the giving of shareholder&rsquo;s
notice as described above. For purposes hereof, &ldquo;Public Disclosure&rdquo; is a disclosure made in a press release reported
by the Dow Jones News Services, the Associated Press or a comparable national news service in a document filed by the Corporation
with the Securities and Exchange Commission under Section 13, 14 or 15(d) of the Securities Exchange Act of 1934. A shareholder&rsquo;s
notice to the secretary shall set forth as to each item of business the shareholder proposes to bring before the meeting: (1) a
description of such item and the reasons for conducting such business at the meeting including information on the shareholder on
whose behalf the proposal is made which would be required to be disclosed in a proxy statement under Section 14(a) of the Securities
Exchange Act of 1934, (2) the name and address, as they appear on the Corporation&rsquo;s records, of the shareholder proposing
such business, (3) a representation that the shareholder is a holder of record of shares of stock of the Corporation entitled to
vote with respect to such business and intends to appear in person or be represented at the meeting to move the consideration of
such business, (4) the class and number of shares of stock of the Corporation which are beneficially owned by the shareholder (for
purposes of the regulations under Sections 13 and 14 of the Securities Exchange Act of 1934, as amended), and (5) a description
of all arrangements or understandings between such shareholder and any other person or persons (including their names) in connection
with the proposal of such business by such shareholder and any material interest of such shareholder in such business. No business
shall be conducted at any annual meeting except in accordance with the procedures set forth in this Section 1. The chairman of
the meeting at which any business is proposed by a shareholder shall, if the facts warrant, determine and declare to the meeting
that such business was not properly brought before the meeting in accordance with the provisions of this Section 1, and, in such
event, the business not properly before the meeting shall not be transacted<FONT STYLE="font-size: 10pt">.</FONT></P>

prohibited by the Restated Articles of Incorporation or these Amended and Restated By-Laws, the Corporation may allow shareholders
to participate in and act at any meeting of the shareholders through the use of a conference telephone or interactive technology,
including but not limited to electronic transmission, Internet usage, or remote communication, by means of which all persons participating
in the meeting can communicate with each other. A shareholder entitled to vote at a meeting of the shareholders shall be permitted
to attend the meeting where space permits, and subject to the Corporation&rsquo;s Amended and Restated By-Laws and rules governing the
conduct of the meeting and the power of the presiding officer to regulate the orderly conduct of the meeting. Participation in
such meeting shall constitute attendance and presence in person at the meeting of the person or persons so participating.&nbsp;</P>

the shareholders entitled to vote shall elect a Board of Directors and may transact such other corporate business as shall be stated

of Record Date</U>. For the purpose of determining the shareholders entitled to notice of or to vote at any meeting of shareholders
or any adjournment thereof, or to express consent to corporate action in writing without a meeting, or to receive payment of any
dividend, or other distribution or allotment of any rights, or to exercise any rights in respect of any change, conversion or exchange
of shares or for the purpose of any other lawful action, the Board of Directors of the Corporation may fix in advance a record
date which shall not be more than sixty days and, not less than ten days, or in the case of a merger or consolidation, not less
than twenty days, before the date of such meeting. If no record date is fixed, the record date for the determination of shareholders
entitled to notice of or to vote at a meeting of shareholders shall be the date on which notice of the meeting is mailed, and the
record date for the determination of shareholders for any other purpose shall be the date on which the Board of Directors adopts
the resolution relating thereto. A determination of shareholders of record entitled to notice of or to vote at a meeting of shareholders
shall apply to any adjournment of the meeting.</P>

Each shareholder entitled to vote in accordance with the terms and provisions of the Articles of Incorporation and these Amended
and Restated By-Laws shall be entitled to one vote, in person or by proxy, for each share of stock entitled to vote held by such
shareholder, but no proxy shall be voted after three years from its date unless such proxy provides for a longer period. Upon the
demand of any shareholder, the vote for directors and upon any question before the meeting shall be by ballot. All elections for
directors shall be decided by plurality vote and no shareholder shall be entitled to cumulative voting; all other questions shall
be decided by majority vote except as otherwise provided by the Restated Articles of Incorporation or the laws of the State of
Illinois.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in">Section 4. &nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;<U>Quorum</U>.
Except as otherwise required by law, by the Restated Articles of Incorporation or by these Amended and Restated By-Laws, the presence,
in person or by proxy, of shareholders holding a majority of the stock of the Corporation entitled to vote shall constitute a quorum
at all meetings of the shareholders but in no event shall a quorum consist of less than one-third of the votes of the shares entitled
to so vote. In case a quorum shall not be present at any meeting, a majority in interest of the shareholders entitled to vote thereat,
present in person or by proxy, shall have power to adjourn the meeting from time to time for a period not to exceed 30 days from
the originally scheduled date of the meeting, without notice other than announcement at the meeting, until the requisite amount
of stock entitled to vote shall be present. At any such adjourned meeting at which the requisite amount of stock entitled to vote
shall be represented, any business may be transacted which might have been transacted at the meeting as originally noticed; but
only those shareholders entitled to vote at the meeting as originally noticed shall be entitled to vote at any adjournment or adjournments
thereof.</P>

of the shareholders may be called by (i) the President or (ii) the Board of Directors and shall be called by the President or the
Board of Directors upon the demand, in accordance with this Section 5, of holders of not less than one-fifth of all the outstanding
shares of the Corporation entitled to vote on the any matter proposed to be considered at the special meeting, for the purpose
or purposes stated in the call of the meeting.</P>

Corporation may determine the shareholders entitled to demand a special meeting, the Board of Directors may fix a record date to
determine the shareholders entitled to make such a demand (the &ldquo;Demand Record Date&rdquo;). The Demand Record Date shall not
precede the date upon which the resolution fixing the Demand Record Date is adopted by the Board of Directors and shall not be
more than 10 days after the date upon which the resolution fixing the Demand Record Date is adopted by the Board of Directors.
Any shareholder of record seeking to have shareholders demand a special meeting shall, by sending written notice to the Secretary
of the Corporation by hand or by certified or registered mail, return receipt requested, request the Board of Directors to fix
a Demand Record Date. The Board of Directors shall promptly, but in all events within 10 days after the date on which a valid request
to fix a Demand Record Date is received, adopt a resolution fixing the Demand Record Date and shall make a public announcement
of such Demand Record Date. If no Demand Record Date has been fixed by the Board of Directors within 10 days after the date on
which such request is received by the Secretary, the Demand Record Date shall be the 10th day after the first date on which a valid
written request to set a Demand Record Date is received by the Secretary. To be valid, such written request shall set forth the
purpose or purposes for which the special meeting is to be held, shall be signed by one or more shareholders of record (or their
duly authorized proxies or other representatives), shall bear the date of signature of each such shareholder (or proxy or other
representative) and shall set forth all information about each such shareholder and about the beneficial owner or owners, if any,
on whose behalf the request is made that would be required to be set forth in a shareholder&rsquo;s notice described in Section 6 of
this article of these Amended and Restated By-Laws.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in">(c) In order for a
shareholder or shareholders to demand a special meeting, a written demand or demands for a special meeting by the holders of record
as of the Demand Record Date of not less than one-fifth of all the outstanding shares of the Corporation entitled to vote on the
matter proposed to be considered at the special meeting must be delivered to the Corporation. To be valid, each written demand
by a shareholder for a special meeting, shall set forth the specific purpose or purposes for which the special meeting is to be
held shall be signed by one or more persons who as of the Demand Record Date are shareholders of record (or their duly authorized
proxies or other representatives), shall bear the date of signature of each such shareholder (or proxy or other representative),
shall set forth the name and address, as they appear in the Corporation&rsquo;s books, of each shareholder signing such demand and the
class and number of shares of the Corporation which are owned of record and beneficially by each such shareholder, shall be sent
to the Secretary by hand or by certified or registered mail, return receipt requested, and shall be received by the Secretary within
60 days after the Demand Record Date.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in">(d) The Corporation
shall not be required to call a special meeting upon shareholder demand unless, in addition to the documents required by subsection
(c) of this Section 5, the Secretary receives a written agreement signed by each Soliciting Shareholder (as defined below), pursuant
to which each Soliciting Shareholder, jointly and severally, agrees to pay the Corporation&rsquo;s costs of holding the special meeting,
including the costs of preparing and mailing proxy materials for the Corporation&rsquo;s own solicitation, provided that if each of the
resolutions introduced by any Soliciting Shareholder at such meeting is adopted, and each of the individuals nominated by or on
behalf of any Soliciting Shareholder for election as a director at such meeting is elected, then the Soliciting Shareholders shall
not be required to pay such costs. For purposes of this subsection (d), the following terms shall have the meanings set forth below:</P>

(b) of this Section 5 is 10 or fewer, each shareholder signing any such demand; (B) if the number of shareholders signing the demand
or demands of meeting delivered to the Corporation pursuant to subsection (c) of this Section 5 is more than 10, each Person who
either (x) was a Participant in any Solicitation of such demand or demands or (y) at the time of the delivery to the Corporation
of the documents described in subsection (c) of this Section 5 had engaged or intended to engage in any Solicitation of Proxies

designated by the Board of Directors from time to time. Except as limited by the Board of Directors, he shall have authority and
power to bind the Corporation and sign contracts and other instruments for the Corporation. He shall preside over the day to day
activities of the Corporation and shall have general supervision, direction and control for the business of the Corporation. In
the absence or disability of the Chief Executive Officer, he shall perform the duties and have the powers of the Chief Executive
Officer.</P>

The Treasurer shall have the custody of the corporate funds and securities and shall keep full and accurate account of receipts
and disbursements in books belonging to the Corporation. He shall deposit all moneys and other valuables in the name and to the
credit of the Corporation in such depositories as may be designated by the Board of Directors. The Treasurer shall disburse the
funds of the Corporation as may be ordered by the Board of Directors, or the President, taking proper vouchers for such disbursements.
He shall render to the President and Board of Directors at the regular meetings of the Board of Directors, or whenever they may
request it, an account of all his transactions as Treasurer and of the financial condition of the Corporation. If required by the
Board of Directors, he shall give the Corporation a bond for the faithful discharge of his duties in such amount and with such
surety as the board shall prescribe.</P>

and of directors in a book to be kept for that purpose. He shall keep in safe custody the seal of the Corporation, and when authorized
by the Board of Directors, affix the same to any instrument requiring it, and when so affixed, it shall be attested by his signature

who was or is party or is threatened to be made a party of any threatened, pending or completed action, suit or proceeding, whether
civil, criminal, administrative or investigative (other than an action by or in the right of the Corporation) by the reason of
the fact that he is or was a director, officer, employee or agent of the Corporation, or is or was serving at the request of the
Corporation as a director, officer, employee or agent of another corporation, partnership, joint venture, trust or other enterprise,
against expenses (including attorneys&rsquo; fees), judgments, fines and amounts paid in settlement actually and reasonably incurred
by him in connection with such action, suit or proceeding if he acted in good faith and in a manner he reasonably believed to be
in or not opposed to the best interests of the Corporation and, with respect to any criminal action or proceeding, had no reasonable
cause to believe his conduct was unlawful. The termination of any action, suit or proceeding by judgment, order, settlement, conviction,
or upon a plea of nolo contendere or its equivalent, shall not, of itself, create a presumption that the person did not act in
good faith and in a manner which he reasonably believed to be in or not opposed to the best interests of the Corporation, and with
respect to any criminal action or proceeding, had reasonable cause to believe that his conduct was unlawful.</P>

agent of the Corporation, or is or was serving at the request of the Corporation as a director, officer, employee or agent of another
corporation, partnership, joint venture, trust or other enterprise against expenses (including attorneys&rsquo; fees) actually and reasonably
incurred by him in connection with the defense or settlement of such action or suit, if said person acted in good faith and in
a manner he reasonably believed to be in or not opposed to the best interests of the Corporation, except that no indemnification
shall be made in respect of any claim, issue or matter as to which such person shall have been adjudged to be liable to the Corporation
unless and only to the extent that the court in which such action or suit was brought shall determine upon application that, despite
the adjudication of liability but in view of all the circumstances of the case, such person is fairly and reasonably entitled to
indemnity for such expenses which the court shall deem proper.</P>

Authorized</U>. To the extent that a present or former director, officer or employee of the Corporation has been successful, on
the merits or otherwise, in the defense of any action, suit or proceeding referred to in Sections 1 and 2 of this article, or in
defense of any claim, issue or matter therein, such person shall be indemnified against expenses (including attorneys&rsquo; fees) actually
and reasonably incurred by such person in connection therewith, if the person acted in good faith and in a manner he or she reasonably
believed to be in, or not opposed to, the best interests of the Corporation.</P>

if Reimbursement is Proper</U>. Any indemnification under Sections 1, 2 or 3 of this article (unless ordered by a court) shall
be made by the Corporation only as authorized in the specific case, upon a determination that indemnification of the present or
former director, officer, employee or agent is proper in the circumstances because he or she has met the applicable standard of
conduct set forth in Sections 1, 2 or 3 of this article. Such determination shall be made with respect to a person who is a director
or officer of the Corporation at the time of the determination: (1) by the majority vote of the directors who are not parties to
such action, suit or proceeding, even though less than a quorum, (2) by a committee of such directors, even though less than a
quorum, designated by a majority vote of such directors, (3) if there are no such directors, or if such directors so direct, by
independent legal counsel in a written opinion, or (4) by the shareholders.</P>

of Expenses</U>. Expenses (including attorneys&rsquo; fees) incurred by an officer or director of the Corporation in defending
a civil or criminal action, suit or proceeding may be paid by the Corporation in advance of the final disposition of such action,
suit or proceeding upon receipt of an undertaking by or on behalf of the director or officer to repay such amount if it shall ultimately
be determined that such person is entitled to be indemnified by the Corporation as authorized in this Section 5. Such expenses
(including attorneys&rsquo; fees) incurred by directors, officers or other employees and agents of the Corporation or by persons
serving at the request of the Corporation as directors, officers, employees or agents of another corporation, partnership, joint
venture, trust or other enterprise may be so paid on such terms and conditions, if any, as the Corporation deems appropriate.</P>

The indemnification and advancement of expenses provided by or granted under the other sections of this Article IX shall not be
deemed exclusive of any other rights to which those seeking indemnification or advancement of expenses may be entitled under any
by-law, agreement, vote of shareholders or disinterested directors, or otherwise, both as to action in his or her official capacity
and as to action in another capacity while holding such office. A right to indemnification or to advancement of expenses arising
under a provision of the articles of incorporation or a by-law shall not be eliminated or impaired by an amendment to such provision
after the occurrence of the act or omission that is the subject of the civil, criminal, administrative or investigative action,
suit or proceeding for which indemnification or advancement of expenses is sought, unless the provision in effect at the time of
such act or omission explicitly authorizes such elimination or impairment after such act or omission has occurred.</P>

to Acquire Insurance</U>. The Corporation may purchase and maintain insurance on behalf of any person who is or was a director,
officer, employee or agent of the Corporation, or who is or was serving at the request of the Corporation as a director, officer,
employee or agent of another corporation, partnership, joint venture, trust or other enterprise, against liability asserted against
such person and incurred by such person in any such capacity, or arising out of his or her status as such, whether or not the Corporation
would have the power to indemnify such person against liability under the provisions of this Section 7.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in">&nbsp;</P>

to Shareholders</U>. If the Corporation indemnifies or advances expenses to a director or officer under Section 2, the Corporation
shall report the indemnification or advance in writing to the shareholders with or before the notice of the next shareholders meeting.</P>

otherwise provided when authorized or ratified, continue as to a person who has ceased to be a director, officer, employee, or
agent and shall inure to the benefit of the heirs, executors, and administrators of that person.</P>

adversely affect any right or protection of a director of the Corporation existing at the time of such amendment, repeal, modification
or adoption.</P>
