Item 8.01 Other Events.
As previously reported, on March 5, 2026, Niki BioSolutions, Inc. (formerly known as Aptorum Group Limited) (the “Company”) received a deficiency letter from the Listing Qualifications Department of the Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that, for the last 30 consecutive business days, the closing price for the Company’s common stock had been below the minimum $1.00 per share required for continued listing on The Nasdaq Capital Market pursuant to Nasdaq Listing Rule 5550(a)(2).
The letter also indicated that the Company had a compliance period of 180 calendar days, or until September 1, 2026 (the “Compliance Period”), in which to regain compliance pursuant to Nasdaq Listing Rule 5810(c)(3)(A). The letter further provided that if, at anytime during the Compliance Period, the Company’s common stock closed at $1.00 per share or more for a minimum of ten consecutive business days, Nasdaq would provide the Company with written confirmation that it had achieved compliance with the minimum bid price requirement.
On August 4, 2026, the Company received a letter from Nasdaq notifying the Company that for the last 10 consecutive business days, from July 21, 2026, to August 3, 2026, the closing bid price of the Company’s common stock had been at $1.00 per share or greater and, therefore, the Company has regained compliance with Nasdaq Listing Rule 5550(a)(2) and this matter is now closed.
