Partner share transactions / Issuing of new shares

With reference to our press release of 6 March 2013
ABG Sundal Collier Holding ASA ("ABGSC") will issue
4,236,633 new shares to 19 partners. The shares will
be issued at NOK 3.33 per share. Total proceed for
the 4,236,633 new shares issued is NOK 14,107,988.

Following the transactions above the company will
have a total of 433,108,528 shares outstanding. The
company owns 2,813,774 treasury shares. The company
has forward contracts with partners for a total of
62,973,542 shares with settlement in 2013 - 2016.
ABGSC has authorization to re-purchase its shares in
the market or to issue new shares.

Following the transaction ABGSC will issue the
1,207,600 shares purchased by Jan Petter Collier.
Following the transaction Jan Petter Collier owns
38,274,700 shares incl. shares by Sanden AS. His
total holding is unchanged.

Following the transaction ABGSC will issue the
300,300 shares purchased by Arild A. Engh. Following
the transaction Arild A. Engh, incl. 100% owned
companies, owns 6,338,044 shares. His total holding
is unchanged.

Following the transaction ABGSC will issue the 45,700
shares purchased by Geir Ringstad. Following the
transaction Geir Ringstad, incl. 100% owned
companies, owns 2,545,700 shares. His total holding
is unchanged.

Following the transaction ABGSC will issue the 22,200
shares purchased by Knut Brundtland through a 100%
owned company. Following the transaction Knut
Brundtland, incl. 100% owned company, owns 6,022,200
shares. His total holding incl. forward contracts is
unchanged.

Following the transaction ABGSC will issue the
220,000 shares purchased by Georg Gunnerød through a
100% owned company. Following the transaction Georg
Gunnerød, incl. 100% owned companies, owns 2,145,000
shares. His total holding is unchanged.
