Description related to stock exchange rule (1) to Nasdaq and on July 24, 2025 was subsequently granted an extension of time to regain compliance with this rule on or before October 24, 2025. As of the date of this Report, the Company believes its stockholders’ equity exceeds $5 million, which exceeds the amount required for continued listing on Nasdaq under Nasdaq Listing Rule 5550(b)(1). Nasdaq will continue to monitor the Company’s ongoing compliance with the stockholders’ equity requirement and, if at the time of its next periodic report the Company does not evidence compliance, it may be subject to delisting. See Note 17. Subsequent Events for additional information. (1), which requires that a listed company’s stockholders’ equity be at least $2.5 million. Additionally, as of the date of the notice and as of September 30, 2025, the Company did not meet either of the alternative requirements of maintaining a market value of listed securities of $35 million or achieving a net income from continuing operations of $0.5 million in the most recently completed fiscal year or in two of the last three most recently completed fiscal years.
