OSLO, Norway - October 24, 2025 - Agilyx ASA (OSE: AGLX: OTCQX: AGXXF: ISIN: NO0010872468: WKN: A2QGQ) ("Agilyx" or the "Company") announces CirCap Master I S.à.r.l (“CirCap Master”) has today transferred all its 7,029,469 shares in Agilyx ASA (the “Company”) that it received as consideration in relation to the closing of the GreenDot Global share acquisition as announced by the Company on 15 October 2025, to its parent company, Circap Funds SCA SICAV RAIF (“CirCap Funds”). Following completion of the transaction, CirCap Master no longer holds any shares in the Company, and Circap Funds owns 7,029,469 shares in the Company, corresponding to an ownership interest of approximately 5.61% of the Company’s 125,352,758 outstanding shares and votes. The shares remain subject to a lock-up undertaking expiring 10 January 2026, followed by a 90-day window during which any sale of the consideration shares received by the sellers in the GreenDot Global acquisition will be capped at 20% of the prior 30-day average daily trading volume in the Company’s shares.
