<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in">On December 13, 2013,
Black Ridge Oil &amp; Gas, Inc., a Nevada corporation (the &ldquo;<B><I>Company</I></B>&rdquo;), entered into an amendment (the
&ldquo;<B><I>Amendment</I></B>&rdquo;) to the Credit Agreement dated August 8, 2013, by and between the Company and Cadence Bank,
N.A., a national banking association (the &ldquo;<B><I>Bank</I></B>&rdquo;) (&ldquo;<B><I>Senior Credit Facility</I></B>&rdquo;).
The Company entered into the Amendment in connection with the Acquisition described in Item 2.01 below. The Amendment adds the
properties acquired in the Acquisition to the mortgage and increases the initial borrowing base amount from $7,000,000 to $18,000,000.
In addition, the Amendment provides that, for purposes of determining compliance with financial covenants, the Company&rsquo;s
EBITDAX for the third and fourth quarters of 2013 will be subject to proforma adjustment to include EBITDAX results for the third
and fourth quarters of 2013 attributable to properties acquired in the Acquisition described in Item 2.01 below. Finally, the Amendment
revises the Collateral Coverage Ratio to be not less than 1.25 to 1.0 as of the end of each calendar quarter, commencing with the
calendar quarter ending December 31, 2013 in order to be consistent with the Subordinated Credit Facility.</P>

Agreement dated August 8, 2013, by and among the Company, as borrower, Chambers Energy Management, LP, as administrative agent
(&ldquo;<B><I>Chambers</I></B>&rdquo;), and several other lenders (the &ldquo;<B><I>Subordinated Credit Facility</I></B>&rdquo;).
The Company entered into the Subordinated Credit Amendment in connection with the Acquisition described in Item 2.01 below. The
Amendment provides that, for purposes of determining compliance with certain financial covenants, Consolidated EBITDA will be subject
to pro forma adjustments for (i) the actual earnings derived from Properties acquired or disposed of in a material transaction
as permitted under the Second Lien Credit Agreement, as if the material transaction occurred on the first day of the applicable
determination period and (ii) the actual earnings derived from the properties acquired under the Acquisition described in Item
2.01 below as if such Acquisition had occurred on July 1, 2013. In addition, the Amendment changes the reference to the amount
under the First Lien Carve Out from $10,000,000 to $18,000,000.</P>

15, 2013, wherein the Company agreed to acquire from the Seller certain oil and gas leasehold interests and related assets and
contractual rights in the Williston Basin of North Dakota (the &ldquo;<B><I>Acquisition</I></B>&rdquo;). The leasehold interests
cover approximately 2,040 net acres. The effective date of the Acquisition is October 1, 2013.</P>

and <B>CADENCE BANK, N.A.,</B> a national banking association (the &ldquo;<U>Bank</U>&rdquo;).</P>

heretofore entered into a Credit Agreement dated as of August 8, 2013 (the &ldquo;<U>Agreement</U>&rdquo;), pursuant to which the
Bank established in favor of the Borrower certain credit facilities and loans.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in">2.&#9;The Borrower intends to acquire
certain oil and gas properties located in Dunn County and Golden Valley County, North Dakota (the &ldquo;<U>December 2013 Acquisition</U>&rdquo;),
pursuant to a Purchase and Sale Agreement dated November 15, 2013 by and between CP Exploration, LP and the Borrower (the &ldquo;<U>Purchase
and Sale Agreement</U>&rdquo;).</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 22pt">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in">3. &#9;In connection with the December
2013 Acquisition, the Borrower has agreed to execute a mortgage covering the properties acquired in the December 2013 Acquisition,
in addition to certain other oil and gas properties that have been acquired by the Borrower since the date of the Agreement (the
&ldquo;<U>Mortgage</U>&rdquo;).</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 22pt">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in">3.&#9;In order to facilitate the December
2013 Acquisition, the Borrower has requested that the Bank increase the Borrowing Base Amount under the Agreement and make certain
other changes to the Agreement.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 1in; text-align: justify">&ldquo;<U>Mortgage</U>&rdquo; shall individually,
collectively, and interchangeably mean (a) that certain Mortgage, Line of Credit Mortgage, Multiple Indebtedness Mortgage, Fixture
Filing, Assignment of As-Extracted Collateral, Security Agreement and Financing Statement by Borrower in favor of Lender dated
August, 8, 2013 affecting certain of Borrower&rsquo;s mineral interests in North Dakota, as the same may be amended, supplemented,
and/or restated from time to time and in effect; (b) that certain Mortgage, Line of Credit Mortgage, Multiple Indebtedness Mortgage,
Fixture Filing, Assignment of As-Extracted Collateral, Security Agreement and Financing Statement<B> </B>by Borrower in favor of
Lender dated August 8, 2013 affecting Borrower&rsquo;s mineral interests in Montana, as the same may be amended, supplemented,
and/or restated from time to time and in effect; (c)&nbsp;that certain Mortgage, Line of Credit Mortgage, Multiple Indebtedness
Mortgage, Fixture Filing, Assignment of As-Extracted Collateral, Security Agreement and Financing Statement by Borrower in favor
of Lender dated December 13, 2013 affecting certain of Borrower&rsquo;s mineral interests in North Dakota, as the same may be amended,
supplemented, and/or restated from time to time and in effect; and (d) any and all mortgages, security agreements, and/or deeds
of trust executed after the date of this Agreement by Borrower (or any other Person) as security for the Indebtedness, as the same
may be amended, supplemented and/or restated from time to time and in effect.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in">C.&#9;<B>Increase to Borrowing Base
Amount</B>. Subject to the terms and conditions of the Agreement, as amended by this First Amendment, and in accordance with Section
2.2 of the Agreement, the Bank hereby increases the Borrowing Base Amount from $7,000,000 to $18,000,000. This increase shall satisfy
the requirement in Section 2.2 of the Agreement that the Borrowing Base Amount be re-established on December 1, 2013.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in">D.&#9;<B>Update to
Working Interest and Net Revenue Interest Schedule. </B>Schedule 10.20 to the Agreement is hereby updated to include the Net Revenue
Interest and Working Interest attributable to the properties acquired in the December 2013 Acquisition and certain other interests
acquired by Borrower since the date of the Agreement, as set forth in <U>Exhibit A</U> attached hereto and made a part hereof.</P>

to proforma adjustment to include EBITDAX results for the third and fourth quarters of 2013 attributable to properties acquired
in the December 2013 Acquisition.</P>

</B>Section 12.10 of the Agreement (Commodity Transactions) is hereby deleted in its entirety and restated as follows:</P>

production in excess of eighty percent (80%) of the total volume of such production projected in the most recent independent engineering
report delivered to Lender pursuant to Section 11.1(d), or quarterly internally generated engineering report of Borrower as reviewed
and approved by Lender, to come from Borrower&rsquo;s proved developed producing reserves during the term of such Hedging Agreement.
Notwithstanding the foregoing, the maximum duration of any permitted Hedging Agreement shall not exceed forty-two (42) months.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify">&nbsp;</P>

SECOND LIEN CREDIT AGREEMENT (this &ldquo;<B><I>Amendment</I></B>&rdquo;), dated as of December 13, 2013, is by and among Black
Ridge Oil &amp; Gas, Inc., a Nevada corporation (&ldquo;<B><I>Borrower</I></B>&rdquo;), the several banks and other financial institutions
or entities party to this Amendment (the &ldquo;<B><I>Lenders</I></B>&rdquo;) and CHAMBERS ENERGY MANAGEMENT, LP, as the agent
(in such capacity, the &ldquo;<B><I>Agent</I></B>&rdquo;) under the Credit Agreement (as defined below).</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: left; text-indent: 0.5in">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: left; text-indent: 0.5in">WHEREAS, Borrower, the
Lenders and the Agent are parties to that certain Second Lien Credit Agreement, dated as of August 8, 2013 (as may be amended,
restated, amended and restated, supplemented or otherwise modified from time to time, the &ldquo;<B><I>Credit Agreement</I></B>&rdquo;);</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: left; text-indent: 0.5in">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: left; text-indent: 0.5in">WHEREAS, Borrower intends
to acquire (the &ldquo;<B><I>CP Acquisition</I></B>&rdquo;) certain Oil and Gas Properties of CP Exploration, LP (&ldquo;<B><I>Seller</I></B>&rdquo;)
pursuant to that certain Purchase and Sale Agreement, dated as of November 15, 2013, between Seller and Borrower (the &ldquo;<B><I>CP</I></B>
<B><I>Purchase Agreement</I></B>&rdquo;), which acquisition constitutes a Qualified Investment;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: left; text-indent: 0.5in">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: left; text-indent: 0.5in">WHEREAS, in order to finance
the CP Acquisition, Borrower has requested that the Lenders agree to make certain amendments to the Credit Agreement in accordance
with Section 9.1 of the Credit Agreement;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: left; text-indent: 0.5in">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: left; text-indent: 0.5in">WHEREAS, on the terms
and subject to the conditions contained herein, the Lenders are willing to make certain amendments to the Credit Agreement;</P>

contained in the Agreement or any other Loan Document and each reference contained in this Amendment to the &ldquo;Credit Agreement&rdquo;
shall on and after the First Amendment Effective Date (as defined below) refer to the Credit Agreement as amended by this Amendment.
Any notices, requests, certificates and other instruments executed and delivered on or after the First Amendment Effective Date
may refer to the Credit Agreement without making specific reference to this Amendment but nevertheless all such references shall
mean the Credit Agreement as amended by this Amendment unless the context otherwise requires.</P>

EBITDA&rdquo; appearing in Section 1.1 of the Credit Agreement is hereby amended by deleting the period appearing at the end of
such definition and inserting the following proviso immediately at the end of such definition:</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0 0pt 1in">&ldquo;; <I>provided</I> that Consolidated EBITDA for
the third and fourth quarters of 2013 shall be subject to pro forma adjustments for the actual earnings derived from the Properties
acquired pursuant to that certain Purchase and Sale Agreement, dated as of November 15, 2013, between CP Exploration, LP and Borrower,
as if such acquisition had occurred on July 1, 2013.&rdquo;</P>

enforcement is sought by proceedings in equity or at law);</P>

Other than as to otherwise expressly provided herein, this Amendment shall not constitute a waiver of compliance with any
covenant or other provision in the Agreement or any other Loan Document or of the occurrence or continuance of any present or
future Default or Event of Default.</P>

of its previously announced acquisitions in the Williston Basin (&ldquo;Corral Creek Acquisition&rdquo;).</P>
