Aker ASA: Aker Floating Production ASA - Compulsory acquisition of shares




Aker Floating Holding AS ("AFH") has resolved to carry out a compulsory
acquisition with immediate effect of all shares in Aker Floating Production ASA
("AKFP") owned by shareholders other than AFH. As a consequence, AFH has assumed
ownership of all shares in AKFP. The offered redemption price is NOK 3.63 per
share, which equals the NOK 3.63 offered under the completed offer.

Reference is made to the stock exchange notice dated 13 March 2012 in connection
with completion of the offer from AFH to acquire all shares in AKFP. Settlement
has been completed and AFH now owns 20,432,090 shares in AKFP, representing
approximately 92.87%.

In accordance with the previously stated intention, the board of directors of
AFH has now, pursuant to the Norwegian Public Limited Liability Companies Act
section 4-25, resolved to carry out a compulsory acquisition with immediate
effect of all remaining shares in AKFP not owned by AFH. As a consequence, AFH
has assumed ownership of all shares in AKFP.

The offered redemption price under the compulsory acquisition is NOK 3.63 per
share. The offered redemption price corresponds to the offer price in the
completed offer to acquire all shares in AKFP. AFH has deposited the aggregate
redemption amount on a separate account with DNB Bank ASA.

Any objections to, or rejections of, the offered redemption price must be raised
prior to 21 May 2012. Former AKFP shareholders who do not object to, or reject,
the offered redemption price within this deadline will lose their right to
object to, or reject, the offered redemption price and are deemed to have
accepted the offer.

A letter regarding the compulsory acquisition will be sent to all shareholders
whose shares are subject to the compulsory transfer, provided that their
addresses are known. In addition, the compulsory acquisition will be announced
in the Brønnøysund Register Center's electronic bulletin for public
announcements and in the Norwegian newspaper Finansavisen.
