Acquisition of debt
Aker BioMarine has today entered into an agreement with Innovasjon Norge
regarding an acquisition of the loans Innovasjon Norge has provided to Krillsea
Group AS with related securities. The agreement will be consummated immediately.
The loan to Krillsea Group AS is in the amount of NOK 105 million adding accrued
interests in the amount of approximately NOK 3,6 million and is secured by first
priority mortgage in the vessel Thorshøvdi in the amount of NOK 110 million as
well as first priority mortgage in fishing gears and machinery and plant and
second priority mortgage in inventory and factoring, all in the amount of NOK
100 million.
The loan is acquired at par value and financed by a loan from Innovasjon Norge
in the same amount with a term of 15 years, in the first 5 years the loan is an
interest only loan. The interest rate will be determined when the agreement is
consummated, but indicative interest rate is fixed at 5,20 % until June 2020.
The loan from Innovasjon Norge to Aker BioMarine will be secured by a first
priority pledge in the loan to Krillsea Group AS and related securities.
Aker BioMarine has previously made an offer to acquire Thorshøvdi, but this
offer was rejected by the bondholders in a bondholder meeting September 16. By
acquiring the loan, Aker BioMarine will more actively contribute to an expedited
sales process of Thorshøvdi and has secured a favourable financing from
Innovasjon Norge in the event the company ends up with the vessel.
