Oslo, Norway - 28 April 2021.
The Norwegian state, represented by the Norwegian Ministry of Trade, Industry and Fisheries (the “NMTIF”), has retained Nordea Bank Abp, filial i Norge, and Pareto Securities AS (the "Managers") to explore a potential block sale of existing shares (the “Offering”) in Aker Carbon Capture AS (the "Company").
The NMTIF is contemplating selling up to 33,100,085 shares in the Company (equal to approx. 5.85% of the Company’s shares outstanding) through an accelerated bookbuilding process. The NMTIF reserves the right, at its own discretion, to sell fewer shares or no shares at all.
The accelerated bookbuilding process in the Offering will commence immediately following the publication of this announcement and may be closed at short notice at the full discretion of the NMTIF and/or the Managers. A further announcement will be made following pricing of the shares in the Offering.
The NMTIF currently holds 33,100,085 shares in the Company (equal to approx. 5.85% of the Company’s shares outstanding). If the demand and price in the Offering is satisfactory, the NMTIF may thus sell its entire shareholding in the Company. The NMTIF will enter into a 90-day customary lock-up with the Managers (subject to certain exceptions) following the completion of the Offering for any of the shares the NMTIF currently holds in the Company which are not sold as part of the Offering.
The minimum order and allocation in the Offering have been set to the NOK equivalent of EUR 100,000. The NMTIF may, however, allocate amounts below EUR 100,000 to the extent exemptions from the prospectus requirements, in accordance with applicable regulations (including the Norwegian Securities Trading Act and ancillary regulations), are available.
Nordea Bank Abp, filial i Norge, and Pareto Securities AS are acting as joint lead managers and joint bookrunners in connection with the Offering. SANDS Advokatfirma is acting as legal counsel to the NMTIF in connection with the Offering.
