and Adoption of Charters:</I></B></P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify">On March 25, 2016, the Board of Directors
(the &ldquo;Board&rdquo;) of Atrinsic, Inc. (the &ldquo;Company&rdquo;) established an audit committee (the &quot;Audit Committee&quot;)
and approved and adopted a charter (the &quot;Audit Committee Charter&quot;) to govern the Audit Committee. Pursuant to the Audit
Committee Charter, the Audit Committee shall be comprised of two (2) or more independent directors who shall be appointed annually
and subject to removal by the Board at any time. Each member of the Audit Committee shall meet the independence requirements of
The NASDAQ Stock Market, LLC, and the Securities and Exchange Commission, as well as any other applicable requirements. In addition
to the enumerated responsibilities of the Audit Committee in the Audit Committee Charter, the primary function of the Audit Committee
is to assist the Board in its general oversight of the Company's accounting and financial reporting processes, audits of its financial
statements, and internal control and audit functions. A copy of the Company's Audit Committee Charter is attached as Exhibit 99.1
to this Current Report on Form 8-K and is incorporated herein by reference.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify">On March 25, 2016, the Board established
a compensation committee (the &quot;Compensation Committee&quot;) and approved and adopted a charter (the &quot;Compensation Committee
Charter&quot;) to govern the Compensation Committee. Pursuant to the Compensation Committee Charter, the Compensation Committee
shall be comprised of three (3) or more directors who shall be appointed by the Board and subject to removal by the Board at any
time. At least two members of the Compensation Committee shall (i) be &quot;non-employee directors&quot; within the meaning of
Rule 16b-3 under the Securities Exchange Act of 1934, as amended, and (ii) be &quot;outside directors&quot; within the meaning
of Section 162(m) of the Internal Revenue Code of 1986. In addition to the enumerated responsibilities of the Compensation Committee
in the Compensation Committee Charter, the primary function of the Compensation Committee is to oversee the compensation of the
Company's executives, produce an annual report on executive compensation for inclusion in the Company's proxy statement, if and
when required by applicable laws or regulations, and advise the Board on the adoption of policies that govern the Company's compensation
programs. A copy of the Company's Compensation Committee Charter is attached as Exhibit 99.2 to this Current Report on Form 8-K
and is incorporated herein by reference.</P>

a governance and nominating committee (the &quot;Governance Committee&quot;) and approved and adopted a charter (the &quot;Governance
Committee Charter&quot;) to govern the Governance Committee. Pursuant to the Governance Committee Charter, the Governance Committee
shall be comprised of three (3) or more directors who shall be appointed by the Board and subject to removal by the Board at any
time. Each member of the Governance Committee may or may not meet the independence requirements established by the Board and applicable
laws, regulations, and listing requirements of The NASDAQ Stock Market, LLC. In addition to the enumerated responsibilities of
the Governance Committee in the Governance Committee Charter, the primary function of the Governance Committee is to determine
the slate of director nominees for election to the Board, to identify and recommend candidates to fill vacancies occurring between
annual stockholder meetings, to review the Company's policies and programs that relate to matters of corporate responsibility,
including public issues of significance to the Company and its stockholders, and any other related matters required by federal

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0">The principal purpose of the Audit and Finance Committee (the
&ldquo;Committee&rdquo;) is to assist the Board of Directors (the &ldquo;Board&rdquo;) of Atrinsic, Inc. (the &ldquo;Company&rdquo;)
in fulfilling its responsibility to oversee the Company&rsquo;s accounting and financial reporting processes and audits of the
Company&rsquo;s financial statements, including by reviewing the financial reports and other financial information provided by
the Company, the Company&rsquo;s disclosure controls and procedures and internal accounting and financial controls, and the annual
independent audit process.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0">In discharging its oversight role, the Committee is granted
the authority to investigate any matter brought to its attention with full access to all books, records, facilities and personnel
of the Company and the authority to engage independent counsel and other advisors, as it determines necessary to carry out its
duties. The Committee also is authorized to approve the use of Company funds to the extent it deems such expenditures necessary
or appropriate in carrying out the responsibilities of the Committee.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0">The Committee shall be responsible for the appointment (and
where appropriate, replacement), compensation, retention and oversight of the work of the Company&rsquo;s outside auditor in preparing
or issuing an audit report or related work, including resolving any disagreements between management and the outside auditor regarding
financial reporting. The Committee shall receive direct reports from the outside auditor. The Committee shall be responsible for
overseeing the independence of the outside auditor and for approving all auditing services and permitted nonaudit services provided
by the outside auditor.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0">This Charter shall be reviewed for adequacy on an annual basis
by the Committee and any changes thereto shall be submitted to the Board for approval.</P>

of the Board, and the</P>

as required by Nasdaq rules. In addition, it must be considered whether any members of the Committee have relationships with the
Company that may create the appearance of a lack of independence, even though such relationships do not automatically disqualify

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0">The Corporate Governance and Nominating Committee (the &ldquo;Committee&rdquo;)
shall, among other things, review and recommend policies to the Board of Directors of the Company (the &ldquo;Board&rdquo;) regarding
Board procedures, Board leadership, the process for annual evaluations of the performance of the Board, the Chairman of the Board,
the Executive Chairman, and/or the Chief Executive Officer and issues of corporate public responsibility, including charitable
contributions; evaluate the independence of Board members and serve as the Company&rsquo;s nominating committee to review the requisite
skills and criteria for new Board members as well as the composition of the Board as a whole, recommend a slate of director nominees
to be proposed by the Board to the Company&rsquo;s stockholders, recommend any director nominees to be elected by the Board to
fill interim vacancies and recommend directors for membership on the Board committees. If a director believes that a significant
issue exists that implicates corporate governance at the Company, that director should promptly bring such issue directly to the
attention of the Committee; absent unusual circumstances, discussion with the Committee should occur prior to raising the matter
with other directors or members of management.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0"><B>Organization and Governance</B></P>

by the Board at the recommendation of the Committee who may or may not satisfy the independence and eligibility requirements of
the Nasdaq Stock Market.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0">In order to fulfill its role, the Committee shall be organized

to the Board of management&rsquo;s plans for succession to senior management positions in the Company, including the position of

to retain and terminate a search firm to assist in the identification of director candidates, and have the authority to approve

from internal or external legal, accounting or other advisors and to authorize payment of such advisors with Company funds.</P>
