Item 5.02 – Departure of Directors or Principal Officers; Election of Directors, Appointment of Principal Officers.

(b)           Min Li resigned as a Director of Gulf Resources, Inc. (the “Company”), effective as of June 22, 2009. There were no disagreements between Mr. Li and the Company on any matter relating to the Company’s operations, policies or practices, which resulted in his resignation.

Item 7.01. Regulation FD Disclosure.

On June 25, 2009, Gulf Resources, Inc., a Delaware corporation issued a press release announcing the resignation of independent director Min Li.  A copy of the press release is  furnished as Exhibit 99.2 hereto.
