Registration of securities, description	On July 3, 2025, the Company filed with the SEC a Form S-3 (Registration Statement No. 333- 168591), to register the Company's common stock, preferred stock and warrants with an aggregate offering price not to exceed $10,000,000, to be sold by us under a “shelf” registration process ("Shelf Registration"). Specific terms of such sales will be provided in the relevant prospectus supplement. Any prospectus supplements also will describe the specific manner in which these securities will be offered and may supplement, update or amend information contained in the registration Form S-3.
